| SECTION 1. | PRESIDENT: The President shall be the executive officer of the Association, and shall preside over all meetings of the Asociation and the Board of Directors. He or she shall have general and active management of the business of the Association and shall see that all orders and resolutions of the Association are carried into effect. He or she shall have the authority to sign checks and all legal docuemtns authorized for his or her signature by the Board. He or she shall appoint with the approval of the Board, chairpersons for all committees, except the Nominating Committee and the Rules and By-Laws Committee. The President shall conduct the affairs of the Association in accordance with the recorded Declaration of Restrictive Covenants, the Articles of Incorporation, and these By-Laws. | ||||||||
| SECTION 2. | |||||||||
| VICE-PRESIDENT: The Vice-President shall, in the absence of the President, preside at all meetings of the Association and of the Board of Directors. He or she shall be responsible for the coordination of the efforts and the reports of such Committees as the President may assign and shall be ex-officio member of all such Committees. He or she shall also perform such other duties as the President may assign. | |||||||||
| SECTION 3. | SECRETARY: The Secretary shall keep the minutes of all meetings of the Association and of the Board of Directors, and shall preserve the books of the Association and true minutes of all of the proceedings of all such meetings. The Secretarty shall give all notices required by statute, by-law, or resolution. He or she shall keep a record of the names and addresses of all members of the Association. | ||||||||
| SECTION 4. | TREASURER: The Treasurer shall have the responsiblity for the following: Collection and custody of funds paid to the Association, and depositing of the same in depositories authorized by the Board; the filing of reports as may be legally required, including reports or returns to the Internal Revenue Service; and payment of all bills and disbursements of funds as may be authorized by the President, Board of Directors, and authorized auditors. He or she shall make a full and true report of the financial condition of the Association. The Treasurer shall establish bookkeeping adn accounting systems which are required to cover business in behalf of the Association. | ||||||||
