5.1.3 The breach of any term or condition of this Agreement by my of Indcninitors.

5.2 Without limiting the generality of die foregoing, the Indemnity set forth above shall include all liability, damages, loss, claims, demands mid actions on account of' personal injury and death, or property loss, to any third?party any indemnities any of Indefinite's employees, agents, licensees or iiivitccs, or to any other persons, whether based upon or claimed to be based upon, statutory, contractual, tort or other liability. The provisions of this section shall not be construed to indemnify miy Indeninitec for wiy loss or damage attributable to the solc negligence of'such Indclililitec.

5.3  This Indemnity shall survive the termanination of this Agreement for any reason.

6.0  Termination

This Agreement shall terminate upon the occurrence of any one or more of (lie following events:

Bankruptcy or insolvency of either party;

6.1.2  Death or incapacity of Subcontractor;

6.1.3  A general assignment for the benefit of creditors by either party;

6.1.4 Failure by the Subcontractor to observe any Federal, state or local laws, resolutions, ordinances or directives, or any laws or rules applicable to safty traffic control, or the protection of persons or property.

6.1.5 A material breach by either party of any of the provisions of this Agreement, upon providing ten (10) days written notice to the non?breaching party by the non?defaulting party.

6.2  Contractor may terminate this Agreement upon providing Subcontractor with
 written notice of said termination should Subcontractor fail to comply with
 terms of this Agreement.
6.3  Subcontractor may terminate this agreement upon giving fourteen (14) days
 prior written notice to Contractor.

7.0.  Miscellaneous

7.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, representations and understanding of the parties. No supplementation, modification or amendment of this agreement shall be binding unless executed in writing by all parties. No waiver any of
