| ARTICLE VI- Quorum One third of the membership constitutes a quorum. ARTICLE VII- Voting Each member agency/organization shall have one vote. A two-thirds majority of the members present (as long as it constitutes a quorum) shall be required to approve matters pertaining to financial business. When matters must be expedited the Executive Committee can move on matters on behalf of the Council. ARTICLE VIII � Officers and Officer Duties Officers of the organization shall be the Chairperson, Vice-Chairperson, and Secretary Duties: The chairperson shall serve as leader of the organization, preside at meetings of the organization, appoint members of all committees, and serve on the Executive Committee. The Vice-Chairperson shall serve as leader of the organization in the chairperson�s absence, preside at meetings of the organization in the chairperson�s absence and serve on the Executive Committee. The Secretary shall serve as recorder of the meeting proceedings of the GCC. |

| ARTICLE IX � Elections Two officer positions will be open for election each year. These are the positions of Vice-Chairperson and Secretary. The current Vice Chairperson will assume the position of Chairperson. The current Chairperson will become the Immediate Past Chairperson. The position of Chairperson will only be elected directly from the floor in the event of the departure from the GCC of the person holding the position of Vice-Chairperson. These officers shall be elected by a majority vote of the members present and will serve for one year from the date of election. Nominations for officer positions will be presented at the November meeting each year. Members will make nominations from the floor or in writing. Elections will be held in December with officers assuming their positions in January every year. ARTICLE X � Committees Executive Committee: The Executive Committee shall be made up of at least five members of the GCC who shall be appointed by the Chairperson. Members will include the Chairperson, the Vice-Chairperson, the Immediate Past Chairperson, and representatives from Article IV. All appointments shall be for a term of one year and shall be approved by the GCC. The Executive Committee shall meet between meetings of the GCC. The duties of the Executive Committee shall include: � Work with staff to plan meeting objectives, agendas, and strategic planning. � Request and obtain reports from work groups and initiatives established under the auspices of the GCC. � Act on requests for grant endorsements when time does not permit waiting for the next GCC meeting. � Make recommendations regarding the authorization of the expenditure of funds to the GCC, and authorize the expenditure of funds under guidelines established in Article VII. � Other activities deemed appropriate by the GCC. The permanent standing committees of the GCC shall be Executive, Evaluation, Finance, Needs Assessment, and Resource Development. Ad-Hoc Committees shall be appointed by the Chairperson to meet the needs of the GCC as they are identified. ARTICLE XI - Changes in the by-laws Recommendations to change or amend these by-laws may be made by an officer or member of the GCC. Such changes or amendments shall not be approved without prior written notification of all GCC members. A two-thirds majority of the members present (as long as it constitutes a quorum) shall be required to change or amend the by-laws. |
