Article VIII - Board of Directors
Section 1. 
The Board of Directors shall consist of the Executive Board and Chairmen of the Standing Committees, plus the Parliamentarian.

Section 2.  The Board of Directors shall manage the affairs and funds of the Springfield Music Club.  The request for expenditure of any funds must be approved by the Board of Directors.

Section 3.  The  Board of Directors shall have power to establish Standing Rules and repeal the same by a two-thirds vote of those present and voting, or suspend same by a majority vote.

Section 4.  All Committees shall operate under the direction of the Board of Directors.

Section 5.  All Officers, and the Chairmen of Committees shall turn over their files to their successors not later than one month after elections.

Section 6.  The President shall appoint a Parliamentarian.

Article IX - Nominations and Elections
The President shall appoint a Nominating Committee consisting of three active members at the February meeting.  The Committee shall present nominations at the March meeting.  The presiding officer shall call for any additional nominations from the floor.  Elections shall then follow in April.  Installation of Officers shall be at the May meeting.

Article X - Committees
There shall be standing committees, appointed by the President, consisting of Program, Membership, Teacher Referral, Student Recitals, Composer Competition, Sonatina-Sonata Festival, Jazz Festival, Publicity, Community Service, Yearbook,, Hospitality, Telephone Tree, Scholarship, Sunshine, NFMC Music Week, Performing Workshops, Newsletter, Springfield Festival, Gold Cup and NVMC/VFMC Liaison.


Article XI - Parliamentary Authoriy
The rules contained in Roberts Rules of Order Revised shall govern this Club in all cases to which they are applicable and in which they are not inconsistent with the Bylaws of this Club.

Article XII - Amendments
The Bylaws may be amended by a two-thirds vote of the qualified voters present adn voting at any regular meeting provided that notice of such amendment has been given at a previous regular meeting of the Club at least five days prior to action thereon.

Article XIII - Dissolution
Upon the dissolution of the organization, the Executive Board shall first pay all obligations due and owing by the orgnization, or that will be become due and owing by the organization, and all of the remaining funds and assets of the organization shall be turned over to the  National Scholarship Funds of the organization or equally divided among the Scholarships according to the wishes of the Board.
