ARTICLES OF ASSOCIATION
ARTICLE I � NAME AND LOGO
This association is called the Institut Manajemen Proyek Jakarta - Indonesia (IMPJI)
aka Project Management Institute Chapter Jakarta, Indonesia. (PMIJI)
The logo of the Institut Manajemen Proyek Jakarta -Indonesia (IMPJI) is as follows:

ARTICLE II - INTERPRETATION
In these Articles and the Articles of Association except where a different definition appears:
�Pancasila UUD 1945" means the requirement under Indonesian law that all legal entities be required to adhere to the values defined by Pancasila. (Five Principles) and UUD 1945. (1945 Constitution)
�PMI� means the Project Management Institute, World Headquarters in USA.
�IMPJI/PMICJI� means the Project Management Institute-Chapter Jakarta, Indonesia.
�Board� means the IMPJI/PMICJI Board of Directors, the governing body of IMPJI/PMICJI that is made up of elected members as defined in the IMPJI/PMICJI Articles of Association.
�Project Management� means project and program management as defined by PMI.
�Member� means a person associated with IMPI/PMII as defined by the IMPJI/PMICJI Articles of Association.
"AGM" Annual General Meeting- A mandatory meeting during which officers for the following year are elected and other such business as may be defined by the BOD shall be put before the general membership.
ARTICLE III � VESTED AUTHORITY
Authority and Articles of Association governing the formation and operation of IMPJI/PMICJI are vested in the PMI By-Laws and Articles of Association as originally written or subsequently amended. IMPJI/PMICJI agrees to follow and adhere to the By-Laws and Policy Governance Manual of PMI, insofar as they conform to and do not violate local Indonesian laws, customs and practices.
The IMPJI/PMICJI charter was issued by PMI and will continue subject to cancellation or withdrawal by PMI.
The IMPJI/PMICJI Board is the final authority for interpreting the IMPJI/PMICJI Articles of Association and Articles of Association.
ARTICLE IV � AREA OF OPERATION AND REGISTERED OFFICE
The area of operation for the IMPI/PMII is the Republic of Indonesia. The registered office of IMPI/PMII will be situated at:

or at such other place in Indonesia as IMPJI/PMICJI members may decide.
ARTICLE V � OBJECTS
A founding principle of IMPI/PMII is to support the objects of PMI as they relate to the needs, wants and expectations of the Indonesian practitioner.
The objects of IMPJI/PMICJI are:
- To serve as Jakarta�s project management association, recognized and accepted by Government, Business and Educational Communities in Indonesia;
- To create added value services for the members;
- To provide a forum for professionals to network and advance project management in the business and educational communities of Indonesia;
- To foster world class project management;
- To advocate acceptance of Project Management as a profession and discipline throughout Indonesia
- To promote PMP Certification and continuing competence development;
- To promote the Project Management Institute�s Professional Code of Ethics and Conduct;
ARTICLE VI � MEMBERSHIP
Eligibility for membership will be as defined by the PMI Articles of Association and Articles of Association and the IMPI/PMII Articles of Association. Members of IMPJI/PMICJI must be members of PMI.
ARTICLE VII � IMPI/PMII BOARD OF DIRECTORS
A Board of Directors comprised of elected members will govern IMPJI/PMICJI. The President of IMPJI/PMICJI will act as Chairman of the Board. The Board is ultimately accountable for the affairs of IMPJI/PMICJI. The Board will be responsible for maintaining the IMPJI/PMICJI Articles of Association and Bylaws and for ensuring that IMPJI/PMICJI operates within the Articles of Association and Bylaws.
ARTICLE VIII � FINANCIAL
Financial control will be as defined in the IMPJI/PMICJI Articles of Association. The IMPJI/PMICJI Board will set members� dues.
IMPJI/PMICJI may purchase, take on lease, or in exchange, on hire or otherwise acquire any real or personal property or any rights or privileges, or mortgage, exchange, let on bail or lease. IMPJI/PMICJI may in any manner dispose of any such property, rights or privileges.
ARTICLE IX � ARTICLES OF ASSOCIATION
IMPJI/PMICJI will adopt and maintain Articles of Association to define rules of procedure for conducting the affairs of IMPI/PMII, including, but not limited to: finances, holding meetings, quorums, admitting members, electing and dismissing officers, terms of office, officer responsibilities, and the establishment and dis-establishment of Committees and Project Team.
ARTICLE X � AMENDMENTS
Alterations, additions or revisions to this Articles of Association may be made only by PMI. IMPJI/PMICJI may petition PMI to consider amendments to the Articles of Association if 60% of the members who vote in accordance with voting procedures defined in the Articles of Association vote in favour of the petition. No amendment will be permitted if it in any way affects the tax exempt status of IMPI/PMII.
ARTICLE XI � DISSOLUTION
IMPJI/PMICJI may be wound up in accordance with the laws of Indonesia.
ARTICLE XII - DISPOSITION OF SURPLUS ASSETS
In the event of IMPJI/PMICJI being wound up or dissolved, the surplus assets after payment of IMPJI/PMICJI liabilities and the expenses of the Dissolution, will be disposed of in such a manner as a majority of those present at a Special General Meeting of IMPJI/PMICJI will decide, providing that no assets or property whatsoever shall be paid to or distributed among the members or the board.
ARTICLE XIII - LIMITATIONS
No member may receive any pecuniary gain or profit, incidental or otherwise, from IMPJI/PMICJI activities, except that IMPJI/PMICJI is authorised to pay reasonable compensation for services rendered, in furtherance of the objects of IMPJI/PMICJI. No Board member may enter into any contracts with IMPJI/PMICJI during their term of office.
IMPJI/PMICJI will operate only within the territories of Jakarta and various cities within Indonesia for promoting the establishment of another PMI chapter only.
All IMPJI/PMICJI activities will be bound and abide by the laws of Indonesia.
