These Articles of Incorporation were approved by the general membership in December, 2000. They have been placed on file with the California Secretary of State and the California Attorney General's Office.

ARTICLES OF INCORPORATION

OF

RECREATION DOG PARK ASSOCIATION INC.

A CALIFORNIA NONPROFIT PUBLIC BENEFIT CORPORATION

ARTICLE I
NAME

The name of this corporation is Recreation Dog Park Association Inc.

ARTICLE II
PURPOSE

A. This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Corporation Law for public and charitable purposes only.

B. The specific purpose of this corporation is to raise funds needed to maintain and enhance the Long Beach Recreation Dog Park, in which pet dogs can exercise without leash restraint in a clean, healthy and safe environment; and to provide charitable contributions for the care and humane treatment of animals.

C. To receive, invest and use funds acquired through dues, fundraising events, donations, grants, gifts, bequests, and solicitations for the purposes which this corporation was formed.

ARTICLE III
INITIAL AGENT FOR PROCESS

The name and address in the State of California of this corporation's initial agent of service of process is: 2433 Pepperwood Ave. Long Beach, CA. 90815.

ARTICLE IV
POWERS

A. This corporation is organized exclusively for charitable purposes within the meaning of Section 501(c) (3) of the Internal Revenue Code.

B. This corporation shall have all the powers specified in the California Nonprofit Public Benefit Corporation Law, subject only to the limitations imposed by these Articles of Incorporation and applicable public law.

C. No part of the activities of this corporation shall attempt to influence legislation nor participate or intervene in any political campaign (including the publishing or distribution of materials) on behalf of any candidate for public office.

ARTICLE V
PRINCIPAL OFFICE

The principal office for the transaction of business for this corporation is located at P.O. Box 8337, Long Beach 90808, in the County of Los Angeles, State of California. The location of the principal office may change from time to time as situations dictate. State and federal reporting agencies will be notified of such changes as required.

ARTICLE VI
DIRECTORS

The powers of this corporation shall be exercised, its properties controlled, and its affairs conducted by a board of directors. The number of directors of this corporation shall be fixed from time to time by the Bylaws of this corporation.

ARTICLE VII
MEMBERS

The qualification of members of this corporation, the different classes of members (if any), the property, voting rights, and other privileges of membership shall be prescribed from time to time in the Bylaws of this corporation.

ARTICLE VIII
DISSOLUTION

The property of this corporation is irrevocably dedicated to charitable purposes and no part of the income or assets of this corporation shall ever benefit any director, officer, member or private person thereof. Upon the dissolution of the corporation, any assets remaining after payment or provision for payment of all debts and liabilities of this corporation, shall be distributed to nonprofit funds, foundations or corporations organized and operated exclusively for similar charitable purposes, and which has established tax exempt status under Section 501 (c) (3) of the Internal Revenue Code.

CERTIFICATION OF THE SECRETARY

I certify that I am the duly elected and acting secretary of the Recreation Dog Park Association Inc.. I further certify that the above Articles of Incorporation, consisting of two (2) pages, are the Articles of Incorporation as adopted by its board of directors and members on ( date ) and that they have not been amended or modified since that date.
