The Constitution and Bylaws of the Katipunan Arkeologist ng Pilipinas, Inc.

 

 

Preamble

The Katipunan Arkeologist ng Pilipinas, Inc. is a non-stock, non-profit organization established to promote the Archaeological Science in order to protect and preserve the archaeological and cultural heritage of the Philippines. It is founded on the pillars of scientific knowledge, liberating education, nationalism and collegiality. This shall be done through advocacy, scientific research and publication.

 

Article I: Name and Domicile

Section 1. Name  

The name of the organization shall be the Katipunan Arkeologist ng Pilipinas, Inc. (Society of Archaeologist), a professional organization of archaeologists working in the Philippines. 

Section 2. Domicile

The domicile of the Society is located at the Archaeology Division, National Museum of the Philippines, P. Burgos St. Manila. 

 

Article II: Objectives  

Objectives of the Society shall be:

1.  To promote and spearhead the interest of and research in archaeological science in the Philippines;

2.  To advocate for the protection, conservation and preservation of archaeological and cultural resources in the Philippines in accordance with the National Museum System Act (RA 8482);

3.  To promote a liberation education through public awareness on the importance of our archaeological and cultural heritage;

4.  To publish and encourage the publication of result of archaeological researches in the country;

5To foster collegiality among archaeologists working in the Philippines; 

6To promote and abide by the Code of Ethics in Archaeology; and

7.  To foster dialogue through consultation, conferences and meetings with International Archaeological Societies and/or individuals.

 

Article III: Organizational Structure 

The Board of Trustees is the highest governing body of the Society, which shall determine the policies of the organization. The Society shall be composed of bona fide members: It shall have 1) an Executive Board, whose function and duties are prescribe by the bylaws; 2) standing committees; 3) and special taskforces, which-may be formed by the Executive Board as the need arises.

 

Article IV: Membership

Section 1. Membership Basis

Membership is open to any person, who is a Filipino citizen and practicing archaeology in the Philippines, without prejudice to gender or religion.

Section 2. Classes of Members

1. Regular member - Any person who is a practicing archaeologist and who supports the objective of the Society is eligible for membership. A practicing archaeologist is a person by virtue of his/her long experience (5 years with at least two publications) in archaeology and/or by virtue of his/her academic accomplishments (Masters degree in Archaeology or Anthropology majoring in Archaeology) is recognized as an archaeologist.

2. Associate member - Any person who has limited experience (3 years) and/or academic accomplishments with at least a Diploma in Archaeology can become an associate member.

3. Honorary members - -This may be conferred to individuals who have association with the organization or have contributed to the development of archaeological discipline. Foreign archaeologists working in the Philippines may be bestowed an honorary membership upon application.

Section 3. Privileges

All classes of members shall enjoy the privileges of the Society except for voting powers reserved regular and associate members. Regular and associate members shall enjoy a full vote each. Regular members shall enjoy the privilege of being nominated and elected to the Executive Board.

Section 4. Membership Application

The application for membership to the Society must be submitted to the Executive Board. The Committee on Membership shall process the requirements and appraisal of the applicants for commendation to the Executive Board.

Section 5. Suspension and Termination of Membership

1. Any member whose acts are contrary tot he ideals and objectives of the Society and violates the Code of Ethics in Archaeology may be suspended or terminated from the Society after due process.

2. Any member can file a complaint with the membership committee which will investigate the complaint and if found to be meritorious will submit to the Executive Board for proper action.

3. With a vote of 2/3 of the- Executive Board, any member may be suspended from the Society.

4. Termination of membership from the Society requires 2/3 of the voting members present at the General- Assembly.

5. Quorum. - Simple majority is needed (50% + 1).

 

Article V: Board of Trustees

Section 1. Authority and Responsibility

The power of the Board of Trustees emanates from the General Assembly. The Board of Trustees will elect among themselves the officers of the Executive Board. The Board of trustees shall have supervision and direction of the affairs of the Society, its committees and publication.

Section 2. Executive Board

The Executive Board shall be composed of a President, Vice-President, Secretary, Treasurer and Board members-at-large.

Section 3. Duration of Office

The members of the Board of Trustees shall have a term of two fiscal years.

Section 4 Meetings

The Board of Trustees shall hold at least one regular meeting per quarter per year at such time and determined by the President.

Section 5.  Quorum and Voting

At any meeting of the Board of Trustees simple majority (50% + 1) shall constitute a quorum. A vote of 2/3 of the quorum is needed to pass a resolution.

 

Article VI: Officers

Section 1. - The President

The President shall be the presiding officer of the Society and the Executive Board. The shall perform such duties as necessarily incident to the Office of the President or as maybe prescribed by the Executive Board.

Section 2. The Vice-President

Vice-President shall perform tasks assigned to him by the Executive Board. In case, the President cannot perform his responsibilities, the Vice-President performs the duties of the president.

Section 3. Secretary

The Secretary shall oversee the proper recording of the proceedings of the meetings of the Society and the Executive Board. The Secretary is responsible for the, proper keeping of the Society’s records. The Secretary shall communicate to the members the status and welfare of the organization.

Section 4. Treasurer

The Treasurer shall oversee the Society’s funds and financial records; collection of the membership dues; the establishment of the proper account procedures for handling the Society’s- fund and report to the General Assembly the financial condition of the Society.

 

Article VII: Committees

The Standing Committees of the Society are the Committee on Research, Committee on- Information and Publication, Committee on Finance and Committee on Membership. Each committee will elect a Committee Chairperson. The membership for each committee will be designated by the Executive Board.

Section 1.  The Committee on Research

The Committee shall promote archaeological science through educating the public. It shall conduct advocacy work for the protection of archaeological and cultural resources. It shall also spearhead or support scientific researches on archaeology.

Section 2.  The Committee on Information and Publication.

This Committee shall be responsible for the annual publication of the Society’s official journal.

Section 3. - The Committee on Finance

This Committee is responsible for fund raising activities is support of projects of the Society.

Section 4. - Committee on Membership

The Committee shall process the application of membership in the Society. It will also present to the General Assembly the official roster of members. This committee shall also be responsible for the different collegial gatherings and activities of the society.

 

Article VIII: Meetings

Section 1. The Society shall have an Annual Business Meeting-Conference on October 20 at the principal office. Each bona fide member of the Society will be informed by the Secretary of the agenda of the meeting.

Section 2. Any member can submit to the Committee on Membership his scientific paper in archaeology that may be read during the Annual Meeting. - The Committee on Membership shall select the best scientific papers that will be read at the Annual Meeting Conference.

Section 3. The Publication Committee shall select among the papers presented during the Annual-Meeting Conference those, which maybe published in the Society’s journal.

 

Article IX: Nominations and Elections

Section 1.  Committee on Election

This committee consisting of three regular members designated by the Board of Trustees shall facilitate the nomination and election of trustees. The committee shall be formed one month before the election.

Section 2.  Election Procedure

1. Only regular members who are Filipino citizens can be nominated and elected to the Board of Trustees.

2. The procedure of electing trustees is getting the seven highest votes.

 

Article X: Vacancy and Impeachment

Section 1.  Vacancy

In case of vacancy other than removal or expiration of term, of the President, the Vice-President shall assume the position. For other positions, the Executive Board will elect the officer for the vacant position from the Board members-at-large.

Section 2 Impeachment

Any Officer whose acts violate the Society’s Constitution and Bylaws and/or the Code of Ethics in Archaeology shall be impeached.

Section 3 Procedures

The Executive Board shall recommend to the General Assembly the impeachment of an elected officer. A formal impeachment requires a vote of 2/3 of the simple majority of the members present.

 

Article XI: Miscellaneous Provisions

Section 1. The Society shall adapt its own seal, logo, and insignia as approved by the General Assembly.

Section 2.  Amendments.

Amendments to this Constitution and Bylaws shall be done during a special session or as the need arises in the presence of the majority of the Board of Trustees (50% + 1) and majority of the body (50% + 1).
