Article 4 - Board of Directors


A.    The Board of Directors is to be elected by the voting membership. The   number of Directors shall at no time be less than three (3) but no more than six (6), excluding the president.

B.    The voting memberhip shall elect members of the Board of Directors for a two (2) year term to start January 1 following the election.

C.     The elected Chapter President shall service on the Board, however, shall not serve as Chairperson of the Board.

D.     The members of the Board of Directors shall be elected at the Chapter's general election.

E.      A member of the Board of Directors may also serve as an officer.


Article 5 - Power and Duties of the Board of Directors

A.     To transact the business of this organization.

B.     To take all necessary steps to insure achievement of the purposes of this organization.

C.     To propose amendments to the bylaws by a majority vote of the Board of Directors at any regular or special meeting provided written notice of such meeting contains the text of the proposed amendment to be furnished each member not less than fourteen (14) days prior to such meeting. To then present the proposed amendments to the voting membership for approval.

D.     To select a member to fill any vacancy that may occur on the Board of Directors for the balance of the unexpired term.

E.      The Board of Directors may meet monthly, but not less than quarterly. Two-thirds of the Board must be present to constitiute a quorum.

F.      To elect a member of the Board to serve as Chairperson. The Chairperson shall preside over all meetings of the Board. To also elect a Vice Chairperson to serve in the absence of the Chairperson.


Article 6 - Officers

A.      The officers of this organization shall consist of a President, Vice-President, Secretary, and Treasurer. Officers shall begin their term of office January 1 upon election by the voting membership from nominees presented by the nominating committee.

B.       An officer may also serve as a member of the Board of Directors.

C.      The term of office for all officers shall be two (2) years, not to exceed two (2) consecutive terms.

D.      All officer vacancies, except the President's, occurring during their term shall be filled by the election  by this organization's voting membership. The President's office shall be filled by the Vice-President.

E.      Unexcused absences exceeding 50% of the Chapter meetings are grounds for dismissal and will be addressed by the Board of Directors for consideration.
