Article I
Name

The name of this organization shall be called the Christian Employee Network of Delta Air Lines, Inc. {Delta}.  For all purposes the acronym CEND shall be equally acceptable.

Article II
Purpose, Mission, and Beliefs


Purpose
The purpose of CEND will be to serve God by serving Delta by the quality of our work, the integrity of our character, and the sincerity of our attitude. 


Mission
The CEND aims to assist Delta in developing the most productive and equitable workplace for all employees and their families, to promote diversity in the workplace, and to provide support and advocacy for all Delta employees.  Through education, active involvement, and personal commitment, we strive to encourage and support fellow employees by helping Delta recognize Christian values and standards as a valuable resource to the workplace.

1.  To provide a resource of information by providing educational materials
      throughout Delta to increase the awareness of the Christian presence at
      Delta.

2.  To provide a resource of support by sharing, praying and encouraging. 
     To share the hope of Jesus Christ that is within us with gentleness and    
      respect. {1 Peter 3:15} 

     To pray for all men and women and all of those who are in authority over us
     at Delta. {1 Timothy 2:1-2}

     To encourage all Christians within Delta with stimulation to love and good  
     deeds towards co-workers, customers, and communities.{Hebrews 10:25}

3.  To work with other employee networks to address common issues within
      Delta.

4.  To assist Delta in the recruitment, retention, and promotion of Christians.

5.  To sponsor activities and events and represent Delta in a positive light in our
     communities.

6. CEND will be an organization to break stereotypes. Too often, Christians are
    portrayed in a negative light, especially in the media.  Here is an opportunity to show
    other Delta Employees and Delta customers that true Christians have integrity, have
    love and compassion for our fellow workers no matter who they are, and have a
    work ethic that reflects how Christians ought to work. {Colossians 3:23}


Beliefs
CEND will be distinctively Christian in nature based upon the following convictions:

(1) In the verbal inspiration of Scriptures, both Old and New Testament. We believe 
      them to be inerrant in the original writings and that they are the supreme and final
      authority in faith and life.
(2) That God eternally exists in three persons: Father, Son and the Holy Spirit.
(3) That Jesus Christ was begotten by the Holy Spirit, born of the Virgin Mary and is
      true God and Man.
(4) That man was created in the image of God, that he sinned and thereby not only
      incurred physical death but also spiritual death, which is separation from God, and
      that all human beings are born with a sinful nature.
(5) That according to the Scriptures Jesus Christ died for our sins as representative
      and substitutionary sacrifice and that all who believe in Him are justified on the
      grounds of His death, burial and resurrection, and not on the basis of human merit
      or works.
(6) That all who receive by faith Jesus Christ as Lord and Savior are born again of the
      Holy Spirit and thereby become the children of God.
(7)  In the resurrection of the crucified body of our Lord, in His ascension into heaven,
      and in His presence there for us as High Priest and Advocate.
(8) That our Lord and Savior, Jesus Christ, will personally return and set up His
      kingdom wherein He will rule and reign in righteousness.
(9)  In the bodily resurrection of the just and the unjust, the everlasting blessedness of
      the saved and the everlasting punishment of the lost.

CEND will neither be denominational or political, nor support any particular church or political candidate.


Article III
Members


Section 1. Membership in the Christian Employee Network will consist of local organizations within Delta, Delta Technology Inc. {DT}, Song, and its subsidiaries that formally embrace the Christian Employee Network�s Objectives, Mission, Beliefs, and Articles.  Such an organization that joins the Christian Employee Network will be known as a "local chapter".  Each local chapter shall be referred to with the name Christian Employee Network� (Local Name); e.g. Christian Employee Network� ATL.

For a local chapter to be officially formed and affiliated with the Council, the Local Chapter must meet all Articles and rule criteria. 

Any individual employee, retiree, or employee on QTO of Delta or its subsidiaries may become a member of the Christian Employee Network.  Any member of a local chapter shall be considered a member of the Christian Employee Network.  Further, any person employed at Delta or its subsidiaries and not a member of a local chapter may join the Christian Employee Network.  Any Christian Employee Network member who is not a member of a local chapter shall be termed a Member-At-Large and shall be represented with voting authority by the At-Large-Chapter.  An employee may only be a member of one Local Chapter at a time.  The Vice-President shall oversee the At-Large Chapter.

Members in good standing are those who are performing satisfactorily in their present position within the company, have paid dues for previous 6 months and are committed to the Beliefs of the Network.

Non-members shall be welcome to participate in the work of the Christian Employee Network, but may not make motions, vote, or hold office.

To become a Local Chapter, a group may join the Christian Employee Network by submitting a formal, written application for membership to the Secretary, who shall report at the next meeting of the Council.  A majority vote of approval shall admit the organization to membership as a local chapter.

The secretary shall maintain lists of all Local Chapters.  The list of local Chapters shall be a matter of public record.  Individual membership lists are considered confidential and will not be published.


Section 2. The Council shall have the authority to levy initiation fees or dues for membership in the Christian Employee Network for individuals and local Chapters.  All dues collected are non-refundable to either local chapters or individuals.

Section 3. Any Chapter wishing to resign from the Christian Employee Network shall submit its resignation in writing to the Secretary, who shall report at the next meeting of the Council.


Article IV.
Structure


Section 1. The Council is composed of two representatives of each Local Chapter, the President and Vice-President.  These positions shall be open to any employee that is in good standing within the Christian Employee Network.  It is required that these positions be filled and may remain vacant for no more than 30 days.

Section 2. The Christian Employee Network will conduct its meetings under the structure described in this section.

The primary governing body will be the Council, headed up by a President and Vice-President wherein all local Chapter Representatives may attend, make motions, and vote.  In addition, all Committee Chairpersons may attend and make motions but are not entitled to vote by virtue of being a committee chair.

The President of the Council may also attend and make motions, and shall preside, but is only entitled to vote in the event of a tie.  Other individual members of the Christian Employee Network may also attend the Council if the meeting facilities can accommodate them, but may not make motions or vote.  Each Local Chapter may cast two votes.

Section 3. The Council shall have the authority to make decisions on all matters that affect more than one Local Chapter.  On issues concerning only one Local Chapter, that Local Chapter shall retain autonomy unless it formally requests intervention by the Council or if the Local Chapter�s policies are in conflict with the Christian Employee Network�s Articles, Objectives, Missions, beliefs, or policies.

Section 4. The Council is the sole official policy making body for the Christian Employee Network.  The President of the Council is the sole official spokesperson for the Christian Employee Network and will represent the Christian Employee Network�s issues to Delta management and the public.


Article V.
Officers


Section 1. The Officers of the Christian Employee Network shall consist of a President and Vice-President {who shall serve as President and Vice-President of the Council}, a Secretary, and a Treasurer.

These officers shall perform the duties prescribed by these Articles and by the parliamentary authority adopted by the Christian Employee Network.

Section 2. The Council shall set the date for nominations for the Christian Employee Network�s offices.  The Nominating Committee shall present to the Council a list of candidates for each office.  The Council shall also set the date for election of new officers.  In addition to the candidates submitted by the Nominating Committee, nominations shall be accepted from the floor.  The date of the election shall be announced to the general membership at least 30 days in advance.

During the first year of the Christian Employee Network�s existence, the formation team will bring nominations forward.

Section 3. The President and Vice-President shall serve for two years or until their successors are elected.  One officer {President/Vice-President} will be elected each year so as to create staggered terms.  All other officers shall serve for one year or until their successors are elected.  The term of office for all officers shall begin on January 1 following their election.

Should an office become vacant, the Council shall elect a replacement to serve out the remainder of that officer�s term.  If the vacant office is one of the President or Vice-President, the replacement shall be open to members in good standing.

Section 4. There shall be no limit to the number of consecutive terms served by a member in office.

Section 5. The President and Vice-President shall have the authority to supervise the affairs of the Christian Employee Network between its business meetings.  The President and Vice-President are bound by all votes of the Council.

The President and Vice-President shall have the authority to establish committees of their choosing, and these committees shall report directly to them.  The President and Vice-President may delegate any of their duties but shall remain responsible for the results of such delegations.

The President and Vice-President shall be the primary points of contact between the Christian Employee Network, Delta management, other organizations and individuals with which it transacts and the President and Vice-President�s names shall be distributed to all organizations needing to contact the Christian Employee Network.

Section 6. Upon petition by at least one third of the entire Council, the recall of a President/Vice-President shall be debated.  Following the debate, a vote of two-thirds majority of the quorum, in favor of recall will remove that person from office. A Quorum will consist of 3/5 of the entire council which must be present for the vote to take place.


Article VI.
Meetings


Section 1. The Council shall meet at least once per year.  During the course of a meeting, the Council may fix the hour and place of its next meeting.  If either is not so fixed, it is left to the discretion of the President.  All meetings must be announced at least fourteen days beforehand.

In the event of an emergency, the President may call an emergency meeting of the Council, setting the hour and place of that meeting.  The local Representatives may also convene emergency meetings of Local Chapters.  The emergency meetings require no set advance notice, but a quorum of the membership must attend the meetings.

Section 2. In any meeting, a simple majority of the present members of that body shall constitute a quorum.


Article VII.
Committees


Section 1. All standing committees named in these Articles shall report, via the committee chairperson(s) or his/her alternate, at each meeting of the Council or of the Local Chapter.

Membership in the committees shall be by the appointment of the President and Vice-President.  The President and Vice-President can change committee members or the size of the committee at any time, and shall be ex-officio members of all committees except the Nominating Committee.  Any member of the Christian Employee Network in good standing may serve on a committee.  If the President and Vice-President do not name a committee chairperson the committee shall elect one from its membership.

Local Chapters may appoint their own committees as desired.  The Local Chapter Representatives shall determine the size and membership of such committees, may name the committee chairperson(s), and shall be ex-officio members of all such committees.

Section 2. Finance Committee.   The Finance Committee shall be composed of the Treasurer and at least two other members.  The Finance Committee shall prepare the annual budget, manage all fundraising projects, and manage the collection of dues.

Section 3. Nominating Committee.  The Nominating Committee shall be composed of two or more members.  The Nominating Committee shall seek out and nominate qualified candidates for all offices, and may also propose members for committees.

Section 4.    Community Outreach Committee.  The Community Outreach Committee shall outline and oversee CEND�s involvement with new local community projects, as well as work with Community Affairs in providing resources for existing community projects. 

Section 6. The President and Vice-President may create any other committees that they deem necessary.


Article VIII.
Parliamentary Authority


The rules contained in the current edition of Robert�s Rules of Order shall govern the Christian Employee Network in all cases to which they are applicable and in which they are not inconsistent with these Articles and any special rules of order the Christian Employee Network may adopt.


Article IX.
Amendment of Articles


Amendment of the constitution and Articles requires a two-thirds vote of the Council, provided that the proposed amendment has been submitted in writing at the meeting of that body preceding the meeting at which the vote is held.  The proposed amendment must then be ratified by at least two-thirds of the Local Chapters within 90 days.  Amendments may not be proposed or voted upon at an emergency meeting.


Article X
Financial


Account Organization, Receiving and Disbursing and Audit
Any funds donated by an individual or affiliated group will be deposited in a Delta Employee Credit Union Account that is open in the name of the Christian Employee Network.  These funds will be disbursed as directed by a pluralality of CEND Officers for the furtherance of the CEND mission.  A person designated by the CEND Treasurer will account for the funds deposited in this account on a monthly basis.  This report will provide a written audit of all receipts and disbursements to the officers no later than the 10th day of each month.
