| Article 1: Elections 1. A special committee of non-biased members in good standing shall form each April to propose a suggested slate of officers for the club's following year. These members of the committee will take all factors into consideration and shall be resolved to decide on the slate that would best serve the purposes and goals of the club. The slate shall include proposals for the offices of president, vice president, secretary, treasurer, and sergeant -at- arms. 2. Upon the proposal of this slate to the club, the committee shall briefly open the floor to further nominations either by writing or verbally. Voting wil then proceed by secret ballot. Those candidates receiving a majority of the votes of the members present and in good standing shall be elected. 3. The new president reserves the right to appoint members to hold a certain number of special positions on the board, with the expected guidance of the other board members. In the event, that an officer appointed by president fails their duties to the club, the president reserves the right to remove/ void their title and position on the board. A set number of representatives shall be elected each spring by members in good standing from their class only after such candidates who are interested have completed the application proving their value in such an office. 4. The elected candidates will be inducted in the spring and shall be officially begin their terms in August of the following year. Article 2: Duties of Officers 1. President: The president shall preside at all regular and special meetings of the club and the board of directors. He shall, with the approval of the board, appoint all standing and special committees and, in the event of a vacancy in the board of directors, shall, with the approval of the board, fill such vacancy by appointment until the next regular election of the club. He shall be responsible for and held to fulfilling all of the purposes and goals of the club and shall serve as leader and presenter of the majority of the year's projects and activities. The president is also an ex officio of all committees. 2. Vice President: The vice president shall work closely with the president and heads of all committees to carry out the goals of Interact. In the absence of the president, he will preside at meetings of the club and board of directors. Although vice president generally succeeds the office of president, he is not required to do so nor is the membership obligated to vote him into that office. 3. Secretary: The secretary shall be responsible for maintaining all club records, including those of attendance and service as well as minutes from all meetings of the club or board of directors. In addition to this, the secretary shall arrange the chariman of each month and supervise his organization of the projects. 4. Treasurer: The treasurer shall have custody of all club funds, maintaing all necessary records, and depositing such funds as necessary in a bank approved by the board of directors. He shall automatically be the chair of any fundraising efforts and thereby responsible for overseeing the payment of these required funds by all the members. He shall report the club's financial status at the opening of each club meeting, and shall hold all records available for inspection by any club member. 5. Sergeant -at- Arms: The sergeant at arms shall be responsible for calling each meeting of the club or board of directors to order upon the request of the president and adjourning each meeting upon the closure of business. He shall distribute or collect any materials to or from members during the meeting and maintain order throughout. 6. Board of Directors: The board of directors shall be the governing body of the club and shall include the main officers listed above as well as specified representatives from each class and a minimal number of positions appointed by the president. It shall make informal monthly reports to the club to apprise all members of the club's operations. It shall hold regularly scheduled meetings which shall be open to the attendance of any club member in good standing. Members attending such meetings, however, shall not address the meeting except with permission from the board. Article 3: Amendments 1. These by-laws may be amended by a majority vote of the members in good standing at any regular or special meeting of the club at which quorum is present, provided notice of intention to call such a vote is given at least fourteen days earlier at a meeting of the club at which a quorum is present, and provided such amendment is approved by the sponsoring Rotary Club. 2. Nothing in these by-laws shall contravence any provision of this club's constitution. |
