ARTICLE I - NAME The name of the Association shall be the "Mount Vernon Farms Civic Association." ARTICLE II - AREA The Association shall represent those individuals and communities not represented by other local civic organizations in an area in Fairfax County, Virginia, bounded by Fort Belvoir, the Potomac River, Little Hunting Creek and Route No. 1, being the area in which several of George Washington's farms were located. ARTICLE III - PURPOSES The purposes of the Association shall be to promote the health, safety, and welfare of the residents, enhance the residential desirability, and preserve the historical character of Fairfax County in general and the Mount Vernon area in particular. ARTICLE IV - MEMBERSHIP Membership in this Association shall be limited to families in the area and such Honorary Members, as the Board shall approve. Constant recruitment of new members shall be conducted. Additional members shall be accepted at any time. Removal of residence from area shall automatically revoke membership. Membership in this Association shall not preclude membership in other organizations dealing with local affairs. ARTICLE V - OFFICERS The Officers of the Association shall consist of a President, a Vice President, a Secretary, and a Treasurer. Officers shall be elected annually and shall hold office until their successors have been installed. The term of any Officer may be terminated upon a four-fifths vote of those members voting at a meeting of the Association with a quorum present. ARTICLE VI - BOARD OF DIRECTORS The Board of Directors shall have the power to administer and mange the affairs of the Association, subject to the Constitution and By Laws and shall consist of the President, Vice President, Secretary, Treasurer, the immediate Past President and three (3) members elected at the Annual Meeting. Any vacancy due to death, resignation or disqualification of any member the Board of Directors shall be filled by he majority vote of the Directors for the remainder of such member's unexpired term. The presiding officer may vote only to break a tie. ARTICLE VII - COMMITTEES The Board of Directors may provide for such committees, as it may deem advisable. The President, with the consent of the Board, shall appoint the officers and members of the committees. ARTICLE VIII - MEETINGS There shall be an Annual Meeting of the Association during the month of May each year and such general meetings during the remainder of the year as shall be called by the President. The Board of Directors shall have power to call special meetings as deemed necessary. ARTICLE IX - ELECTIONS AND TERM OF OFFICE All officers and the three other members of the Board of Directors shall be elected at the Annual Meeting by a majority vote of the members present and voting. Nothing herein contained shall be construed to prohibit nominations from the floor at the Annual Meeting. All officers and members of the Board of Directors shall serve for one year following their election, until the next Annual Meeting provided for in Article VIII. ARTICLE X - VOTING The privilege of voting at meetings of the Association shall extend only to adult members in good standing, with two votes per family. A quorum shall consist of not less than ten (10%) percent of the members in good standing. ARTICLE XI - RULES OF ORDER Robert's Rules of Order shall govern the proceedings at all meetings of the Association. ARTICLE XII - AMENDMENTS The Constitution may be amended at any regular or special meeting of the Association by a two-thirds vote of the members present and voting, providing notice of proposed amendment or amendments shall have been announced at least one month in advance. |
