Part I : Full Board Policy

Section A: General Provisions

1) Any established procedure of the Missouri-Arkansas District Board of Officers (hereafter referred to as the Board) shall be called policy, and any decision made by the Board concerning the implementation of a policy shall be called an enactment.

2) All policies of the Board shall be contained in this Policy Code, which shall in no way nullify any part of the Bylaws of the Missouri-Arkansas District of Circle K International.

3) All changes to this Policy Code shall require a majority vote of the Board. This Policy Code supersedes all previous codes of policy and rules adopted by the Board.

4) The Governor and Administrator(s) shall share the responsibility for adherence to this Policy Code. The District Secretary/Editor shall maintain the Policy Code, and is responsible for the distribution of policy updates within thirty days of any revision to members of the Board and to each club in the District.

5) Current copies of this Policy Code shall be made available to any member of the District upon request, provided such request is reasonable and prudent.

Section B: Establishment of Divisions

1) The District shall be divided into four geographic regions called divisions, which will be identified by names as established by the Board. (See Appendix A)

2) The Board may alter the division boundaries by a majority vote, but shall not alter the number of divisions without approval from the Missouri-Arkansas District Board of Officers of Kiwanis International.

3) Each respective division shall be counseled and represented by a duly elected officer of the District Board and bear the title of Lieutenant Governor. In the case that a vacancy may occur, the Governor shall designate a sitting member of the District Board to serve as counselor until an appointment can be made.

Section C: District Board of Officers

1) Governor

a) The Governor shall perform those duties as prescribed in PART V, Section 4(a) of the Bylaws of the Missouri-Arkansas District. (See Appendix B)
b) The Governor shall represent the District at the Missouri-Arkansas District Kiwanis Convention and the Missouri-Arkansas District Key Club Convention upon invitation to participate. If the Governor is unable to attend such an activity, (s)he shall appoint a representative from the Board to attend.
c) The Governor shall establish an agenda for all meetings of the Board with the input from the Administrator(s) and members of the Board.

2) Secretary/Editor

a) The Secretary/Editor shall perform those duties as prescribed in Article V, Section 4(c) of the Bylaws of the Missouri-Arkansas District. (See Appendix C)
b) The Secretary/Editor shall publish and distribute no less than four district bulletins annually. These bulletins will be made available to each member of the District in good standing.
c) The secretary/Editor shall compile and publish a district directory in the Summer and the Fall of each year. These directories will be made available to each club of the District in good standing.

3) Treasurer

a) The Treasurer shall perform those duties as prescribed in Article V, Section 4(d) of the Bylaws of the Missouri-Arkansas District. (See Appendix E)

4) Lieutenant Governor

a) Lieutenant Governors shall perform those duties as prescribed in article V, Section 4(b) of the Bylaws of the Missouri-Arkansas District. (See Appendix E)

5) Removal of Board of Officers

a) Each member of the Board shall sign a service agreement contracting their commitment to the District at the beginning of their term of office. (See Appendices B-E)
b) Failure by any Board member to comply with the respective duties of the elected office as prescribed by the aforementioned service agreement is subject to action by the Governor in accordance to Article V, Section 5 of the Bylaws of the Missouri-Arkansas District.

Section D: Meetings of the District Board of Officers

1) The Board shall meet no less than five times each year to transact the business of the District.

2) A meeting of the outgoing and incoming Board of officers shall be held at the conclusion of the District Convention.

3) Any member in good standing may attend meetings of the Board. The Board reserves the right to enter into closed sessions as deemed necessary and appropriate, which only voting members and the Administrative staff may attend. Minutes of the closed session will only be made available to voting members and the Administrator(s). The Board may, by majority vote, allow others to attend closed sessions.

Section E: District Events

1) The District shall hold an annual Fall conference in conjunction with the Kiwanis Clubs, Key Clubs, and Builders Clubs in the District. The Fall conference shall be called the K-Family Conference.

2) The District shall hold an annual District Convention prior to April 1 of each year.
