CONSTITUTION AND BY-LAWS OF THE MID-PALATINATE CHAPTER
                                    
Association of the United States Army (AUSA)




ARTICLE V
-----------------------------------Officers





Section 1.  Composition and Eligibility.  The officers of the Mid-Palatinate chapter of the AUSA shall consist of:  A President, First Vice-President, Vice-President, a Secretary and a Treasurer.  The President and First Vice-President will be elected by the membership.  Other positions are appointive.  Additional Vice-Presidents may be appointed by the President with the approval of the Board of Directors.  Members of the Regular Military Service, or National Guard or Reserve personnel on extended active duty, may not hold an elected office. (This restriction does not apply to overseas chapters, and it does not apply to the offices of Secretary and Treasurer in chapters in the United States.)


Section 2.  Execuitive Committee.  The Executive Committee shall consist of the President, Vice-Presidents, Secretary, Treasurer, Immediate Past President and additional board members as determined by the chapter.  This committee shall have the power to act in the chapter�s name in situations requiring decisions before the next scheduled chapter meeting, and will meet monthly at the call of the President.


Section 3.  Board of Governors (or Directors).  The Board of Governors (or Directors) shall consist of 10-15 members, appointed by the President with the approval of the membership.  The President and Vice-President(s) are ex-officio members of the Board of Governors(or Directors). (NOTE: A Board of Governors[or Directors] is not mandatory.)

Section 4.  Status and Powers.  The officers enumerated above shall be the governing body of the chapter.  They govern in accordance with the by-laws of the AUSA and the by-laws of the Mid-Palatinate Chapter.  Officers elected shall serve for a period of two years.


Section 5.  Duties of Officers. 


1.    President (Elected).  Principal executive officer of the chapter.  Presides at the meetings of the Executive Committee and at the General Membership Meetings.  Appoints with the concurrence of the Executive Committee, any non-elected officers and committee chairpersons.  Responsible for insuring a sound organization and effective overall chapter management.


2.    First Vice-President (Elected).  Assist the President, presides in the absence of the
President and should be the chairperson of the Program Committee.  In the event the President can no longer serve, the First Vice-President assumes that role until and election can be held.


3.    Second Vice-President (Appointed).  Assist the President, presides in the absence of the President and First Vice-President and should be the chairperson of the Membership Committee.  He or she may be elected by the membership, or appointed by the President with the concurrence of the Executive Committee.


4.    Secretary (Appointed).  Although, this may not be an elected office, appointment is strongly recommended.  Frequently, an assistant(s) is/are required.  The Chapter must be so organized that there is support  from other officers and other committees.  Duties and responsibilities normally include the following:


a.    maintenance of chapter records


b.    recorder of all meetings


c.    preperation of all chapter correspondence


d.    reporting results of elections


e.    reporting chapter activities to National. (These reports are to be submitted on AUSA Dorm 8209E �Chapter Activity Report� (CAR)


f.    maintenance of the chapter�s membership rosters


g.    maintenance of current authority to operate on Department of the Army installations (where appropriate) in accordance with Army Requlation 210-1


5.    Treasurer (Appointed).  The office of Treasurer is a separate office.  Assistant(s) may be appointed when necessary.  The Treasurer will submit to the Treasurer at National Headquarters financial reports on forms supplied by National Headquarters covering a calendar year.  Date of submission will be as indicated by the National Treasurer.  Duties and responsibilities  normally include the following:


a.    receiving, disbursing and safeguarding funds belonging to the chapter


b.    maintenance of necessary accounting records


c.    preparation and submission of the annual calendar financial report to the National Treasurer on forms supplied by National


d.    arranging for an audit of financial records, when necessary


e.    maintenance of relations with banks and financial institutions with whom the chapter conducts business


f.    advising the President and Executive Committee on all financial matters


g.    preparation or assistance in the preparation of budgets


h.    maintenance of proper insurance coverage on chapter assets and activities


i.    submission of periodic financial reports to the members of the Executive Committee


6.    Committees.  Standing committees are permanent in nature.  The committees for the Mid-Palatinate Chapter are: Programs, Individual Membership, Public Affairs, Awards, Corporate Membership, Retiree Affairs, and Reserve Component Affairs.
