| 1. ACCEPTANCE OF TERMS
The Legacy Soap Company (hereinafter �Legacy Soap�) operates the Web Site www.geocities.com/legacysoap, which is also available through the domain www.legacysoap.com (collectively the �Legacy Soap Website�). Access is granted to the Legacy Soap Website subject to the following Terms of Use. By using or accessing the Legacy Soap Website, you are agreeing to comply with the Terms of Use, including the Legacy Soap Privacy Policy, as well as all other posted guidelines or rules, which may appear on the Legacy Soap Website and are incorporated into the Terms of Use by this reference. Should you object to any term or condition of the Terms of Use, or any subsequent modifications thereto or become dissatisfied with Legacy Soap in any way, your only recourse is to immediately discontinue use of the Legacy Soap Website. 2. MODIFICATIONS TO THIS AGREEMENT Legacy Soap reserves the right, at its sole discretion, to change, modify, update or otherwise alter these Terms of Use at any time. Such modifications shall become effective immediately upon the posting thereof. It is your responsibility to review the Terms of Use on a regular basis to keep yourself apprised of any changes. Your continued use of the Legacy Soap Website indicates your acceptance of all modifications. 3. COPYRIGHTS AND TRADEMARKS The Legacy Soap Website is protected to the maximum extent permitted by copyright laws and international treaties. The entire content displayed on or through the Legacy Soap Website, including, but not limited to, text, design, graphics, and the selection and arrangement thereof, is protected by copyright as a collective work under the United States and other copyright laws, as well as international conventions. All trademarks or service marks (collectively the �Marks�) are trademarks or registered trademarks of Legacy Soap or other respective entities. Any reproduction, modification, or redistribution of the Legacy Soap Website, in part or as a whole, is strictly prohibited without the express written consent of Legacy Soap. 4. NOTIFICATION OF CLAIMS OF INFRINGEMENT If you believe that your original work has been copied in any way that constitutes copyright infringement, or that your intellectual property rights have been violated, please notify Legacy Soap through the email address that appears on the bottom of this page. Legacy Soap will remove the infringing content subject to the procedures outlined in the Digital Millenium Copyright Act.Be advised that your Notification must include all of the following: A) A physical or electronic signature of yourself or the person authorized to act on behalf of the owner of the work that has been allegedly infringed upon; B) A description of the copyrighted work that has allegedly been infringed upon with enough detail that Legacy Soap will be able to locate it on the Legacy Soap Website; C) Your physical address, telephone number, email address and all other information reasonably sufficient to allow Legacy Soap to contact you; D) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; E) A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the lawful owner of the intellectual property allegedly infringed upon or that you are authorized to act on behalf of that owner. 5. RESTRICTIONS ON USE OF THE WEBSITE AND MATERIALS Legacy Soap grants access to users and visitors of the Legacy Soap Website for personal and non-commercial purposes only. Users and visitors may not modify, copy, transmit, display, distribute, reproduce, publish, license, sell or transfer any information, products, or services obtained from the Legacy Soap Website. You may not use the Legacy Soap website for harassment in any manner or form. You many not impersonate others, including, but not limited to, Legacy Soap employees or representatives. You herby agree that you shall not use the Legacy Soap Website to upload, distribute, display, post, or cause to be posted, any content that is obscene, threatening, libelous, defamatory, abusive, illegal or harmful to minors in any way. You further agree not to use the Legacy Soap Website in any way which would constitute an invasion of privacy or publicity rights, encourage criminal offense, violate any law or rights of another party, or give rise to liability. 6. USER SUBMISSIONS Except for personally identifiable information, by submitting ideas, suggestions or any other form of feedback (collectively �Submissions�) to Legacy Soap, you automatically grant, and hereby represent and warrant that you have the legal right to grant, to Legacy Soap the permission to use, copy, perform, display and distribute all Submissions without limitation, obligation, or compensation of any kind to you. 7. PRIVACY POLICY Legacy Soap has established a Privacy Policy in order to explain to you how your personal information may be collected and used by Legacy Soap, and under which circumstances your personal information may be released. Legacy Soap may share your personal information with other people, companies, or organizations with your permission, or in order to provide products or services that you have requested. Legacy Soap does not sell, rent, or lease your personal information. Please read our full Privacy Policy. 8. THIRD PARTY LINKS AND CONTENT In an attempt to provide increased value to our users and visitors, the Legacy Soap Website may contain links to third party websites, which may have different terms of use, guidelines, and policies. For example, Legacy Soap products are available for retail sales through a link to Missouri Mercantile (www.missourimercantile.com), which is a separate company and will process credit card transactions independent of any involvement by Legacy Soap. We do not process, collect or store any credit card information at any point during the course of such transactions. Furthermore, we are not responsible for, nor have any control over, the terms of use, content, policies or safety of such third party websites. Legacy Soap encourages all users to read the terms of use, guidelines, and privacy polices of each and every website visited. Links to external third party websites (hereinafter �External Sites�) do not imply that Legacy Soap endorses, recommends or is any way affiliated with those External Sites. Furthermore, links to External Sites do no imply that those External Sites have been legally authorized to use any Marks, designs, logos, symbols or other copyrighted materials displayed on or accessible through those sites. Nonetheless, Legacy Soap would like to protect the integrity of the Legacy Soap Website and the links placed upon it. To the fullest extend permitted by law Legacy Soap disclaims any warranties for viruses or other harmful components in connection with the Legacy Soap Website. LIMITATION OF LIABILITY The following limitations shall apply to the fullest extend permitted by law. TERMS AND TERMINATION The terms and conditions set forth in these Terms of Use are applicable to you upon your accessing or using the Legacy Soap Website. All provisions of the Terms of Use shall survive termination of your access to or use of the Legacy Soap Website. 12. INDEMNIFICATION You herby agree to indemnify and to hold Legacy Soap, its officers, directors, employees, subsidiaries, affiliates, successors, agents, assigns, service providers, and suppliers harmless from any and all claims or demands, including reasonable attorney fees and court costs, made by any third party due to or arising out of your use of or access to the Legacy Soap Website, your violation of the Terms of Use, your breach of any of the representations and warranties herein, or your violation of any rights of another party. 13. SEVERABILITY If any portion of the Terms of Use should be held in conflict with any applicable law or be deemed unenforceable, such portion shall be interpreted as far as possible in consonance with the law and with enforceability, and if the conflict is unresolvable, such portion shall be severed and the balance of the Terms of Use shall remain fully enforceable as if the unenforceable portion had been deleted by mutual consent of the parties. 14. GOVERNING LAW AND CONSENT TO JURISTICTION These Terms of Use, and all claims arising from your use of or access to the Legacy Soap Website, shall be governed by and interpreted under the law of the State of Missouri. Each party consents to personal and exclusive jurisdiction in the state of Missouri and venue St. Louis County, Missouri for all legal proceedings. 15. ARBITRATION By using or accessing the Legacy Soap Website you agree that Legacy Soap can, at its sole discretion, require you to submit any disputes that should arise in connection with your use of or access to the Legacy Soap Website to final and binding arbitration under the International Rules of Arbitration of the American Arbitration Association, by one or more arbitrators. Notwithstanding these rules, such proceedings shall be governed by the laws of the state of Missouri, as established in the preceding section. Any award determined in an arbitration initiated under this clause shall be strictly limited to monetary damages and shall include no injunction or direction to any party other than the direction to pay a monetary amount. Furthermore, arbitrators shall not have the authority to award consequential, punitive, or other damages which do not reflect the actual damages of the prevailing party, except as may be required by legal statute. 16. GENERAL These Terms of Use constitute the entire agreement between Legacy Soap and you and shall govern your use of and access to the Legacy Soap Website. Failure, on the part of Legacy Soap, to exercise, enforce, or invoke any remedy or provision allowed under these Terms of Use shall not constitute a waiver of such remedy or provision. Regardless of any law or statute to the contrary, any claim or cause of action arising from your use of or access to the Legacy Soap Website must be filed within one (1) year after such claim or cause arose or be forever barred. |
