| 2. The Executive Committee Meeting shall be called upon by the Chairperson or upon the request of at least three Executive Committee members. 3. Each member of the Executive Committee shall have one vote at the Executive Committee Meeting, the decision of which is based on simple majority opinion. The Chairperson shall cast a final decision vote if the voting comes to a draw. 4. Fifty percent of the Executive Committee members shall form the quorum at the Executive Committee Meeting. 5. If the Executive Committee fails to attend any Executive Committee Meeting, a written explanation should be submitted to the Chairperson by the Executive Committee member within one week after the meeting is being held. ARTICLE 11 �V ELECTION 1. All elections of the Association shall be held in form of ballot vote. 2. All officials of the Executive Committee shall be elected each by separate vote at the Annual General Meeting. 3. Any vacancies of the Executive Committee due to resignation shall be filled by a by-election at any Extraordinary General Meeting. 4. The nomination of the candidate shall be proposed and seconded by members of the Association. 5. The candidate for a particular post receiving the highest number of votes shall be elected. 6. When there is only one candidate for a post, the candidate shall be elected by an excess of confident votes over non-confident votes. ARTICLE 12 �V DISSOLUTION 1. The Association will be dissolved when: a) the Association is passed with the approval of a majority of the members present in a General Meeting; or b) the second Annual General Meeting held due to a previous abortive Annual General Meeting is again unsuccessful; or c) the second election of the Executive Committee held due to a previous abortive election is again unsuccessful. 2. If the Association is going to be dissolve, the financial balance and assets (if any) of the Association will be donated to other academic and non-profit institution(s) in the field of Geography in Hong Kong. The benefited institution(s) shall be finalized at the General Meeting. However, if there are any debts or liabilities of the Association, this will be the sole responsibility of the Executive Committee of the Association of the term during the debts of liabilities were incurred. ARTICLE 13 �V CONSTITUTION: 1. Amendment: The Constitution may be amended with the approval of a two-third majority of the members present at an Extraordinary General Meeting and the subsequent written approval by the Registration Societies of the Hong Kong Police Force. The amendment shall come to effect seven days after the approval by the Registration Societies of the Hong Kong Police Force. 2. Interpretation Interpretation of the constitution of the Association shall rest solely on the Executive Committee. |
