THIS IS A CONFIDENTIALITY AGREEMENT.
A. The parties agree that in the event of a breach or threatened breach of the terms of this Confidentiality Agreement, Owner shall be entitled to an injunction prohibiting any such breach. Any such relief shall be in addition to an not in lieu of any other legal or equitable relief including money damages. The parties acknowledge that Confidential Information is valuable and unique and that disclosure in breach of this Confidentiality Agreement will result in irreparable injury to Owner.
B. Neither party shall in any way or in any form disclose, publicize or advertise in any manner the discussions that are the reasons for this. Confidentiality Agreement or the discussions or negotiations covered by the Confidentiality Agreement without the prior written consent of the other party.
This Agreement shall be construed in accordance with the laws of the State of California. It is further agreed between both parties that proper venue for the resolution of any disputes concerning this Agreement is in San Diego, California. Any other venue is hereby waived. If any provision of the Agreement is found to be void by any court of competent jurisdiction, the remaining provisions shall remain in full force and effect. This Agreement contains the entire understanding between the parties and no waver, amended or modification shall be effective unless in writing and signed by the parties to be charged. All reasonable lawyers fees and services apply.
It is also agreed and guaranteed that monetary liquidated damages equal to the maximum service fee the party of whom circumvention was attempted or circumvented should realize from such transaction(s) will be paid by the person or person(s) engaged in expenses involved in the recovery of said liquidated damages and the value of any currently owned or potentially to be acquired property or equity, lost because of said attempt or circumvention.
This Non-Disclosure and Non-Circumvent, Non-Compete agreement shall be binding on any business entity or person that we are connected with in any form of business or pleasure.
By signing this letter, you bind yourself to grant me the same protection of Non-Disclosure, Non-Circumvent, Non-Compete as I grant you in all matters that relate to the transaction we are involved in as described and certify your authority to execute the same.
