| Section 4. Vacancies A. If the office of the President becomes vacant, the President-Elect immediately accedes to the office of the President for the duration of the unexpired term and continues to serve as President for the subsequent term. B. If the office of the President-Elect, the Secretary or the Treasurer become vacant, the office is filled by nominating and electing a member. Officers elected to fill vacancies hold the office of the unexpired terms of their predecessors or until their removal or resignations. . Article VII - Committees Section 1. Committees The General Membership may appoint Special Committees for any purpose. Such committees are subject to the control of the General Membership. Section 2. Standing Committees The following standing committees may be appointed by the President, and such appointment runs concurrent with the term of the President. Each committee will be directed by a designated committee chair. A. Membership This committee is responsible for formulating plans and materials for recruitment of new members, processing of applications, and making recommendations to the General Membership for action. This committee is responsible for maintaining an accurate membership list including addresses. B. Programs This committee is responsible for planning and implementing the programs for the meetings of the association and for all public announcements relating to the association. This committee is responsible for taking photographs and documentation of chapter events. The President-Elect chairs this committee. C. By-Laws This committee is responsible for the annual review and update of the association By-Laws. D. Nominating This committee prepares a list of nominees for President-Elect, Secretary, and Treasurer for the August meeting. Ballots are mailed following the October meeting. Results are announced at the final meeting of the year. E. Scholarship This committee reviews and approves applications for educational financial support. The President-Elect is entitled to a maximum scholarship of $500.00 contingent on approval of the Scholarship Committee. Members of this committee consist of the Past President as chair, Treasurer, and another active member of the association. Article VIII - Meetings Section 1. Regular Meetings Meetings are held at least quarterly. Section 2. Quorum A quorum consists of at least one officer and the active members present at scheduled, regular meetings. Section 3. Notice of Meetings Normally, the meetings are on an established date as set by the General Membership. Special meetings of the association are announced to the membership by mail or email, no less than fourteen (14) days prior to the date of the meeting. Article IX - Amendments Section 1. Active members receive copies of the current By-Laws upon payment of dues. Amendments to the By-Laws may be proposed by any active member of the association. Amendments so proposed are filed with the By-Laws Committee Chair at least thirty (30) days prior to a meeting. Written copies of same are presented to all members. The passing vote consists of two-thirds vote of the active members present at the next meeting. Section 2. The General Membership may open the By-Laws for amendment at any time.
