BYLAWS
First Edition
FOREWORD
The contents herein are the official bylaws of the Du Quoin Board of
Park Commissioners of the City of Du Quoin, Illinois. They are set forth
to guide the board's operations, to cover conditions and problems, and
to provide a ready means of reference for determination of precedent and
the deciding of board questions of administration and constitutional nature.
Amendments to these bylaws are permitted in accordance with the provisions
therein; however, the board shall not have the power to change, modify,
or conflict with the requirements of the Laws and Regulations of the City
of Du Quoin, Illinois.
Article I
Name
Section 1. The name of this board shall be Du Quoin Board of
Park Commissioners at Du Quoin, Illinois.
Article II
Laws
Section 1. The laws of this board shall be the Laws and Regulations
of the City of Du Quoin, Illinois, the interim edicts of the Mayor and
City Council of Du Quoin, Illinois, and these bylaws.
Section 2. This board may pass rules and regulation for local
government from time to time, not inconsistent with the Laws and Regulations
of the City of Du Quoin, Illinois, the interim edicts of the Mayor and
City Council of Du Quoin, Illinois.
Section 3. These bylaws may be amended by a two thirds vote of
the membership of this board in good standing, plus absentee votes, after
first reading the proposed amendment at a previous meeting, but in no case
shall the members of the this board have the right of power to change,
alter, or amend, any portion thereof which is a requirement of the Laws
and Regulations of the City of Du Quoin, Illinois, the interim edicts of
the Mayor and City Council of Du Quoin, Illinois.
Article III
Voting Powers
Section 1. Only members of this board in good standing shall
possess the right to vote.
Section 2. A majority of the members of this board in good standing
shall constitute a quorum for conduct of business.
Article IV
Membership
Section 1. This Du Quoin Board of Park Commissioners shall consist
of duly appointed residents of Du Quoin, Illinois except the president
of the Du Quoin Swim Team, who, being an ex-officio member, need not be
a resident of the city.
Section 2. The president of the Du Quoin Swim Team shall be an
ex-officio
member with voting power.
Section 3. No member in good standing with this board shall be
discriminated against by having his/her right to hold office or vote denied
or abridged.
Article V
Meetings
Section 1. This board shall hold at least eight meetings a year
at which a quorum should be present. All meetings shall be posted in accordance
with the Open Meetings Act.
Section 2. The business meeting of this board shall be conducted
in an orderly fashion and in conformance with Robert's Rules of Order.

Section 3. Special meetings of this board may be called by the
president or by a majority of its members.
Section 4. In the absence of the president and vice president,
any officer of the board may call a meeting to order, and a temporary chairperson
from the board shall be elected to preside.
Section 5. The president shall issue three warnings to anyone
s/he determines out of order. The third carries with it automatic expulsion
from that meeting.
Section 6. All board members are expected to attend every business
meeting of this board.
Section 7. In order for a member to be excused from a meeting,
that member must provide ample notice to another board member.
Section 8. Any member having three consecutive unexcused absences
will automatically be brought up for a vote to recommend dismissal from
the board to the Mayor and City Council of Du Quoin, Illinois. A 2/3 vote
of members in good standing is required before a recommendation of dismissal
may be presented to the Mayor and City Council of Du Quoin, Illinois.
Article VI
Duties, Requirements, and Selection
of Board Officers
Section 1. The officers of the board shall be President, Vice
President, Secretary, Assistant Secretary and Treasurer. Their Duties are
as follows:
A. President: The President shall be the executive head of the
board and shall preside over its meetings. S/he shall have the power to
appoint any officers or committees not provided for by the Laws and Regulations
of the City of Du Quoin, Illinois, or the bylaws of this board; and s/he
shall the authority to preside over any committee of this board s/he desires
(excluding bylaws). S/he shall not be entitled to vote within the board
except in the case of a tie. S/he shall have further powers and duties
as may be prescribed by the Mayor and City Council of Du Quoin, Illinois.
B. Vice President: The Vice President shall assist the president
in the performance of his/her duties and in the absence or disability of
the President shall succeed to his/her powers and duties. S/he shall have
the power to create committees and appoint chairpersons and members to
those committees. S/he shall be responsible for being the liaison between
committees and the board. S/he shall have further powers and duties as
may be prescribed by the Mayor and City Council of Du Quoin, Illinois.
C. Secretary: The Secretary shall keep accurate and complete
minutes of the board; s/he shall be the custodian of all records, files,
and documents of the chapter; s/he shall be responsible for the general
correspondence of the board; s/he shall keep a record of every member appointed
to the board and shall keep a separate record of all suspensions, dismissals,
and deaths within the board. S/he shall supply reports as may be requested
of him/her by the board within seven days from the receipt of such requests.
S/he shall have further powers and duties as may be prescribed by the Mayor
and City Council of Du Quoin, Illinois.
D. Assistant Secretary: The Assistant Secretary shall assist
the secretary in the performance of his/her duties and in the absence or
disability of the Secretary shall succeed to his/her powers and duties.
S/he shall have further powers and duties as may be prescribed by the Mayor
and City Council of Du Quoin, Illinois.
E. Treasurer: The Treasurer shall deposit all monies in the name
of and to the credit of the Du Quoin Park Board; s/he shall disburse monies
in accordance with the approved budget as necessary to carry on board business;
s/he shall maintain a proper accounting system and shall keep accurate
records of all monies received and disbursed; s/he shall maintain a general
journal, cash receipts journal and a cash disbursements journal. S/he shall
supply reports as may be requested of him/her by the board within seven
days from the receipt of such requests. S/he shall have further powers
and duties as may be prescribed by the Mayor and City Council of Du Quoin,
Illinois.
Section 2. The officers of this board shall be nominated and
elected at the first stated meeting following June 1 of each year. Duly
elected officers will take office at the next stated meeting following
elections and shall serve for a term of one year. All appointments to office,
or committee made by officers must be renewed by the incoming officer class
for each year.
Section 3. To hold office in this board, a member must be in
good standing.
Section 4. A petition of three board members in good standing
shall be necessary to bring the question of removing an elected officer
before the next stated meeting of the board for discussion and vote. A
2/3 majority vote of the members in good standing of the board shall be
necessary to remove an elected officer from office.
Section 5. In the election of board officers, the member receiving
a majority of the votes for the office in question shall be declared elected.
Section 6. It shall be the duty of the outgoing officers of this
board to turn over to their successors all dates, records, reports, items,
and assets pertaining to their offices, to this board, and at the same
time instructing said successors in the duties and proper administration
of their respective offices. It shall be the duty of the new officers to
secure from the former officers all data and records pertaining to the
conduct of their offices together with such information and advice as will
enable them to perform the duties of and responsibilities of their various
offices satisfactorily.
Section 7. The Executive Committee shall be responsible for the
general management and welfare of the board during the interim between
board meetings. The Executive Committee shall consist of the President,
Vice President, Secretary, Assistant Secretary and Treasurer. The President
shall be the chairperson of the committee.
Article VII
Committees and Appointments
Section 1. The standing committees shall be: Budget, Bylaws,
Fundraising, Grant, Internet, Park Renovations, Pool Renovations, Public
Relations, Other Board Relations.
A. The following committee chairpersons shall be appointed by and responsible
to the Vice President.
1. Budget Committee: They shall be responsible for reviewing,
updating, and recommending a financial budget to the board for each fiscal
year.
2. Bylaws Committee: They shall be responsible for the bylaws
of the board, and shall have referred to it all matters involving interpretation
of said bylaws. The Chairperson shall be responsible for maintaining the
bylaws and correcting the bylaws.
3. Fundraising Committee: They shall be responsible for all money-making
projects. They shall originate, organize and implement any fundraising
projects undertaken by the Board.
4. Grant Committee: They shall be responsible for finding, researching
and applying for grants in the name of the Park Board. They shall report
periodically on available grants found and applied for to the board.
4. Internet Committee: They shall be responsible for researching
and reporting on ways the Park Board may use the internet to its advantage.
They shall also help in maintaining the boards internet activity when required.
5. Park Renovations Committee: They shall be responsible for
obtaining estimates for renovation of the park and present options to the
board. They shall also seek areas in need of renovation and report on that
to the board.
6. Pool Renovations Committee: They shall be responsible for
obtaining estimates for renovation of the pool and present options to the
board. They shall also seek areas in need of renovation and report on that
to the board.
7. Public Relations Committee: They shall be responsible for
all publicity, public relations and history of the board. they shall be
responsible for all showcases, articles, and distributing literature as
needed by this board. They shall compile a history of the board from its
beginning through the tenure of his/her office. They shall maintain a scrapbook
on the publicity and activities of the board.
8. Other Board Relations Committee: They shall be responsible
for meeting with other boards and organizations when required and establishing
relationships with these groups to further the welfare of the Park Board
and others.
Section 2. The Presidential Appointments shall be: City Council
Liaison, Chief of Park Reservations, Park Board Webmaster.
A. The following positions are appointed by and responsible to the President.
1. City Council Liaison: The City Council Liaison shall be responsible
for attending Du Quoin City Council meetings and represent the Park Board
at those meetings when required. S/he shall also report back to the Park
Board any relevant information obtained at the Du Quoin City Council meetings.
2. Chief of Park Reservations: The Chief of Park Reservations
shall be responsible for placing and removing signs at the Park Pavilion
when a person or group has reserved it through the Park Board.
3. Park Board Webmaster: The Park Board Webmaster shall be responsible
for maintaining and updating the Park Board web site. S/he shall also manage
the email address of the Park Board and direct messages appropriately.
Section 3. The President of the board shall have the power to
preside over any committee of this board s/he so desires; s/he shall also
have the power to appoint any officers or special committees form time
to time, not provided for by the bylaws of the board or the Laws and Regulations
of the City of Du Quoin, Illinois.
Section 4. Committee chairpersons may be removed or replaced
as the need may occur by the officer who appointed them.
Section 5. All appointments and committees shall have such further
powers and duties as may be prescribed by the bylaws of the board.
Section 6. For the transaction of any committee business, a majority
of the members there shall decide and govern.
Article VIII
Finances
Section 1. The fiscal year of this board shall commence on the
first day of January and expire on the 31st day of December.
Section 2. A financial budget for the fiscal year covering all
necessary running expenses of the board shall be prepared by the Budget
Committee at the end of each fiscal year for the following year and submitted
to the board for approval. Upon approval, this budget shall be observed
as the official financial budget of the board of the fiscal year which
it covers.
Section 3. Any purchase in excess of $500.00 must be discussed
with the board before the purchase is made. A majority vote of the board
will be required to approve the expenditures.
