Intellectual Property
It is acknowledged that ITWARE and consultants
will acquire confidential and proprietary information (collectively
"confidential matter") concerning your proprietary information and
its dealings and method of dealings with its clients and also with
its employees. ITWARE and consultants shall not directly or
indirectly use or disclose any confidential matter except for the
sole benefit and with the consent of your corporation. Upon the
conclusion of the providing of services hereunder, ITWARE and
consultants promptly shall return to all documents and information
(including computer generated or stored matters) concerning your
proprietary information, its clients and employees, and all
services hereunder. The obligations under this paragraph shall
survive the termination of the "providing of services" hereunder
and ITWARE will advise consultants of their obligations
hereunder.
