CONSTITUTION
and BY-LAWS
PREAMBLE
We, the members of the
Foundation University Dauinanon Student Society with proper guidance of the
Devine Providence to establish and develop unity, loyalty, cooperation and to
motivate leadership among members, to have better help to the college and to the
community, do hereby bind ourselves through this association and seriously
accept this as our Constitution and By-law.
Section
1. The name of this organization
shall be Foundation University Dauinanon Students’
Society
Section
2. The acronym of this organization
shall be FUDSS.
Section
3. The main office of the
organization shall be at Foundation University, Dumaguete City
Section

3. Officers is, at all times supreme over the other members therefore need to be
respected. Member's at all times be
a protector of the officers and other members.
Its aim is to secure the sovereignty of the members and the integrity of
the organization.
Section
4. The prime duty of the officers is to protect the members.
Officers may call upon members to defend the organization is fulfillment thereof,
all members may be required under condition provided by this law, to fight for
prosperity.
Section
1. General assembly--- will be held at Dauin Municipal Quadrangle, Negros
Oriental, twice a year beginning of the 1st semester and the end of
the 2nd semester.
Section
2. Monthly meetings--- the members shall be held at room 206 of the Industrial
Engineering building of Foundation University.
Section
3. Weekly/special meetings--- the members shall be called any time of the week
by the President of the association. Special meetings may be called in times of
need, by the the president or upon petition of ¼ of the general membership.
Section
4. Notices--- time and place of general assembly, monthly meeting, weekly and
special meetings of the members shall be given personally or posted in
Foundation University bulletin board at least two days before the meeting.
Section
5. Quorum--- for any meeting of the members shall consist of 50% of the members
and a majority of such quorum may decide of any question at the meeting.
Section
6. Order of the Business--- any meeting of the members:
A.
Proof of
service of the required notice of the meeting;
B.
Proof
of the presence of a quorum;
C.
Reading
and approval of the minutes of the previous meeting;
D.
Unfinished
business; and
E.
Other
matters.
Section
1. The officers of the organization shall be: President, Vice-President,
Secretary, Treasurer, Auditor, two Press Relation Officers (internal and
external) and two Sgt. At Arms:

2. The term of officer of the officers shall be one year which reelection is
possible. In case of incapability
or vacancy of the officers the group may call a special meeting for special
election to fill up the vacancies.
Section
3. The organization shall have dignified faculty members who will act as
advisers. They shall be appointed
by the officers of the organization.
Section
1. President--- The President shall be the Chief Executive of the organization.
In addition, he/she shall:
A.
Approve
all proper expenses of the society after the approval of the officers body;
B.
He or
She précised at
all meetings;
C.
Prepares
annual report and submit it to the society; and
D.
Call all
meetings.
Section
2. Vice-President--- The Vice-President shall exercise all powers and performs
all duties of the President during the absence or incapability of the latter.
Section
3. Secretary--- The Secretary shall give all notices of the meeting. He/she
keeps the minutes of the meeting.
Section
4. Treasurer--- The Treasurer of the organization records all the money and
property of the organization.
Section
5. Auditor--- The Auditor shall examine financial reports in the hand of the treasurer.
He/she shall examine the activities of the organization.
Section
6. Press Relation Officer---The Press Relation Officer shall make announcements
of meetings that be made.
Section
6. Sgt. At Arms--- The Sgt. At Arms shall maintain peace and order.
Section
1. Qualification for membership. The
qualification are:
A.
Resident
of Dauin, Negros Oriental
B.
Studying
at Foundation University
C.
Registration
Section
2. Rights of members. A member
shall have the following;
A.
To
exercise the rights to vote in all matter relating to affairs of the
organization;
B.
To be
eligible to any elective or appointive office of the organization;
C.
To
participate in all deliberations/meetings of the organization;
D.
To avoid
of all the facilities of the organization, if there’s any; and
E.
To
examine all the records or books of the organization during business hours.
Section
3. Duties and responsibilities of the members.
Members shall have the following duties and responsibilities:
A.
Obey and
comply with the By-laws, rules and regulations that may be promulgated by the
organization from time to time;
B.
To attend
all meetings that may be called by the President of the organization;
C.
To pay
membership dues and others assessments of the organization; and
D.
To
participate in all activities of the organization.
Fines and penalties are to be established for non-participation in general meetings. The amount of fines shall be set by the members in their earlier general meetings and approved by the adviser's. The amount to be paid is P10.00.
Article VIII
AMENDMENTS
Any amendments of this constitution and By-laws will be decided by majority of the members of the organization. A writing must be made to the Secretary of the organization for any part of the constitution to be amended.
