D. Recording Secretary shall record the minutes of all Board and general membership meetings and keep them in a book. The Recording Secretary shall conduct correspondence and shall have custody of all non-financial records pertaining to the Society.

E. Membership Secretary shall solicit new members, shall collect dues and transfer monies to the Treasurer, shall issue membership cards, and keep membership records.

F. Treasurer shall receive and deposit funds as designated by the Board of Directors, shall keep a proper book of accounts, shall have a yearly audit,
AMENDED AND RESTATED, by the Audit Committee, shall render a report at each meeting, as well as an annual report.  Checks over $1,000 are to be signed by the Treasurer and countersigned by the President.  A proposed budget should be presented and voted upon at the Annual Meeting.  Any expenditure over $2,500 not presented in the budget at the Annual Meeting must be presented and approved by the Board. 

Compensation: Directors shall not receive compensation for their services as officers/directors. Directors shall not be disqualified from receiving compensation for services rendered to or for the benefit of the society in another capacity.


Article VI
Board of Directors

Section I

The Board of Directors shall consist of six elected Directors plus the elected officers of the Society.  

Section II

The Board of directors may appoint a counsel for the Society.

Section III
The Society shall maintain indemnification insurance for all officers and directors and liability insurance for the Society.

AMENDED and RESTATED - The Society agrees to indemnify, hold harmless and make whole, the Officers and Directors, to the fullest extent of the law, against claims for damages, losses and expenses, bodily injury, and property damage, to include expenses for attorney�s fees, insurance retentions and other related expenses, arising out of, or that may result from the Officers and Directors performance of their duties for the organization. The Society shall provide to its Trustees the full amount of indemnification that the Society is permitted to provide to such Board Members pursuant to Section 33-1116 to 33-1124, inclusive, of the Connecticut General Statues or any other applicable laws presently or hereafter in effect.
