| ARTICLE I. PRINCIPLES | ||||||||||||||||||||||||||||
| Section 1.� The American Chinese Society of Toxicology (ACSOT) is a not-for-profit organization registered in the US for professionals of Chinese ethnic origins studying or working in the areas of toxicology and related sciences.� The Chinese name of the organization is "Zhong1 Guo2 L�3 Mei3 Du2 Li3 Xue2 Jia1 Xie2 Hui4". | ||||||||||||||||||||||||||||
| Section 2. The objectives of ACSOT shall be to serve members as an information resource in education, employment, and business opportunities in toxicology and related fields; to provide members a forum for scientific information exchange; to facilitate scientific exchanges and cooperation between China and the U.S. in toxicologic sciences and consultant services; to promote the development, advancement, and applications of toxicology sciences in China, and to increase the international recognition of American-Chinese toxicologists. | ||||||||||||||||||||||||||||
| ARTICLE II. MEMBERSHIP | ||||||||||||||||||||||||||||
| Section 1. Any individual with Chinese ethnic origin who holds a bachelor or postgraduate degree in toxicology or toxicology related-fields is eligible for membership.� ACSOT members who pay membership dues are Full members. | ||||||||||||||||||||||||||||
| Section 2. Members shall pay a fee annually.� The Board shall determine the annual membership fee. | ||||||||||||||||||||||||||||
| Section 3. Members have the right to vote and have all privileges provided by ACSOT.� Only Full members may be elected to the official duties of ACSOT. | ||||||||||||||||||||||||||||
| Section 4. Members shall have obligations to abide to the by-laws and participate in the Society?s activities. | ||||||||||||||||||||||||||||
| ARTICLE III. ORGANIZATION STRUCTURE | ||||||||||||||||||||||||||||
| Section 1. Member's Meeting | ||||||||||||||||||||||||||||
| Member's Meetings shall be the supreme authority of the organization.� The Member?s Meeting may amend the by-laws, impeach board members, and approve or reject the President's report.� The Member?s Meeting shall make decisions by simple majority. | ||||||||||||||||||||||||||||
| The Member's Meetings shall be held annually. Special Member's Meetings may be held with the approval of at least one-third of the members.� The Board shall preside the Member's Meeting. | ||||||||||||||||||||||||||||
| Section 2.� The Board | ||||||||||||||||||||||||||||
| 1.�������� There shall be a Board of Directors (referred hereinafter as the Board) that consists of seven to eleven members.�� The Board shall run daily operations of the Society and preside Member's Meetings. |
||||||||||||||||||||||||||||
| 2.�������� The Board shall have a president, a vice-president, a secretary, and a treasurer. | ||||||||||||||||||||||||||||
| 3.�������� Members shall elect the Board members.� The Board shall elect the President. | ||||||||||||||||||||||||||||
| 4.�������� The President shall lead and co-ordinate the Board, and shall be the legal representative of the Society. | ||||||||||||||||||||||||||||
| 5.�������� The Board shall establish regulations to insure the fairness of the Board?s decision and actions. | ||||||||||||||||||||||||||||
| 6.�������� Term length of the Board membership shall be four years.� The term length of the President shall be two years.� The board members and the president may be re-elected. |

| 7.�������� The retiring President shall be a candidate for the next Board. | ||||||||||||||||||||||||||||
| Section 3.� Advisory Committee | ||||||||||||||||||||||||||||
| 1. ������� There may be an Advisory Committee which consists of up to fifteen members who are experts in toxicology or toxicology-related fields.� This committee shall be an ad hoc committee. |
||||||||||||||||||||||||||||
| 2.�������� The Board shall appoint the Chair and members of Advisory Committee. Term length of the Advisory Committee membership shall be two years. |
||||||||||||||||||||||||||||
| ARTICLE IV. FINANCE AND PROPERTY MANAGEMENT | ||||||||||||||||||||||||||||
| Section 1.� ACSOT shall collect membership dues and may accept the donations or financial supports from individuals, organizations or enterprises as long as the purpose of donation has no conflict with the ACSOT by-laws. | ||||||||||||||||||||||||||||
| Section 2. ACSOT may provide certain fee-based services.� All income from these services shall be used in the Society?s operations. | ||||||||||||||||||||||||||||
| Section 3.� The Treasurer shall manage the Society's finance and properties. The properties of ACSOT include, but are not limited to documents, letters, and files. | ||||||||||||||||||||||||||||
| Section 4.� The ACSOT shall open a bank account.� The Treasurer shall be in charge of this bank account and maintain a record of all expenses.� The treasurer shall provide financial reports to the Board and members.� The President or his designees such as the Vice President and Treasurer may issue checks.� The Treasurer shall pay or reimburse the invoices with the signature of the President or Vice President. | ||||||||||||||||||||||||||||
| Section 5.�� A budget shall be proposed by the President and be approved by the Board. | ||||||||||||||||||||||||||||
| Section 6.� The President or Vice President may issue a check of less than $250 for an emergency situation when an advanced budget proposal to the board is impossible.� The President or Vice President shall report the expenditure to the Board immediately afterwards.� The Board may approve or reject the expense.� In the latter case, the President or Vice President who approved the expense is responsible for the expense. | ||||||||||||||||||||||||||||
| Section 7.�� The past President, Vice President, Secretary and Treasurer transfer all society properties including cash, checks, records, and receipts to their successors within one week of the expiration date of their term. | ||||||||||||||||||||||||||||
| Section 8.�� This Regulation may be modified if necessary.� The Member's Meeting shall approve any modification(s).� Between Member?s Meetings, the Board may propose and develop interim modification(s) to the regulations, but these modifications must be approved during the next Member's Meeting. | ||||||||||||||||||||||||||||
| ARTICLE V. AMENDMENT AND INTERPRETATION OF THE BY-LAWS | ||||||||||||||||||||||||||||
| Section 1. Only the Members' Meetings may amend the by-laws. | ||||||||||||||||||||||||||||
| Section 2. The Board shall be the sole authority in interpreting the by-laws. | ||||||||||||||||||||||||||||
