R.A.C. Parents/Booster Club Bylaws
Article I
The R.A.C. Parents/Booster Club, hereafter known as "the Club", is a nonprofit organization dedicated to assisting the students enrolled in gymnastics classes at Rhythmic Artistic Company in meeting the requirements to remain enrolled, advance in levels and compete, as well as assisting the gym in providing proper equipment and accessories.
Article II Purpose of the Club
The Club is a nonprofit organization incorporated in the State of Nevada. The Club is dedicated to providing for the needs of and serving the students enrolled in gymnastics lessons at Rhythmic Artistic Company. The Club is headquartered in Carson City, Nevada.
The Objectives of the Club are:
1. To provide an organized forum, enabling it members to discuss and investigate the issues relative to the support of the gymnasts.
2. To accumulate, exchange and disseminate information, share experiences of mutual interest or value, and advance the effective usage of knowledge or information on techniques to provide for the support of the gymnasts, whether financial or by other means.
3. And, in compliance with Federal and State of Nevada laws and regulations, to provide information on the activities of The Club to interested parties.
To meet the Club objectives, an organization has been developed as portrayed in the following diagram. It is noted that the shaded areas are mandatory, while the unshaded regions are optional based on need and level of Club participation. All Officers, Directors and Committee Chairs come from the General Membership.

GENERAL MEMBERSHIP
Article III Club Membership
The Club membership is open to all parents or guardians of gymnasts enrolled in classes at Rhythmic Artistic Company, as well as any legal adult interested in assisting in providing for the welfare of the students, regardless of race, color, sex, age, religious affiliation, handicap or national origin. Club membership for Parents/Guardians will be automatically initiated upon the enrollment of a student in classes at Rhythmic Artistic Company. Membership may be discontinued at any time by submitting a written request to the Club Treasurer. The Club members agree to be bound by the "Code of Ethics". A signed "Code of Ethics" form from each member is required and will become a permanent record of both the Club and Rhythmic Artistic Company.
Upon meeting membership requirements as stated in these Articles, membership is issued. Only one (1) representative per family may serve on the combined Executive Committee and Board of Directors.
MEMBERSHIP DUES:
Club Dues:
The Executive Committee determines the Club dues. Changes are approved by the Club membership.
Annual Dues Processing:
All dues are to be assessed to the membership monthly, in coordination with the monthly class tuition, on a common invoice sent by Rhythmic Artistic Company.
Article IV Officers
Officers of the Club must be members in good standing as of the date of their nomination. The Club Executive Committee is comprised of the President, Vice President, Secretary, Treasurer, and Rhythmic Artistic Company Representative. The Club Officers, with the exception of the Rhythmic Artistic Company Representative, are elected as described in Article VII (Club Election).
OFFICERS AND RESPONSIBILITIES:
I. PRESIDENT The President is the principle executive officer for the Club. The Vice President automatically succeeds to the office of President and serves an additional one-year term of office, for a total service period of two years. The President shall:
1 Preside at the monthly meetings of the Club membership and the Club Executive Committee meetings.
2 Exercise general charge of the Club officers.
3 Chair the Club Executive Committee (The President may not chair any other committees).
4 Act as an ex-officio member of all the Club committees, but is only empowered to cast a tie-breaking vote for the committee at the committee chairman?s request.
5 Act as the primary interface with outside organizations.
II. VICE PRESIDENT The Vice President is the second principle executive officer for the Club. The Vice President shall:
1. Constantly maintain a state of readiness to perform any of the President?s duties should the President so request or in the event the President was unable to perform those duties. If there is no Vice President, then the order of succession goes to the current Secretary.
2. Act as the secondary interface with all other outside.
3. Perform such other duties as may be assigned by the Club Executive Committee or the President.
4. The Club Vice President automatically assumes the Presidency of the Club at the expiration of the President's term of office.
III. SECRETARY The Secretary is responsible for recording all the Club activities and maintaining all the Club records. The Secretary shall:
1. Attend and record minutes of all the Club Executive and Board meetings.
2. Give, or cause to be given, notice of all Club meetings of the Club membership and the Club Executive Committee.
3. In the absence of the President and Vice President, have full exercise of all rights and powers of the President.
4. Perform such other duties as may be assigned by the Club Executive Committee.
IV. TREASURER The Treasurer is responsible for recording all the Club financial activities and maintaining all financial records. The Treasurer shall:
1. Supervise the Club financial affairs.
2. Perform all the duties incident to the office of the Club Treasurer.
3. Sign any check, draft, or other order of Club authorized payments of money. An authorized member of the Club Executive Committee who is not the recipient will approve verbally in advance and countersign all such receipts at the next meeting of the Club Executive Committee and Board. Two other authorized officers must sign any reimbursements to the Treasurer.
4. Prepare financial statements for the Club membership, and any government reporting in such form and frequency as required.
5. Provide for the custody and safekeeping of all the securities and monies.
6. Perform any other duties as assigned by the Club Executive Committee.
V. RHYTHMIC ARTISTIC COMPANY REPRESENTATIVE The Rhythmic Artistic Company Representative is responsible for representing the interests of the Rhythmic Artistic Company to the Club. The Representative shall:
1. Ensure the activities of the Club are in the best interests of the students at Rhythmic Artistic Company.
2. Ensure that Club sponsored activities do not contradict or interfere with the priorities, objectives and scheduled activities of the Rhythmic Artistic Company.
VI. OFFICER and DIRECTOR IMPEACHMENT PROCEDURE
Club Impeachment proceedings for the removal of a Club officer or director may be initiated by an officer or director moving for and having seconded a motion to impeach at a joint meeting of the Executive Committee and the Club directors. A quorum for these proceedings is composed of three-quarters (�) of the Club Executive Committee and three-quarters (�) of the Club directors. Three quarters (�) of the complete body must vote to impeach before the proposal to impeach can be brought before the membership (with one months notice) at a regular Club meeting where a majority of the voting membership in attendance is required to remove the officer or director in question.
Article V Club Executive Committee
The Club Executive Committee is composed of the current officers of record.
The Club Officers and Executive Committee:
The Club President The Club Vice President The Club Secretary The Club Treasurer Rhythmic Artistic Company Representative
The Club Executive Committee shall manage all the Club business. A Club Executive Committee quorum, for business purposes, shall consist of no less than three (3) Club Executive Committee members.
The Executive Committee may establish Directorship positions for various purposes to include, but not be limited to; (1) Director of Preschool, (2) Director of Age Group, (3) Director of Cheerleading, (4) Director of Rhythmic, (5) Director of Girls Team, (6) Director of Boys Team.
Additionally, the Club Executive Committee may, from time to time, establish special committees for various purposes, as they are required. Committee examples include:
Competition Coordination- intended to assist the Rhythmic Artistic Company with hosting a competition. Club Audit Committee- appointed each year by the President to audit the Club books. Club Affairs- intended to investigate Club business related issues for the Board of Directors and implement Board of Directors approved solutions. This committee conducts an annual review of the Club's Articles of Association.
Article VI The Club Directors
The Club Executive Committee creates the Club Directorships as the need arises. Unless created with a specific office limitation or canceled by the Club Executive Committee, Directorship positions are perpetual and individuals are elected to director positions during the Annual Club Election process each year. With direction and approval of the Nevada Executive Committee, directors manage one or more project committees to accomplish their charters. The Club Executive Committee may create and authorize directorships as needed including any or all of the following director positions:
I. BOYS PROGRAM DIRECTOR
1. Shall be responsible for representing the interests of the Boys students to the Club.
2. Shall be responsible for arranging for any activities necessary to accomplish the goals of the Club in regards to Boys gymnasts.
3. Shall chair the Club Boys Team Committee.
4. Shall provide a report at each Club meeting on the activities which have taken place, any planned activities, or any concerns regarding the support of the Boys Program.
II. CHEERLEADING DIRECTOR
1. Shall be responsible for representing the interests of the Cheerleading Program students to the Club.
2. Shall be responsible for arranging for any activities necessary to accomplish the goals of the Club in regards to Cheerleading Program students.
3. Shall chair the Club Cheerleading Program Committee.
4. Shall provide a report at each Club meeting on the activities which have taken place, any planned activities, or any concerns regarding the support of the Cheerleading Program.
III. COMPETITIVE TEAMS PROGRAM DIRECTOR
1. Shall be responsible for representing the interests of the Competitive Teams Program to the Club.
2. Shall be responsible for arranging for any activities necessary to accomplish the goals of the Club in regards to Competitive Teams Program.
3. Shall chair the Club Competitive Teams Program Committee.
4. Shall provide a report at each Club meeting on the activities which have taken place, any planned activities, or any concerns regarding the support of the Competitive Teams Program.
IV. GIRLS PROGRAM DIRECTOR
1. Shall be responsible for representing the interests of the Girls students to the Club.
2. Shall be responsible for arranging for any activities necessary to accomplish the goals of the Club in regards to Girls gymnasts.
3. Shall chair the Club Girls Committee.
4. Shall provide a report at each Club meeting on the activities which have taken place, any planned activities, or any concerns regarding the support of the Girls Program.
V. PRESCHOOL DIRECTOR
1. Shall be responsible for representing the interests of the preschool program students to the Club.
2. Shall be responsible for arranging for any activities necessary to accomplish the goals of the Club in regards to preschool students.
3. Shall chair the Club Preschool Committee.
4. Shall provide a report at each Club meeting on the activities which have taken place, any planned activities, or any concerns regarding the support of the preschool program.
VI. RHYTHMIC/DANCE PROGRAM DIRECTOR
1. Shall be responsible for representing the interests of the Rhythmic/Dance Program students to the Club.
2. Shall be responsible for arranging for any activities necessary to accomplish the goals of the Club in regards to Rhythmic/Dance Program gymnasts.
3. Shall chair the Club Rhythmic/Dance Program Committee.
4. Shall provide a report at each Club meeting on the activities which have taken place, any planned activities, or any concerns regarding the support of the Rhythmic/Dance Program.
Article VII Club Elections
In order to maintain cohesiveness in the organization and provide ongoing input for the budgeting process, the Club elections shall be held as defined below:
Officers:Every July - Office Effective August
Directors:Every July - Office Effective August
To be eligible for a Club Director position, the candidate must be participating in that program, a parent or legal guardian of a participant in that program, or a coach actively involved in that program. The Club members may volunteer to be candidates for officer and/or director positions. In the absence of capable volunteers, other potential officer and director candidates may be identified by the nomination from the membership, interviewed relative to their willingness to serve, their capabilities and their available time. Willing candidates receiving the endorsement of the Executive Committee and Club Board of Directors may then be subsequently presented to the Club members for a sustaining vote. The candidates for each position receiving the majority of votes from the voting members present shall assume office the first day of August and shall have an opportunity to provide input into the following year budget process prior to taking office.
The term of office is one (1) calendar year. The position of the Club President, Vice President, Secretary and Treasurer shall be elected every year.
Any officer or director may re-run for the same or a different office or director position. The Club Vice President automatically assumes the Presidency at the expiration of the President's term of office. If any Club officer is elected or appointed to another position on the Board, they must resign from their current Club board position prior to taking their new elected office.
The term of office for a director position is one (1) calendar year. Any director may re-run for the same position or a different office.
A Club officer vacancy, other than the President, shall be filled by presidential appointment for the remainder of the term of office. The Vice President and then the Secretary shall succeed a presidential vacancy. The subsequently vacated office shall be filled by presidential appointment as described above.
To ensure continuity of Club operations and subject to a sustaining vote by the Club members, the Club Vice President automatically becomes the President at the normal expiration of the President's term of office.
The nominee roster shall be announced at the Club Executive Committee June monthly meeting. Nominations from the floor will be accepted prior to each election.
The Club Secretary shall prepare and distribute election ballots at the July monthly meeting for the director and applicable Club officer positions. The Club election results shall be announced at the end of the July meeting.
Article VIII Rhythmic Artistic Company Representative Appointment
The member of the Club Executive Committee to represent the Rhythmic Artistic Company will be appointed by the Owner(s) of the Rhythmic Artistic Company. This appointment will be permanent until changed in writing to the Club by the Owner(s) of the Company. The Representative shall maintain a good standing membership in the Club.
Article IX Meetings
Timing of the Club membership meetings will be held as determined by the Club Executive Committee. The Club Executive Committee meetings will be held regularly, with meeting time and location determined by the Executive Committee.
Article X Financial Administration
Membership dues shall be paid monthly in coordination with the monthly class tuition, on a common invoice sent by Rhythmic Artistic Company, and become delinquent if left unpaid more than 30 days.
The Club Executive Committee determines Club dues. Changes are approved by the Club membership.
Bank account(s) in the name of the Club have been established. All accounts are maintained by the Club Treasurer at the direction of the Club Executive Committee.
Signatory authority for all the Club accounts, which have been or may be established, shall reside with the current members of the Club Executive Committee.
Any reimbursement of funds to Club Executive Committee members, Club Directors or Club members for purchases or services rendered on behalf of the Club requires authorization by the Club Treasurer and the Director of the area authorizing the service or expense. Reimbursement to a Club officer with signing authority requires the approval and signing by another officer with signing authority who may not be the recipient. Two other authorized officers must regularly review and sign any reimbursements to the Treasurer.
The Club Treasurer shall receive all statements of account(s) and shall be responsible for reconciliation thereof, and providing an annual written financial statement by January 31st of the following year or as directed to the general membership. The Club Treasurer shall report on all new expenditures and the current Club financial standing quarterly at a regularly scheduled Club Executive Committee and Board meeting with the information summarized, approved by the Executive Committee and entered into the minutes.
The Club Treasurer shall provide to the Club Executive Committee all information necessary for a monthly review and/or informal audit of all Club expenditures upon authorized request. The Club Executive Committee must approve the accounting and shall record the approvals in the minutes of its meetings.
Article XI Amendments to the Club Bylaws
The Club Bylaws may be amended as necessary, upon approval by: The Club Executive Committee, and A majority of voting members present at a monthly meeting during which such an amendment is proposed to the membership
The general content of the proposed changes is to be provided to the Club members of record at least 30 days prior to the meeting in which voting for the amendments will take place. This notice may take place as a part of a newsletter, electronic message or mail sent to all members at their last known address.
