| Article I Purpose To compile and maintain the documented records of Peter Francisco and his descendants and to give Peter Francisco his rightful place in history. Article II Organization Section 1. Name: The name of the organization shall be Society of the Descendants of Peter Francisco. Section 2. Membership: a) Election: All members, active, associate or friends must be elected by the Board. b) Active Members are limited to the descendants of Peter Francisco, the American Revolutionary War hero who died on January 16, 1831. They must be attested to by the Vice President in charge of memberships. They must be at least 18 years of age. c) Associate Members are limited to children under 18 years of age who are direct descendants and to the in-laws of the families of the descendants of the same Peter Francisco. Also, they must be attested to by the Vice President in charge of memberships. d) Friends of the Society are limited to those showing an interest in the society and are approved by the Board. e) Dues All dues are payable yearly in advance of the Annual Meeting. 1. Active Members ($10.00) 2. Associate Members, over 18 ($10.00) 3. Associate Members, under 18 ($2.00) 4. Friends ($10.00) Section 3. Board of Trustees: The management and administration of the affairs of the Society shall be vested in a Board of Trustees to be composed of officers and chairmen of committees who are active members of the Society. Section 4. Annual Meeting: The annual meeting of the Society shall be on the third Sunday of October, at which time the Board and the officers of the Board shal be elected by the active members of the Society present at the annual meeting. A quorum for the election of the Board and Officers shall be twenty active members. Section 5. Other Meetings: The Board shall establish the times when it shall meet. Special meetings of the Board may be called by the President, the Vice Presidents, the Secretaries, the Treasurer or five members of the Board. If any meeting is to consider amendments to By-Laws the notice of the meeting shall so state along with the proposed changes and shall be given at least 14 days before the meeting. A majority of the Board shall constitute a quorum. Section 6. Meeting Procedure: All meetings shall be guided by Robert's Rules of Order. Article III Officers Section 1. Election: The active members of the Society at the annual meeting shall elect a President, a 1st Vice President and a 2nd Vice President, a Recording Secretary, a Corresponding Secretary, and a Treasurer. The Board may elect other Vice Presidents or officers as needed during the year. At the annual meeting they shall be elected for a term of one year. At other times they shall be elected for a period to serve until the next annual meeting. Section 2. Duties: The duties of the officers shall be as usually pertains to their respective offices or as prescribed and assigned to them respectively by the Board. Article IV Committee Section 1. The following committees shall be established by the Board: a) Membership and Genaeology Committee, b) Archives Committee, c) Prigram Committee, d) Nominating Committee, e) Bicentennial Committee, and f) Public Relations Committee. Section 2. Other Committees: The Board may appoint other Special or Standing Committees as needed. Article V Reports Section 1. The fiscal year shall begin on the first of January and end on the thirty-first of December each year. The Treasurer shall present his/her annual report to the Board shortly after the end of each year. Article VI Amendments Section 1. Changes: These By-Laws may be changed by the Board provided fourteen days notice has been given so stating, along with the proposed changes. |
