May i first of all apologise for the delay in response it was due to
the fact that i was out of town on an official business.I thank you very

Thirdly, you stated that I must contact a firm in Armsterdam. I guess this is Amsterdam, Holland. Would you like me to contact any firm or do you have specific details for what firm you would like me to contact?

Fourthly, I have tried to ring the number you gave to me, but all I get is some foreign speaking person who doesnt understand English, or at least my Australian accent. I'd rather not make expensive international mobile telephone calls at this stage. Email is better.

Fifthly, I am jetting to Europe on business for a couple of weeks at the end of this week. I will be back in Australia for the 12th August or so.

Confidentiality and Non-Circumvention Agreement

This agreement is entered into between GOLDNOTE FINANCE COMPANY S.A. OF VIA DELLA POSTA 4 . CH-6900 LUGANO SWITZERLAND AND SBT PTY LTD OF 60 LIME STREET, KING STREET WHARF. SYDNEY, AUSTRALIA. The "Undersigned".

Both parties are prepared to make certain confidential information available in connection with GOLDNOTE FINANCE COMPANY S.A consideration of a possible transaction ("to provide funds for the agent to the tune of US$30,000,000.00 (Thirty million United States dollars)") involving an equity investment or financing or asset purchase or joint venture or stock acquisition. The pertinent information pertains to their respective businesses including their assets, rights, options, business relationships and opportunities, financial positions, financial projections, financial forecasts, contractual obligations, and trade secrets. This information is considered to be of confidential or proprietary nature ("the Confidential Information").

The Confidential Information shall include the names of the companies and persons involved in the transactions as well as information about the companies themselves.

The parties agree that they will use the Confidential Information solely for evaluating the Transaction, and shall not distribute, copy, or otherwise communicate any of the Confidential Information to any other person or entity except as permitted under this Agreement.

The parties may disclose the Confidential Information to their officers, employees, agents, or advisors (collectively: "Representatives") who in the parties' reasonable judgment have the need to know such information in connection with the Transaction.

The parties will maintain records of persons to whom Confidential Information is distributed and will inform all such persons of the confidential nature of the Confidential
Information.

The term "Confidential Information" does not include information that is or becomes publicly available (other than through a breach of this Agreement) or information that is or becomes available on a non-confidential basis, provided that the source of such information was not known (after such inquiry as would be reasonable in the circumstances) to be bound by a confidentiality agreement or other legal or contractual obligation of confidentiality with respect to such information.

And SBT PTY LTD AUSTRALIA. and GOLDNOTE FINANCE COMPANY S.A shall not disclose to any person the fact that the Confidential Information has been made available to them, that discussions or negotiations are taking place concerning the Transaction, or any of the terms, conditions or other facts with respect thereto, except as provided herein.

In the event that And SBT PTY LTD AUSTRALIA. or GOLDNOTE FINANCE COMPANY S.A's representatives are requested or required by law or legal process to disclose any of the Confidential Information, the party required to disclose such information shall so notify the other party.

Upon the providing party's request, all copies of the Confidential Information (including copies in written, paper or electronic form) and any summaries of Confidential Information will be promptly returned t by the receiving party.

This Agreement shall be binding upon both parties, their officers, directors, partners, principals, shareholders, agents, affiliates, subsidiaries, any persons or entities owned or controlled directly or indirectly, thereby and their respective successors and assigns and this Agreement shall inure to the benefit of the parties and their successors and assigns.

This is the entire agreement between the parties with respect to the subject matters described herein and this Agreement shall not be amended except in writing and signed by both parties.

This Agreement may be signed in counterparts, each of which will be deemed an original. If any provision of this Agreement is prohibited or unenforceable, the remaining provisions thereof shall be enforceable to the maximum extent permitted at law.

The obligations of the parties under this Agreement, including the fact that such discussions were held, shall continue and survive the completion of the aforesaid discussions and shall remain binding for a period of three (3) years from the execution of this Agreement.

Each person signing this Agreement represents and warrants that the entity for which he is signing has duly authorized this Agreement and he has the authority to sign on behalf of such entity.
