By Laws
ARTICLE I
MEMBERSHIP
Section 1. Only members of California Council for Adult Education (CCAE) are eligible for membership in this chapter as specified in the Constitution, Article III
Section 2. Only CCAE members in good standing shall be eligible to be considered for or elected as board members in this chapter. Student members have all the rights and privileges of membership except the right to vote and hold office.
DUES
Section 1. Dues shall be paid to CCAE in the amount and in the method specified by the State Board of Directors.
Section 2. Members shall not be liable to assessments or to payment of any amount in addition to dues or payments provided for in the Laws of CCAE.
Section 1. Members of this Chapter as defined in the By-Laws, Article I, shall be eligible for election to the office in the Chapter.
Section 2. Executive Board
shall be comprised of the following members: President, President-Elect,
Vice-President, Secretary, Treasurer
and Past-President.
Executive Board Duties:
1. Approve annual budget.
2. Approve all chapter expenditures.
3. Approve all chapter activities and projects.
4. Assist in development of calendar.
5. Actively support all chapter activities and projects.
6. Attend all chapter meetings.
7. Provide representation to Section meetings, annual conference, annual state conference, and legislative days.
8. Liaison with Section and State as necessary.
9. Assist in planning of recognition receptions.
10. Carry out duties of individual positions as assigned.
Section 3. Duties of Executive Board:
A. President
1. Presides at all meetings of the chapter, executive committee, and the executive board.
2. Is an ex-officio member of all committees except the nominating committee.
3. Authorized to co-sign chapter checks with the treasurer.
4. Appoint with approval of the board, chairpersons of standing committees.
5. Prepares the agenda for meetings.
6. Attends all section board meetings.
7. Is responsible for assuring that all offices and board members carry out their duties and functions.
8. Performs all duties appropriate to the office of president.
B. President-Elect:
1. In the absence of the president, assumes the duties of that office.
2. Attends section board meetings as necessary.
3. Assumes the office of the president for the next fiscal year.
4. Assumes duties assigned by the president.
C. Vice President:
1. Assumes the duties of the president in the absence of the president and the president-elect.
2. Chairs the Membership Committee.
3. Responsible for chapter membership activities:
i. Recruiting functions, materials, and notification of membership activity to the State Office.
ii. Supervision of payroll deduction as appropriate.
iii. All other activities necessary to recruit and retain chapter members.
4. Provide information on chapter activities to members.
5. Performs other duties as assigned by the president.
D. Treasurer:
1. Responsible for the receipt and disbursement of all chapter funds and the preparation of monthly financial reports to be presented to the chapter, monthly.
2. Authorized to co-sign chapter checks with the president.
3. Prepares the annual chapter budget with the assistance of the executive board.
4. Submits the chapter financial reports to the southern section and the state for audit at the end of the year, no later than June 30th.
5. Works with the vice-president to report membership activity to the state office, submits funds entrusted to the chapter for dues and administers payroll deduction for the chapter.
E. Secretary:
1. Keeps minutes of all business meetings.
2. Corresponds as essential for the operation of the chapter as directed by the president or executive board.
3. Provides minutes to the president within two weeks after each meeting for approval and distribute final copies of the minutes to all board members.
4. Posts minutes on CCAE bulletin board(s) prior to chapter meetings.
5. Assists the president in establishing a meeting calendar and notifying members in advance of all upcoming meetings.
6. Collects and archives all pertinent materials from chapter events and meetings.
F. Past President:
1. Serves as parliamentarian for the chapter and the executive board.
2. Chairs the nominating committee.
3.
Chairs the constitution and by-laws committee.
Section1. The nominating committee supervises the election of officers.
Section2. Membership of the nominating committee includes the past president as chairperson and four members appointed by the president with the assistance of the chairperson.
Section 3. The nominating committee submits one or more candidates for the offices of president-elect, vice-president, treasurer, and secretary.
Section 4. The nominating committee shall annually submit nominations for offices no later than May 15th for Board approval.
New officers are installed between May 15th and July 1 and serve for one year or until their successors are elected and installed.
Section 1. A quorum must be present to conduct official business of the chapter.
Section 2. A chapter quorum requires at least ten chapter members and at least three executive board members present.
Section 3. An executive board quorum requires at least four executive board members present.
Section 4. The chapter shall meet at least five times each fiscal year.
Section 5. Order of Business:
A. The following shall be the order of business for all regular meetings of the Chapter unless changed for a particular meeting by a majority of those present.
1. Call to order.
2. Approval of minutes.
3. Secretary’s report (minutes and correspondence).
4. Treasurer’s report (financial report).
5. Standing committee reports as requested.
6. Special committees as requested.
7. Old Business.
8. New Business.
9. Date of next meeting and adjournment.
ARTICLE VII
PARLIAMENTARY PROCEDURE
Section 1. Robert’s Rules of Order shall govern the proceedings of the Chapter and the Executive Board.
Section 2. The past president shall be the parliamentarian and shall advise the president on parliamentary procedure.
ARTICLE VIII
AMENDMENTS
These by-laws may be amended by a majority vote of the Chapter at any regularly scheduled Chapter meeting after the proposed amendment has been approved at the Executive Board meeting.
