Articles of Association of the
Sacramento Valley Illini Club

 

Article 1: Name

The name of the Association shall be the Sacramento Valley Illini Club.  This name may be designated by the acronym, SVIC.

 

Article 2: Objectives

The Principle Objectives of the Association shall be to:

This club is organized exclusively for the pleasure, recreation, and similar nonprofitable purposes within the meaning of Section 501 (c)(7) of the Internal Revenue code or corresponding section of any further federal tax code (hereinafter Internal Revenue Code).

 

Article 3: Membership

All graduates, friends, and former students of the University of Illinois are eligible for membership in this association.  Membership fees shall be determined annually by majority vote of the Board of Officers.

 

Article 4: Voting

Each member will be entitled to one vote on any Association matter requiring a vote.

 

Article 5: Board of Officers

There shall be a minimum of three and a maximum of five elected officers.  The minimum elected officers of SVIC shall be President, Secretary, and Treasurer.  With a concurrence of a majority of the Board, offices of Vice-President and Communications Officer may be filled as part of the regular election process.  Any office may be co-chaired.  Duties of the Officers shall be described in the Bylaws.

New Officers shall be nominated by the membership prior to the start of the Annual Meeting in May or June.  The nominations shall be affirmed by a majority vote of the Board of officers at the May/June Annual Meeting. 

If an Officer should resign before his or her term ends or be unable to complete his or her term of office, the President, with concurrence of a majority of the Board, may replace that Officer for the remainder of the unexpired term until the next election, at which time a replacement will be elected by a majority vote of the Board members present.

 

Article 6: Meetings

An Annual Meeting of the Board shall be held in May or June of each year for the election of Officers. All members and guests can attend the Annual Meeting.  There shall be at least one other meeting of the Board each year open to all members in good standing.  Additional meetings of the Board may be called when determined to be necessary by the President or a majority of the Board.  Notice of meetings shall be provided at least seven (7) days prior to the meeting.

A quorum shall consist of a minimum five (5) members with at least one (1) Officer in attendance.  Action by the Board must be by a majority of the quorum.

 

Article 7: Non–Profit

No part of the net earnings of the organization shall insure to the benefit of, or be distributed to its members, directors, trustees, officers or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set for in Article II hereof.

 

Article 8: Finances

The financial year of the Association shall be July 1 – June 30.  All monies received by SVIC shall forthwith be paid into such interest-bearing account or accounts as the Board may determine.  All cheques or withdrawal slips drawn on the accounts of SVIC shall be authorized in writing by the Treasurer.  The accounts of the SVIC may be subject to annual audit.

 

Article 9: Dissolution

In the event of the SVIC being dissolved all surplus assets of the SVIC, after payment of all costs, debts and liabilities lawfully payable by SVIC, shall be donated to the University of Illini Alumni Association.

 

Article 10: Amendments to the Articles of Association

Amendments to these Articles of Association shall be approved by a majority of the Board.

Bylaws of the
Sacramento Valley Illini Club

 

GENERAL DUTIES OF OFFICERS

President:  The President shall call regular and special meetings of the Board, supervise and coordinate SVIC activities, and ensure the holding of the Annual meeting.  The President shall ensure open communications with the SVIC membership, the national University of Illinois Alumni Association, and other local alumni clubs.

Vice President:  The Vice President shall preside over the Board meetings in the absence of the President, and coordinate and lead initiatives to identify and recruit volunteers from outside of the Board.  When the office of Vice-President is vacant, all duties of the Vice-President shall be shared among other officers.

Secretary:  The Secretary shall give notice of the Board meetings, maintain a record of all SVIC proceedings, and tally votes from the Board.  The Secretary shall provide club information to the national University of Illinois Alumni Association as directed by the President.

Treasurer:  The Treasurer shall receive all funds paid to the SVIC and shall disburse money on properly authorized orders.  The Treasurer shall prepare a Treasurer’s Report on the status of the Operating funds at the Annual Meeting and as directed by the President. 

Communications Officer:  The Communications Officer shall receive password-protected access to the SVIC Web site (www.geocities.com/sacramento_valley_illini_club) to manage and update the content of the website on a regular basis and as requested by the Board.  The Communications Officer shall assist other Board members as needed with communications to the SVIC membership.
