Proposed Constitution of the Paper, Allied Industrial, Chemical and Energy Workers International Union Local 3-0265

Preamble

The development of the modern industry has made the labor union a necessity for workers.  In our complex and highly organized society, workers are powerless unless they are united along industry lines.

Through the Union, workers can achieve both voice and strength in the affairs of our industry and the nation.  By industrial and political action
Workers can obtain their just and equitable place in society.

We, the Members of this Local, Pace 3-0265, affirm that only through united action can we gain security, decent wages, improved working conditions and protection of our civil liberties and legal rights which insure a full and happy life.

That the Union shall be the exclusive representative of each member for the purpose of collective bargaining, and the negotiation and execution of collective bargaining agreements with employers, and is irrevocably authorized and empowered by each member to present, negotiate and settle any disputes arising out of the relationship between the member and his/her employer.  To this end we the Members of Local Union 3-0265 AFL-CIO, CLC pledge ourselves.

Article I Name

Section 1.   This organization shall be known as Mobile 3-0265 (hereinafter called the "Local").

Section 2. This local has been established and exists by virtue of a charter issued to it by the Paper, Allied Industrial, Chemical and Energy Workers International Union (hereinafter called the "International") pursuant to the Constitution of the International.





Article II Objects

Section 1. The purposes and objects of this Local, chartered by the International, are to unite all workers within its jurisdiction for the following purposes:

(a) To improve their wages and hours of work, to increase their
  job security and to better their working conditions.

(b) To advance their economic, social and cultural interests.

(c) To defend and extend their civil liberties.

(d) To establish peaceful and harmonious relations between its    members and their employers, and to increase the stability of    the industry.

(e) To assure full employment.

(f)  To disseminate information among workers regarding     economic, social, political, and other matters affecting their    lives and welfare.

(g) To advance the interest of workers by advocating and     endeavoring to secure the enactment of laws beneficial to them    and advocating and endeavoring to obtain the defeat or repeal    of laws detrimental to them.

(h) To promote and support democracy and free trade unionism.

(i) To give assistance and encouragement to organizations in    organizing workers and to engage in such other activities as    may be necessary or proper to strengthen the labor movement    and to extend the process of collective bargaining throughout    all trades and industries.
(j) To use all other appropriate means for the accomplishment of    the foregoing objects.


Section 2. This local shall endeavor to accomplish the foregoing purposes by organizing the unorganized, educating its membership, negotiating collective bargaining agreements, securing progressive legislation and by all other appropriate means within the International. 


Article III Membership

Section 1. Membership in 3-0265 may consist of any PACE member under the Locals jurisdiction.

Section 2. Any person desiring to become a member of this Local Union shall make application on the regular form provided for this purpose, and return with the initiation fee to the Financial Secretary, who shall present it to the Union at the next regular meeting.  If the application is rejected by a majority vote of the members present at that meeting, his/her fee shall be returned.

Section 3. All candidates for membership, after being duly proposed and accepted by the Local, must present themselves for initiation within two months, unless for satisfactory reasons they were unable to attend a meeting for two months.  If a member is unable to be present at a meeting, an officer of the Local can administer the obligation.

Section 4. The Local shall have jurisdiction over the employees so designated by the International Union.

Section 5. The Local shall have the power, with the approval of the International Union to wave jurisdiction over certain employees when deemed expedient to the best interest of the International.

Section 6. All new members, before being admitted to full membership, shall subscribe to the following obligation:

"I___________________, pledge my honor to faithfully observe the constitution and laws of this Union; to comply with all rules and regulations for the government therefore; not, to divulge or make known any private proceedings of this Union; to faithfully perform all the duties assigned to me to the best of my ability and skill;  that I will not wrong a member or see him/her wronged, if in my power to prevent it; to so conduct myself  at all times as not to bring reproach upon my Union and at all times bear true and faithful allegiance to PACE, AFL-CIO-CLC".
Membership Responds:  "Your Pledge shall be remembered".


Section 7. Each contract group represented by 3-0265will have a Department Vice-President and these Vice-Presidents will serve on the Executive Board.


Article IV - Dues and Revenue


Section 1. The initiation fee of all persons joining this Local Union shall be $5.00.  These fees must be paid in full at the time the application for membership is made.

Section 2. The monthly dues for 3-0265 will be set by the membership in compliance with the International Union.

Section 3. Any member shall have full rights and privileges of membership until he is three (3) months in arrears for dues or fines, at which time he or she shall be suspended from all rights and privileges of membership.

Section 4. In order to be reinstated he/she must pay a new initiation fee plus all fines, assessments due at the time of suspension.  All reinstated members must again make application for membership to the International Union and receive the obligation.


Article V - Meetings

Section 1. The Local meeting is the highest authority of the Local.  All officers, the Executive Board, and all other committees of the Local are accountable to the membership of the Local and are subject to membership approval at Local meetings except as may be otherwise provided.

Section 2.   The Local shall meet regularly on the third Tuesday of each month at the Union Hall.  Meetings will be held at 5:30 p.m.  There will be no regular scheduled meetings on Christmas week.

Section 3. The President may call a special meeting of the Local.  The President shall call a special meeting at the request of one-fifth, but no less than seven of the members in good standing.  Notice of a special meeting shall be given at least twenty four (24) hours before it convenes by posting or by mail when deemed appropriate.  No business other than that for which it was called may be transacted.

Section 4. A quorum for the purpose of transacting any business by the Local shall consist of not less than seven members present in person at any regular or special meeting.  No action of any meeting shall be invalid for lack of a quorum, unless an objection was raised before such action was taken.  A regular meeting may transact any and all business before it without prior notice of the business to be transacted at such meeting, except as otherwise specifically provided in these Bylaws.  Unless otherwise specifically provided by the Bylaws, all decisions of a Local meeting shall be by a majority of the members voting.

Article VI- Officers

Section 1.   The elective officers of this Local Union shall be a President, Executive Vice-President, Recording Secretary, Financial Secretary/Treasurer, three Trustees, and one Vice President from each Business and or Bargaining Unit.  Each Business or Bargaining unit will elect their own Vice-President.  The time of elections will be set by the Executive Board. 

Section 2. Qualifications of candidates for these offices:
  (a) One years membership in PACE International Union and     Local 3-0265.
  (b) Must be a member in good standing of Local 3-0265 at
  time of nominations.

Section 3. Term of office shall be 3 years.
  (a) Trustees terms will be 3 years.  One trustee will be elected each 
  year.

Section 4. Nominations for the elective offices shall be at the first regular meeting in September every 3rd year.

Section 5. Election of Officers shall be on the day of the first regular meeting in October.

Section 6. All elections and balloting shall be decided by the majority vote
system.

Section 7. Installation of Officers shall take place during the first regular meeting of November and Officers will assume their duties at that time.

Section 8. Any officer failing to perform the duties of his/her office shall be removed from office by the Executive Board.  The President can only be removed from office by the affirmative action of the Local Union.  Note:  An officer can be suspended by the Executive Board, a trial must be held to remove.

Section 9. A vacancy in the office of President shall be filled by the Executive Vice-President.  Should the Executive Vice-President choose to resign rather than accept the office of President, the following order of ascension shall be followed to fill the office of President, Recording Secretary, Financial Secretary, and Treasurer.  If the office is not filled at this point the Trustees shall hold an election to fill all vacated offices.

Section 10. With the approval of the Executive Board the president may fill
a vacancy by appointment.  The appointee must be qualified as described in Article V, Section 2.

Section 11.   In all elections the Local Union must use the secret ballot.

Section 12. All nomination and election procedures shall comply with current Labor-Management Report and Disclosure Act provisions.  Any member choosing to contest an election procedure can do so by following LMRDA provisions without fear of recrimination.  A current copy of LMRDA provisions shall be maintained by the Local Union and shall be made available to all members for their inspection and use.  The President
shall secure and maintain this copy.


Article VII - Duties of Officers

Section 1. Duties of President - He shall preside at all meetings of the Local and of the Executive Board and shall rule on all questions of Law and Order at such meetings.  He shall have the authority to sign all checks, bank withdrawal slips or other authorization for the withdrawal of the funds, money and properties of the Local when countersigned by the Treasurer.  By virtue of his office he shall be the designated representative of the Local at all negotiations, conventions and other functions that the Local chooses to send a delegate.  The President may designate another officer to attend any function as his Representative.

Section 2. Duties of Executive Vice-President - He shall assist the President in the performance of his duties and shall act for the President in his absence.  He shall have the power to sign all checks, bank withdrawal slips or other authorization for the withdrawal of funds, money and properties of the Local when countersigned by the Treasurer when directed to do so by the President.  In case of a vacancy in the office of President, due to a death, resignation or removal or any other reason, the Executive Vice-President shall assume the office of President for the unexpired term.

Section 3. Duties of Recording and Corresponding Secretary - The Recording Secretary shall keep a correct record of the proceedings of the Local meetings, conduct the correspondence of the Local Union, furnish the International Secretary-Treasurer with the names and addresses of all the officers of the Local Union, apprise the Local Union of all documents and correspondence received and keep them on file for future reference.  He/She  shall have charge of the seal of this Local Union which he/she shall attach to all official communications and documents issued by this Local Union.

Section 4. Duties of Financial Secretary/Treasurer - It shall be his/her duty to keep a correct role of Officers and members, to charge and collect all dues, fines and assessments.  He/She shall make out a monthly report and forward same to the International Secretary on or before the first day of each month.  He/She shall be present at the quarterly audit.  He/She shall deposit
all moneys in a bank approved by the Local Union.  He/She shall pay all debts legally contracted and approved by the Local Union.  He/She shall be present at the quarterly audit.

Section 5. Duties of Trustees - They shall supervise all financial transactions of the Local Union, sign all contracts concerning the purchase or leasing of property and perform such other duties as may be determined by the Local Union.  They shall have an audit made as defined in Article IX Section 13 of the Pace constitution.

Section 6. Duties of Department and/or Bargaining Unit Vice-presidents- The Department and/or Bargaining Unit Vice-presidents shall assist the President and Executive Vice-President in executing their duties.

Section 7.(a)  A salary allowance for the President, Executive Vice-President, Recording Secretary, Financial Secretary/Treasurer and the Department and/or Bargaining Unit Vice-presidents may be paid from the Local Unions treasury, the amount set forth by the membership and duly recorded in the Minutes of a regular meeting.

       (b) All salaried officers must attend the minimum of one meeting each month to receive such salary allowance, unless prevented from doing so due to work, vacation, or illness and notice of same is recorded at the next meeting attended.

Section 8.(a) Approved time lost for union business from normal regular scheduled will be paid at the members hourly rate.

               (b) A daily expense allowance and mileage will be paid to Committee members serving on out-of-town committees.  The amount paid as set forth by Federal Government Guidelines.


Article VIII Executive Board

Section 1 (a) This Local Union shall have an Executive Board consisting of all officers.  The Executive Board shall have full control of the business of the Local Union between meetings and shall serve as a Trial Court as provided in Article XI of the PACE constitution.  The Executive Board is empowered to draw its own by-laws and operate within these by-laws.  The Executive Board shall meet at least once a month, at such times and places as it determines. 

                (b) Special meetings of the Executive Board may be called at any time by the President or by three members of the Board upon not less than 24 hours verbal or written notice to the Executive Board members of the time and place of the meeting and of the business to be transacted.

       (c) A majority of the members of the Executive Board shall constitute a quorum for the transaction of any business.

Section 2. The Executive board shall have the power to determine that any decision affecting a limited group of members within the Local (including but not limited to, the election of shop officers, departmental stewards, and questions regarding the application of the collective bargaining agreement to a particular shop, plant, department or group) shall be made by the members directly affected.

Section 3. Any member in good standing may attend an Executive Board meeting in a non-participating status, unless requested to participate by the Board.





Article IX - Trials and Appeals

Section 1.  When charges are proffered against a member, they shall be submitted in writing to the Recording Secretary.  Upon receipt of these charges the Recording Secretary shall send an exact copy of the charges to the accused not less than 7 days prior to the date of the hearing of the charges by the Trail Court.  If such charges are sustained by the court, the case shall proceed to Trial as provided for under Article XI of the PACE
Constitution.

Section 2. When an officer is formally charged, he/she shall be temporarily relieved of his/her duties.  Any officer convicted of wrongdoing by a Trial Board will be removed from office.

Section 3. A member of this Local Union must not criticize the actions of the Local Union or any committee outside the meeting of the Local Union.

Section 4. A member must not discuss Union business with non-members.

Section 5. No member shall be allowed to bring intoxicants into the Union hall, nor shall any member use profane or obscene language during a meeting of the Local Union.

Section 6. All members in attendance of a meeting shall adhere to all rules, regulations and policies of the Local Union.  Any member failing to comply with the above stated guidelines shall be liable for appropriate action by the Local Union.


Article X - Committees

Section 1.  Committees deemed necessary by the Local Union shall be appointed by the President, with the approval of the Executive Board.

Section 2. The Standing Committees of this Local Union shall be:
(a) Organizing Committee
(b) Political Education Committee
(c) Community Service Committee
(d) Grievance Review Committee
(e) By-Laws
(f) Workmans Committee & Safety Committee

A Standing Committee shall be composed of not less than three (3) members and not more than seven (7) members.

Section 3 (a).  The Bargaining Committee shall consist of the President, Executive Vice-president and or the appropriate Department Vice-president or any such member as designated by the Local, all of whom shall be elected by the Membership.  Any member in good standing may be elected to serve on the Bargaining Committee.

Article XI - Conduct of Elections

Section 1.  The election of officers, delegates and representatives shall be by a majority vote of the votes cast in a secret ballot at the election meeting.  Not less than fifteen (15) days prior to the election, notice thereof shall be mailed to each member at his/her last known address.  Election notices recorded in the Pacesetter publication shall constitute proper notification.  Any candidate may have an observer at the polls and at the counting of the ballots.  In the event no candidate for office receives a majority of the votes cast, the candidate receiving the least number of votes cast at the meeting shall be eliminated and the balloting shall continue (at a special meeting).  Each member shall be entitled to one vote.  There shall be no absentee voting, and no voting by proxy, write-in, or sticker.

Section 2.(a) At the meeting for nominating officers the President shall appoint an Elections Committee of three (3) members, whose duty it shall be to safeguard the secrecy and honesty of the election, prepare and count the ballots and announce the results of the election in a signed statement.  The Elections Committee shall preserve all ballots and other records for one year after the election.  In cases of an election complaint, the complaining member or candidate shall submit his complaint in writing to the Recording Secretary within forty-eight (48) hours after the election results have been announced (with a copy at the same time to the International President) and such complaint shall be heard and determined promptly by the Local Executive Board.  A new election may be ordered only if it is determined that the matter complained of might reasonably have changed the results of the election.

(b) An appeal from the decision (or failure to act) of the Local Executive Board shall be in writing, shall contain a brief statement of the facts and the grounds for the appeal and may be filed by an aggrieved person with the executive Board of the International (with a copy to the Recording Secretary of the Local) within five (5) days following the decision (or failure to act) appealed from.  The Executive Board of the International, upon notice in writing to the Recording Secretary of the Local, may remove the complaint to itself for decision; in such event, no action upon the charge shall thereafter be taken by the Local or its Executive Board.

(c) Voting place and times will be set by the Executive Board.


Article XII - Installation Ceremony

The installation ceremony, to be conducted at the next regular meeting following the election for Local Union officers and members of the Executive Board, may be performed by the retiring President, Acting President or any regularly accredited International Representative of the Paper, Allied-Industrial, Chemical, and Energy Workers International Union.

Oath of Office:

I ____________solemnly affirm to faithfully execute the office to which I have been elected and will, to the best of my ability, preserve, protect and defend the Constitution of the Paper, Allied-Industrial, Chemical and Energy Workers International Union and upon completion of my term of office, deliver to my successor all Union books, papers and property that may be in my possession

 
Installation of Duties

"Your duties are defined in the Constitution of the Paper, Allied-Industrial, Chemical and Energy Workers International Union, the laws of your Local Union and in your obligations.  Should any emergency arise not provided for in these, you are expected to act according to the directives of common sense, guided by an earnest desire to advance the best interest of the International Union and this Local Union.  I trust that you may gain not only the esteem of your brothers and sisters, but what is even more important, the approval of your conscience."

"You will now assume your respective stations."


Article XIII - Union Property

The officers of this Local Union and any other Members acting in an official capacity shall deliver to their successors all properties and moneys of the Local Union and shall not be released from their bond or obligations until they have done so.  Any officer or member of the Local Union found guilty of misappropriating funds of the Local Union shall be expelled and legally prosecuted.

All Local Union financial officers shall be bonded in accordance with the bonding requirements set forth in the Constitution of the Paper, Allied-Industrial, Chemical and Energy Workers International Union.  The Trustees will maintain a property log of all Union property and no property will be disposed of without the knowledge and consent of the Trustees.

Article XIV - Miscellaneous Rules


Section 1. Under Good and Welfare, the members of this Local Union may discuss the political issues of all parties and candidates running for political office.

Section 2. Any proposed assessment shall be stated at a regular meeting, and the proposition shall lay on the table until the next regular meeting when it shall be stated again and a vote of the membership present at the second reading shall decide the question of the assessment.

Section 3. A copy of these by-laws shall be presented to each member.

Section 4. All motions for donations to come out of the Local Union Treasury are to go to the Trustees for study and recommendation.  Recommendations are to be made at the next regular meeting.

Section 5. The Executive Board may hold a closed meeting to discuss the character of an individual member.  Only that part of the meeting dealing with the aforementioned issue can be closed.


Article XV - Amendments

Section 1.   Any alterations or amendments to these by-laws must first be presented to the By-Laws committee at a regular meeting.

Section 2. A proposal, alteration or amendment shall be presented and discussed at one regular meeting, and discussed and a vote taken at the next meeting.

Section 3. No alterations or amendments shall be made to these By-Laws except by a two-thirds majority of those present at a regular meeting who are entitled to vote.  Alterations or amendments must have the approval of the International President.

Section 4. All By-Laws or parts of By-Laws that are in conflict with the PACE Constitution are hereby repealed.

Section 5. The PACE  Constitution and LMRDA provisions shall be the prevailing authority in all matters of rules and regulations.

Article XVI - Standing Rules

Section 1.   Standing rules of PACE shall govern.  In the absence of a rule governing any specific question, the current offering of "Roberts Rules of Order" shall in invoked.
