By-Laws and Constitution
MISSION STATEMENT:
ARTICLE ONE: NAME
The name of this organization shall be the Ostrander Parent Teacher Organization  (PTO).
ARTICLE TWO: PURPOSE
1. To encourage communication and involvement among parents, teachers,  administration and students.
2. To assist teachers and students in furthering the education  and development goals of the school.
3. To provide resources and support for student and teacher  activities.
4. To foster the spirit of cooperation between parents and  teachers.
ARTICLE THREE: POLICIES
1. This organization shall be noncommercial, nonsectarian, and nonpartisan. No  commercial enterprise or candidate shall be endorsed. Neither the name of the  organization nor the names of its members in any official capacity shall be used  in any commercial or partisan concern or for any purpose not directly connected  to the objectives of the organization.
2. This organization is established exclusively for the  charitable, scientific, literary or educational purposes within the meaning of  Section 501(c) (3) of the Internal Revenue Code or corresponding Section of any  future Federal tax code.
3. The organization shall work with the schools to provide  quality education for all students, and shall seek to be informed of the state  and local decision-making process establishing school policy, while recognizing  that the legal responsibility to make decisions has been delegated by the people  to the boards of education, state education authorities and local authorities.
4. This organization may cooperate with other agencies  concerned with student welfare, but individual representatives of the  organization shall make no commitments that bind the organization.
5. No part of the net earnings of this organization shall ever  inure to or for the benefit of or be distributable to its members, trustees,  officers, or other private persons, except that the organization shall be  empowered to pay reasonable compensation for services rendered and to make  payments and distribution, furtherance of the exempt purposed for which it was  formed.
6. The fiscal year shall begin July 1 and end the following  June 30.
ARTICLE FOUR: MEMBERSHIP
1. Membership in this organization shall be available without regard to race,  color, creed or religion.
2. Any parent, guardian, or other legal guardian with a  student enrolled and attending Ostrander Elementary School may become an active,  voting member.
3. Any licensed teacher working at Ostrander Elementary School  may become an active, voting member.
4. The principal shall be considered as a sitting advisor  and/or consultant on all activities. The principal shall be considered a voting  member at large.
5. There shall be no dues for membership in this organization.
ARTICLE FIVE: EXECUTIVE BOARD
1. The Executive Board of this PTO shall consist of no more than 2 Presidents  (Co-Presidents), Vice President, Treasurer, no more than 2 Secretaries  (recording and corresponding), a teacher liaison and the principal of Ostrander  as advisor.
2. The Executive Board shall determine necessary committees  and appoint committee chairpersons.
3. The duties of the Executive Board shall be:
a.) to create standing and special committees as needed to accomplish the goals  of the organization, to appoint chairpersons to these committees and to approve  the work of these committees
b.) to prepare and submit to the organization for adoption a budget for the year  and to approve routine bills within the limits of the budget
c.) to transact necessary business between meetings, authority is granted to the  Executive Board of at least three voting officers to approve expenditures not to  exceed $300.00 without a membership vote.
ARTICLE SIX: ELECTION OF OFFICERS
1. A slate of officers shall be created in the month of April. Officers shall be  elected by general membership by ballot in the month of May. A simple majority  shall constitute an election. All PTO members are eligible to hold office.  Officers shall assume their duties at the last meeting of the school year. If  there is only one nominee for any office, election may be by voice vote.
2. Terms for each office shall not exceed two years. A person  shall not be eligible to serve more than three consecutive terms in the same  office. Immediately upon retiring from office, all accounts, records, papers and  other property belonging to this organization shall be delivered to the  respective successors.
3. A vacancy occurring in an office shall be filled by a vote  of majority by the Executive Board. In case of vacancy in the office of  President, the Vice President shall assume that office.
4. An officer may be removed for office only for good cause by  vote of two-thirds of those present at a regularly scheduled PTO meeting, or if  this officer attends less than half of the scheduled board meetings per year.
5. The Teacher Liaison position is not an elected office, it  is volunteer-based and meant to supply the PTO with current educational  developments and advice and to make requests on behalf of the teaching staff at  Ostrander Elementary.
ARTICLE SEVEN-DUTIES OF OFFICERS
1. The President/Co-Presidents shall:
a.) preside at all meetings of the organization and of the Executive Board
b.) be the primary contact for the principal
c.) be considered an official representative to the School Board
d.) coordinate the work of the officers and the committees
e.) be a member ex-officio of all committees  
2. The Vice President shall:
a.) act as aide to the president and perform the duties of the president in the  absence of that officer
b.) be considered an official representative to the School Board.   
3. The Treasurer shall:
a.) collect all monies of the organization
b.) keep accurate records of receipts and expenditures
c.) pay out funds in accordance with approval of the Executive Board
d.) keep permanent books of account open to inspection
e.) present a statement of account at all regular PTO meetings
f.) participate in the annual budget development
g.) prepare any information for accounting on any forms required by government  agencies.
4. The Secretary shall:
a.) keep a permanent and accurate record of all meetings
b.) conduct all correspondences as requested by the President   
ARTICLE EIGHT-MEETINGS
1. The Executive Board shall meet every August to perform its duties related to  a budget.
2. The regular monthly meetings of this organization shall be  held at least 6 times during the school year. Dates shall be determined by the  Board and announced at the first regular meeting of the year.
3. Special meetings may be called by the organization or the  Executive Board. Ten days notice will be given to the school populace.
4. Three officers and at least two members at large present at  any meeting shall constitute a quorum necessary for the transaction of business.  Three officers constitute a quorum of the Executive Board.
5. The rules contained in Robert's Rules of Order shall govern  the general body of this organization.
ARTICLE NINE- AMENDMENTS
1. The by-laws can be amended by a simple majority vote of members present at a  general PTO meeting. Notification must be made at least two weeks prior to the  date such a vote will be taken.
2. A committee may be appointed to submit a revised set of  by-laws.
3. An adoption of new by-laws takes a simple majority vote of  members present.
