1. NO PURCHASE NECESSARY TO ENTER: The RESUME SCOUT AFFILIATE SWEPSTAKES (the "Promotion") begins at 12:00 AM Pacific Standard Time (United States) on March 29, 2000 and ends at 11:59 PM Pacific Standard Time (United States) on April 11, 2000 ("the entry period"). All prizes will be awarded.

2. HOW DO I ENTER? To enter the sweepstakes online, visit the from 12:00 AM Pacific Standard Time (United States) on March 29, 2000 until 11:59 PM Pacific Standard Time (United States) until April 11, 2000, answer the Resume Scout questions and fill out the entry screen. Questions must be answered correctly to be entered. Answers will not be judged. Enter as many days as you wish, and your entry will be included in that days' entries (a day is from 12:00 AM Pacific Standard Time through 11:59 PM Pacific Standard Time). Limit one entry per person/email, per day. Last chance to enter is 11:59 PM Pacific Standard Time (United States), April 11, 2000. Normal Internet access and usage charges imposed by your on-line service will apply. Multiple entries submitted by a single entrant over the one entry allowed per day will be voided. Entries, which are incomplete, forged or otherwise defective or made outside authorized channels will be voided. Responsibility for receipt of entry rests solely with the entrant. The Sponsor, its respective agencies and employees assume no responsibility for incorrect, inaccurate, incomplete, lost, late, or misdirected entries. All entries become the property of Sponsor and will neither be acknowledged or returned.

3. CAN I ENTER? Sweepstakes is open to legal residents of the United States, who are 18 years of age or older as of March 28, 2000, and who are employees of affiliates of CareerPath.com, Inc.. Sweepstakes is void in Puerto Rico and where prohibited by law. Employees of CareerPath.com, parents, subsidiaries, advertising agencies, promotion agencies, and immediate family members and persons with whom each of the above are domiciled are not eligible. By entering the sweepstakes, winners accept and agree to be bound by these official rules and the decisions of the judges. Participants who disregard these Official Rules or act in a non-sportsmanlike or disruptive manner, or otherwise annoy, abuse, threaten or harass any other participant or CareerPath.com representative, may be declared ineligible and have their access to this or other CareerPath.com sponsored promotions blocked. This sweepstakes is void where prohibited or restricted by national, state or any other governmental laws. This sweepstakes is subject to all federal, state, provincial, municipal and local laws and regulations.

4. WHAT CAN I WIN? e-certificate (Estimated Retail Value $25). Prizes of equal value may be substituted after the first week. Grand Prize winners will be selected in a random drawing from among all eligible entries received each week during the promotion period (March 29-April 4, 2000 and April 5-11, 2000). First Prize winners will be selected in a daily random drawing from among all eligible entries received each day during the promotion period. Drawings will be conducted by an independent judging organization whose decisions are final on all matters relating to this sweepstakes. Odds of winning are dependent upon the number of eligible entries received daily and weekly. Prizes are non-transferable and no substitutions are allowed except by the Sponsor who reserves the right to award a prize of equal or greater value is advertised prize is unavailable. 5. WHEN WILL I BE NOTIFIED? Winners will be notified via mail,
email or telephone. If winner declines to accept the prize, or in the event that prize notification cannot be accomplished within three (3) days from the first notification attempt, the potential winner will be disqualified, and the Sponsor will select an alternate winner. Winners may be required to verify address and execute an Affidavit of Eligibility and Liability Release and, unless prohibited, a Publicity Release, and return to Sponsor within fourteen (14) days of receipt or prize will be forfeited and an alternate winner will be selected. By accepting the prize, the winners agree that CareerPath.com, its parents, subsidiaries, advertising agencies, promotion agencies, and all of their respective officers, directors, employees, representatives and agents, will have no liability whatsoever for, and will be held harmless by winners for, any liability, any loss or damages of any kind due in whole or in part, directly or indirectly, from receipt, enjoyment or use of prize and participation in this promotion. Acceptance of prize constitutes permission to CareerPath.com, their parents and subsidiary to use winner's name and likeness for promotional purposes without further compensation except where prohibited by law.

6. INTERNET: Sponsor is not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the sweepstakes, and Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications, line failure, theft, destruction, or unauthorized access to the Sponsor website. In no event will Sponsor, or its officers, directors, employees, representatives or agents, be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages, arising out of your access to and use of the Sponsor website on the downloading from and/or printing of foregoing. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, education, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

7. DISPUTE RESOLUTION: As a condition of participating in this Sweepstakes, entrant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the City of Los Angeles, CA having competent jurisdiction, which Court shall apply the laws of the State of California without regard for doctrines of Conflict of Law. Further, in any such dispute, under no circumstances will entrant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-of-pocket expenses (i.e., costs associated with entering this Sweepstakes), and entrant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, of the rights and obligations of participants and the Sponsor in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of California.
