Green Acres' directors today voted in favour of issuing 3,098,499 shares for 50c each. The   
Directors also voted to issue 1,200,000 options exercisable at 50c per option to directors,  
the consideration for the options was Deeds of Restraint of Trade and also in lieu of        
directors fees for the year ended 31 March 2002. The options expire 30 June 2004.
