CONSTITUTION AND BY-LAWS OF THE PHILIPPINE JUNIOR JAYCEES, INC.

 

WE THE PHILIPPINE JUNIOR JAYCEES, INC., BELIEVE

            That faith in God gives meaning and purpose to human life;

            That the brotherhood of man transcends the sovereignty of nations;

            That economic justice can best be won by free men through free enterprise;

            That government should be of laws rather than of men;

            That earth’s great treasure lies in human personality; and

            That service to humanity is the best work of life.

 BECAUSE WE BELIEVE

            That those tenets of the Jaycees Creed can best be realized through the instrumentality of the organization composed of young people of good will and firm resolve, who are conscious of our potentials and our duties to God and country,

 HAVE RESOLVED TO UNITE OUR EFFORTS TO ACCOMPLISH THESE AIMS

            By constituting a national organization to be known as the Philippine Junior Jaycees, Inc. in virtue whereof do hereby ordain and promulgate this CONSTITUTION AND BY – LAWS.

  

ARTICLE 1

NAME, NATURE, SEAL, EMBLEM, AFFILIATION AND DOMICILE  

Section 1. Name and Denomination – This national organization of Junior Jaycees shall be officially known as “PHILIPPINE JUNIOR JAYCEES, INC.” otherwise known as “PJJCI and hereinafter referred to in this Constitution and By-law as the Organization  as “PJJCI”.  

Section 2. Nature. The organization and its affiliates shall be non-political, non-partisan and non-sectarian.

 Section 3. Section 2. Seal. The seal of the organization shall constitute of a shield commonly recognized as the symbol of Jaycees International, Inc. (JCI) with the letters of the PJJCI inscribed at the bottom section of the shield and the word “PHILIPPINES” inscribed on a ribbon above the seal.

            The map of the Philippines shall be inside the shield directly above the letters of “PJJCI” the words “Junior Jaycees” shall be inscribed the circle bordering the map of the Philippines but inside the outer border of the shield.

 Section 4. Section 3. Emblem – The emblem of this organization shall be the seal inscribed in the preceding section with the shield having a white background; and the letter outer rims the shield and the ribbon and a relief map of the Philippines having a blue color.

Section 5. Section 4.  Domicile - The principal office of the organization shall be the JCIP building located in Quezon City, Philippines and the incumbent National President shall determine the office of the President.  

 Section 5. Affiliation. - The Organization shall be and is hereby affiliated with the Junior Chamber International – Philippines (JCIP).

 

ARTICLE II

GENERAL PRINCIPLES, OBJECTIVES AND CREED

Section 1. To serve as a special affiliate of the Junior Chamber International - Philippines Jaycees, Inc.

Section 2. Section 1.  Aims and Purpose - This organization shall promote and foster the growth and development of the youth and civic organization in the Philippines; inculcate in the individual membership of such organization a spirit of genuine civic interest and an achievement and an avenue for intelligent participation by the youth through constructive channels towards greater Philippines and to develop through friendship and understanding among young people of all nations.

 Section 3. Section 2.  Purpose of Junior Jaycees  - The purpose of the Junior Jaycees, inspired by the JCI Creed, shall be:

            To develop the individual abilities and stimulate the joint efforts of the youth for the purpose of improving the actual, physical, physical, moral, spiritual, cultural and social well-being of mankind but not limited to:

            (a)    Developing an awareness of the responsibilities of a good citizen;

(b)   Individual participation in internal training programs to develop leadership potentials;

(c)    Active participations in planning and executing programs  for the development of the individual and community;

(d)   Promotion of economic development; and

(e)    Furtherance of understanding goodwill and cooperation among all men.

Section 3. Nature of the Organization. - The nature of the Organization shall be "A Nationwide Federation of Young Leaders and Entrepreneurs”.

Section 4. Non-Profit. - The Organization is not organized for profit and no part of its income or net earning shall be distributed or shall inure to the benefit of any officer, member or trustee. Any net proceeds which the Organization may obtain as in incident of its operation or from the implementation of any project shall be devoted to the furtherance of the purposes of which this Organization has been founded.

 Section 5. Politics. - The Organization and its affiliates shall refrain from partisan political activity of any kind. Any officer elected to a national or chapter position shall be considered automatically on leave of absence from his position from the date of filing of his certificate of candidacy for an elective position or office in the government up to the election day where such position is contested.

Section 6. Religious Activities. - The Organization adheres to religious freedom and shall not engage in sectarian or religious activities designed solely to promote one particular faith, sect or belief.

 Section 7. Supremacy Clause and Waiver. - No provision of the Constitution and Byy-Laws shall be waived, suspended or in any manner rendered ineffective by any resolution, action or inaction of any officer, commissioner, affiliate or member of the Organization.

             Violation of this provision shall render all acts pursuant thereto null and void ab initio and any officer, commissioner, affiliate and/or member enforcing or claiming any right or defense under the same shall be subjected to censure, suspension or expulsion by the General Assembly. The censure, suspension or expulsion shall require a three-fourths (3/4) vote of all the affiliates in good standing, there being a quorum.

 

ARTICLE III

MEMBERSHIP AND SPECIAL AFFILIATES

A.     LOCAL ORGANIZATION MEMBERS:

 Section 1. Local Organization Member or LOM. - Local organizations, whose objectives and activities are in accord with the purposes of the Organization, shall, upon approval of their application for membership by the National Board, be recognized as affiliated Local Organization Members or LOMs of the Organization. After their formal affiliation, these LOMs shall identify themselves by their respective city or municipality together with the word "Junior Jaycees".

 Section 2. Exercise of Voting and Other Rights. - Individual members shall have no voting or property right in this Organization except as herein otherwise provided. Their voting privilege shall be exercised through the LOMs or affiliates in which they are members. Provided that the new affiliate or LOM shall be allowed to vote in the regional, area or national convention only after one year from its charter date.

 Section 3. Affiliation. No affiliation of any individual member from one LOM to another shall be valid unless it has the prior written board clearance or endorsement of his former LOM. In case of dispute, the matter shall be referred to the grievance committee, as hereunder provided, whose decision shall be appealable to the National Board. The decision of the National Board shall be final.

 Section 4 . Multi-Chapters. - In cities or municipalities with an existing LOM or LOMs, all existing LOMs in good standing within the same city or municipality, or in any other city or municipality within the "Area", as this term is defined in the Policy Manual, may sponsor and/or organize new LOMs; Provided, that not more than three (3) members in good standing from an existing LOM shall be allowed to join a newly-organized LOM until after its charter date; Provided further, that no transfer of membership shall be valid if the said transfer shall result in lowering the membership of the existing LOM below the minimum LOM membership required under this By-Laws.

 Section 5. Multiple Localities. - A chapter may be organized among residents from two or more municipalities which are contiguous to each other after taking into consideration the proximity of the population centers and mutuality of interests among the prospective members.

 Section 6. Requirement for Affiliation. - The National Board shall promulgate uniiform rules and regulations governing the requirements for affiliation of chapters with this Organization and which shall form part of the Policy Manual.

 Section 7. Disaffiliation. - A LOM shall maintain a membership of not less than twenty-five (25) individual members in order to maintain its affiliation with the Organization. Where a LOM fails to maintain the minimum membership required, it shall be deemed delinquent and be under automatic suspension. The suspended LOM shall be given one (1) year to bring its membership to the minimum number, otherwise, the affiliation of the LOM concerned shall be terminated by the National Board.

 Section 8. Organization, Structure of Affiliates. - The organization, structure and composition of each affiliate shall be the internal concern of the LOM and its individual members provided that its Constitution and By-Laws is in accord with the By-Laws and Policy Manual of the Philippine Junior Jaycees, Inc. (PJJCI) and the Junior Chamber International – Philippines (JCIP). Each LOM shall have the power to implement such structures and strategies which best suit its local environment.

 Section 9. Use of "Junior Jaycees". - The use of the name of the Organization or the word "Junior Jaycees" or the acronym “JJC” shall be limited to LOMs and individual members of the Organization whose affiliation and membership are duly registered and are in good standing with the Organization.

Section 10. Extension Efforts. - It shall be a continuing goal of this Organization to extend the purpose of the Junior Jaycees to all young people in every community in the Philippines and multi-chapters in one community are encouraged.  Any chapter who first initiates membership extensions shall have the prerogative to sponsor the new chapter taking into consideration population and territorial limitations and the number of members in the existing chapter or chapters. 

B.     INDIVIDUAL MEMBERS:

Section 1.  Section  11.   Individual Membership – Membership in this organization shall be through affiliation with any local chapter or local organization member (LOM) of good standing existing in any municipality or city within territorial limits of the Philippines, organized in accordance with this Constitution and By – Laws.

 Section 2.  Section 12.  Qualification – All individual members shall be of good moral character between the ages of from age of fourteen (14) and twenty-six (26) years, above, provided that membership will continue until the end of the calendar year in which the member reaches the age of twenty-six (26) years, and must unconditionally accepts and subscribes the tenets, aims and purposes of this organization. No individual membership shall be valid until and unless the individual member has paid the appropriate dues or assessments through his LOM and his name duly recorded in the membership list of the Organization.

  Section 3. Section 13.   Prohibition of   on Dual Membership

(a)    Individual membership in more than one JJC Chapter at any one time is prohibited.

(b)   Regular membership in one JJC Chapter and a regular JC LOM at any one time is prohibited.

(c)    No member of any existing chapter in the city or municipality can be eligible as a member of the chapter within one (1) year following the cessation of his membership in the existing chapter.

 Section 4. Affiliates of Local Organization Members – Local organization known as chapters using the name “Junior Jaycees” or the acronym “JJC” whose affiliation are duly recognized by this organization and affiliate thereof.  

·        The National Board shall promulgate rule and regulations governing the application and acceptance of affiliate to the organization.

·        An affiliate shall at no time have less than thirty (30) individual members in order to maintain its membership and affiliation in this organization.

·        Any affiliates can be organized in any place within the territorial jurisdiction of the Philippine Junior Jaycees, Inc.

·        In this event of Chapter extension, the following provisions shall apply upon compliance of the requirements for the purpose.  

(a)    Any chapter who first initiates membership extensions shall have the prerogative to sponsor the new chapter taking into consideration population and territorial limitations and the number of members in the existing chapter or chapters.

(b)   No member of any existing chapter in the city or municipality can be eligible as a member of the chapter within one (1) year following the cessation of his membership in the existing chapter, and

(c)    No affiliate of an individual from the local chapter shall be valid unless within the prior written board clearance or endorsement of his former chapter. In case of dispute, the matter shall be referred to the National Board whose decision shall be final provided that the preceding paragraph is satisfied.

C.  COUNCIL OF LEADERS:

 Section 5. Section 14.   JJC Council of Leaders  (a) Definition – A JJC Council of Leaders is a lifetime membership award awarded by the Philippine Junior Jaycees organization to an individual member or past member as a means of honoring him for tendering Outstanding Services to the Junior Jaycees Organization.

Section 15.  (b) Status – Upon awarding of JJC Council of Leaders Award to an individual past or current member, such member shall also be a lifetime member of this organization.

 Section 6. Section 16.  Applicability of PJJCI Rules – The rules and regulations By – Laws and policies of the PJJCI on the Council of Leaders is of subject to the By –Laws and policy manual of this organization. and shall be made as integral part of the Policy Manual of the Organization.

  

ARTICLE IV

THE GENERAL ASSEMBLY

   Section 1. Supreme Authority  - The General Assembly shall constitute the supreme authority of the Organization. It shall direct the affairs of the Organization. As the supreme authority, the General Assembly shall retain all rights and privileges not specifically assigned to the Board of Directors or the Executive Committee, the National President or any other officer of the Organization.   composed of the following, shall constitute the authority of this organization;

(a)    LOM President or Chief Delegate of an Affiliate;

(b)   Members of the National Board with the voting rights and in good standing; and

(c)    All affiliates individual members.

Section 2.  The General Assembly shall be composed of:

(a)    Incumbent Presidents or Chief Delegates of LOMs or affiliates in good standing as prescribed in this By-Laws;

(b)   Members of the National Board who shall have speaking and voting rights; and

(c)    All affiliates individual members.

Section 3. The General Assembly shall likewise receive and act upon response or recommendation of the National Board, Executive Committee, the Area Board, the National President and other National Officers.

 Section 2. Section 4.  Quorum and Votes Required – The presence of the majority (50% + 1) of the total member of voting delegates present during national or Special Conventions shall constitute a quorum; a majority vote of which shall constitute a valid act of the organization unless otherwise provided therein.

 Section 3. Section 5.  Delegates other than the Chief Delegate – Delegates other   than the Chief Delegate Non-voting delegates shall be entitled to all rights and privileges.

 Section 4.  Section 6.  National Convention – The annual meeting of the organization shall be known as the National Convention.

            The National Convention shall be held on the first week of the month of April but  not earlier than seven (7) days before the start of the regular classes at the principal place of business of the organization or at any other place in the Philippines that the General Assembly may decide at each National Convention at least two (2) years prior thereto.

             The election of the members of the National Board shall be a special order during the National Convention.

  Section 5. Section 7.  Special Convention – Special Convention may be called upon thrifty (30) days written notice by the National Board provided however, that no Special Convention may be called more than once a year.

            The call for a special convention shall include particular business to be taken up and no other business shall be transacted except when authorities authorized by two-thirds (2/3) vote of the voting delegates at such convention.

Special Conventions shall be governed by rules of  on  regular convention in so far as the same are applicable.

ARTICLE V

       VOTING

Section 1. Voting Strength – Each Chapter in good standing shall only be called to one (1) vote.

 Section 2. The elective members of the National Board in good standing shall only be entitled to one (1) vote.

Section 1.  Qualification to Vote. - Only LOMs in good standing as prescribed by this By-Laws and new LOMs which were formally affiliated at least twelve (12) months prior to the first day of the National Convention shall be entitled to vote base on the schedule of votes provided for in this Article.

 Section 2. Affiliate in Good Standing. - An affiliate in good standing is one which has paid in full its current and past national dues and assessments in accordance with the provisions of Section 6, Article XIII hereof, or is not delinquent or under suspension or termination for any cause other than financial at least one (1) month prior to the first day of the National Convention.

             The Secretary General and the National Treasurer shall publish a certified list of LOMs in good standing duly certified by the National Auditor – General one (1) before the National Convention. The LOMs that are not included in the list shall not be allowed to vote at the National Convention.

Section 3.  Speaking Rights. - The Presidents or duly appointed representatives of LOMs formally affiliated for less than twelve (12) months prior to the first day of the National Convention shall have speaking rights and are encouraged to participate actively in the meetings, programs and functions of the National Convention.

 Section 4. Voting Strength. - On any vote of the General Assembly, all LOMs in good standing are entitled to one (1) vote by virtue of its affiliation which shall be cast personally by the LOM President and a total number of additional votes based on the following schedule:

                         From 31 - 50 members            -            2 votes

                        From 51 - 90 members            -            3 votes

                        From 91 - 170 members            -            4 votes

                        More than170 members            -            5 votes

Section 5.  Basis for Voting Strength. - The voting strength of LOMs shall be determined by the number of individual members whose dues have been fully paid on or before the deadline fixed in this Constitution and By-Laws.

Section 6. LOM President's Vote. - A LOM shall be entitled to one (1) vote by virtue of its affiliation to be personally cast by the President.

Section 7. Casting of LOM Votes. - In the election of officers of the Organization, the voting delegates shall cast the votes that their LOM is entitled to on the basis of its voting strength. A voting delegate shall only vote once. On voting other than for the election of officers, the LOM votes shall be cast by its President, or in his absence, its duly accredited Chief Delegate or all or any of its duly designated voting delegates.

Section 8. Other Requirements for Voting Delegates. - It shall be the responsibility of the LOMs intending to cast their votes to submit to the Secretary General, on or before January  31, together with duly accomplished forms specified for this purpose, the names of their voting delegates to the Area Conference or National Convention and their respective alternates, together with four (4) copies of the most recent photograph and four (4) specimen signatures of each of the said voting delegates and alternates.

 Section 3. Proxy – No proxy voting shall be allowed among the members of the National Board.

  

ARTICLE VI

THE NATIONAL BOARD

Section 1.  Composition - a. The National Board -  The policy making body of the Philippine Junior Jaycees, Inc. The five (5) elective officers of the Organization shall composed the National Board shall be composed of five (5) members, one from each of the three- (3) areas specified in this Constitution and By – Laws, and the National President and the National Executive Vice President.  Section 1.b. The Immediate Past National President shall sit at the National Board as ex-officio member.

 Section 2. Powers and Duties – The National Board shall have the following powers and duties;

(a)    To carry out the objectives of the organization as outlined in the Constitution and By – Laws of the Philippine Junior Jaycees, Inc.  and/or as recommended by the previous general Assembly;

(b)   To investigate the conduct and activities of any affiliate contrary to this Constitution and By – Laws and/or contrary to the Jaycee ideals and principles and to report to the General Assembly all actions taken during the National Convention, in the meantime, it shall have the power to suspend the character and affiliation of any offending affiliate subject to final action by the General Assembly;

(c)    To recommend to the National President of the Philippine Jaycees, the JCP National Commissioner of the JJC Commission who will serve the term simultaneously to the fiscal year of the organization;

(d)   To establish all policies and make all rules and regulations for the management of its business and guidance of the areas, regions, affiliates, officers, members, and other bodies within the Organization; and

(e)    To act on all matters referred to it by the General Assembly.

Section 2. Section 3.  Voting. - All elective members of the National Board shall have one (1) vote each. Proxy votes are not permitted.

 Section 5. Section 4. Regular Meetings. - The National Board shall hold regular quarterly meetings each year, the first to be held in the month of June, the second in the month of August, the third in the month of November and the February and last meeting  to be held during the first day of the regular National Convention. Unless otherwise specified in writing, the regular board meetings shall be held at the principal office of the Organization, except the last regular meeting which shall be held at the place where the National Convention is to be held. The date, time and place are to be fixed by the national President immediately after the National Convention.

Section 6. Section 5. Special Meetings. -Special meetings of the National Board may be convened by the National President when necessary or when requested in writing by at least three (3) members thereof. Written notice of special meetings must be given fifteen (15) days prior to such meetings.

  Section 4. Section 6.  Quorum  - The presence of at least 50% of all elective members of the National Board shall constitute a quorum, a majority vote of which shall constitute a valid act of the National Board unless otherwise provided for herein.

 Section 3.  Section 7.  Forfeiture of Office – The failure of any member of the National Board to attend two (2) consecutive board meetings shall ipso facto forfeit his seat therein unless said absence are subsequently deemed justified by the National Board. Board meeting as contemplated herein shall include regular and special meetings and a meeting shall be counted even if no business was transacted due to the absence of a quorum. In case a National Executive Vice President or National Vice President, the forfeiture of his seat in the National Board shall result in his removal from office.

Section 8 .  Vacancies, Succession. - In case of death, resignation, disability or incapacity of the National President to discharge the duties of his office, he shall be succeeded by the National Executive Vice President. The remaining members of the National Board shall elect from among the National Vice Presidents the one to assume the position vacated by the National Executive Vice President, provided, however, that the successor shall serve only the remainder of the term of the office assumed.

Section 9. Malfeasance, Misfeasance or Nonfeasance. The National Board, may motu propio or upon petition by any person, inquire into the any malfeasance, misfeasance or nonfeasance committed by any national officer, commissioner or chairman and after due hearing take whatever action it may deem warranted. Such action may include suspension or expulsion from office.

 

ARTICLE VII

THE EXECUTIVE COMMITTEE

Section 1. Composition – there shall be an Executive Committee composed of the National President, the National Executive Vice President, the National Secretary-General, the National Treasurer, the National Auditor, the National PRO, the Immediate Past National President and the JCP Commissioner of the Junior Jaycees Commission.

Section 2. Powers and duties  

(a) The Executive Committee shall administer and manager affairs of the organization during intervals between meetings of the National Board.

(b) Undertake and carry out such powers, duties, functions and responsibilities as shall be delegated to it by the National Board and shall have the power to act for the board to regard to such powers, duties and functions and responsibilities subject to the ratification by the National Board.

 Section 3. The Executive Committee shall meet at the call of the National President or upon petition of three (3) members of the Executive Committee.

 Section 4. Quorum – a majority of at least fifty (50%) percent of the total number of the Executive Committee constitute a quorum, a majority of which shall constitute a valid act.

 Section 5. Voting – All members in good standing shall be entitled to one (1) vote. No proxy voting permitted.

Section 6. Dismissal from Office. - The Executive Committee, on the recommendation of the National President, is empowered by a vote of five (5) of its members to dismiss any appointed officer who does not fulfill his duties. Dismissal based on other grounds shall be dealt with in accordance with Article XIV. 

  

ARTICLE VIII

EXECUTIVE NATIONAL OFFICERS

 Section 1. Elective Officers – The following shall be the elective officers of the organization.

(a)    National President (NP)

(b)   One (1) National Executive Vice President (NEVP)

(c)    Three (3) National Vice Presidents of equal rank representing each of the areas specified in the constitution (NVP)

(d)   Sixteen (16) Deputy National Vice Presidents (DNVP) of equal rank representing the sixteen regions of the Organization

Section 2. Appointed Officers. - The appointed officers of the Organization shall be:

 

1.      The Secretary General

2.      The Treasurer General

3.      The National Auditor

4.      The National PRO

5.      The General Legal Counsel

 

 Section 3. Election of Officers. - The elective members of the National Board shall be elected in the following manner:

a.                   The members of the National Board shall be elected every regular National Convention, to hold office for a term of one (1) year from Convention to Convention until their successors are duly qualified, and elected, and sworn; and

b.                  The National President and the National Executive Vice President shall be elected directly by the voting delegates. The National Vice-President shall be elected directly by the voting delegates of their respective area and such other voting delegates who may bay qualified to cast votes thereto. The Deputy National Vice President shall be elected directly by the voting delegates from their respective region. 

Section 4. Qualifications. - Unless otherwise provided herein, all elected and appointed national officers, national commissioners and national committee chairmen shall have the following qualifications:

a.       Age - No individual member shall be elected or appointed who will reach his/her twenty-sixth  (26th) birthday prior to assuming office.

b.      Membership - All nominees for national elective positions must be members in good standing of the Organization for at least three (3) consecutive years prior to the first day of assuming office. All appointed national officers, national commissioners or national committee chairmen must be members in good standing of the Organization for at least two (2) consecutive years prior to the date of their appointment.

c.       Financial Condition - The LOM from which the nominee or appointee for an elective or appointive position, respectively, belongs must be, at the time of election or appointment, current in the payment of national dues to the Organization, otherwise, the said officer's election or appointment shall be void ab initio.

d.      National Convention Attendance - Every nominee for election must be a registered delegate at the National Convention at which he is a candidate.

e.       Residency - Nominees for National Vice President and Deputy National Vice President must come from the area or region, where they are to serve.

f.        Qualifications for Specific Officers - In addition to the foregoing qualifications, each nominee or appointee must meet the qualification for the particular office for which he is elected or appointed as provided in this Constitution and By-Laws or as may be stated in the Policy Manual.

Section 5. Special Qualifications. - All nominees for national elective officer must have been a chapter president who has completed a one-year term of office by the time he assumes his national post. In addition, the following qualifications must be met:

a.       In the case of candidates for NP or NEVP, the candidate must have occupied an appointive or elective national position. If he or she occupies an appointive national position, candidate must have served in an appointive national position for at least two (2) terms. 

b.      In the case of candidates for the National Vice-President, he/she must come from the area where he/she is to serve OR must have served in an appointive area or national position for at least two (2) terms.

c.       In case of candidates for the Deputy National Vice President, he/she must come from the area where he/she is to serve

d.      The candidates for NP, NEVP, NVP and DNVP must also be endorsed in writing by their LOM.

Section 6. Candidates for appointive national and area positions must have at least been elective or appointive officers in his/her LOM.

Section 7. Certificate of Candidacy – All candidates for the National Office must file with the Commission of Election, copy furnish by to the latter their certificate of candidacy in such forms as the commission may prescribe, accompanied by the written endorsement of the Board of Directors of their respective chapters.

Section 8. Continued Membership and LOM Affiliation. - Every national officer or appointee must not only qualify at the time of his election or appointment, but must continue to hold the same qualification until the term of his office or appointment expires.

            The affiliate or LOM to which an officer or appointee is a member must be in good standing with the Organization throughout his term of office. Should it become disaffiliated for any cause provided herein and the officer or appointee concerned has not changed his own affiliation, the officer or appointee shall automatically forfeit his office.

Section 9 . No re-election or Re-appointment. - No elective national, area or regional officer of the Organization may hold the same office twice nor shall any appointee occupy the same position twice.

Section 10. Assumption and Term of Office. - All national, area or regional officers shall assume office at the beginning of the calendar year following their election for a term of one (1) year. The members of the National Constitutional Commissions shall assume office upon their appointment to serve until their fixed term shall expire, unless sooner terminated for cause. All national appointed officers, commissioners and committee chairmen shall assume office upon their appointment with a term of office co-terminus with the appointing authority, unless sooner terminated for cause.

Section 11. Hold-Over. - In the event the no election of officers is held due to any cause, the officers enumerated in this Article, except the members of the National Constitutional Commissions shall remain in office beyond their terms until their successors are elected and have qualified thereto.

Section 5. Areas – the territorial jurisdiction of the organization shall be divided into three (3) areas, which shall, as such as practicable, consist of equal number of affiliates in more or less contiguous areas. Further subdivision of these areas may be so enacted by the National Board as the need arises. These areas shall be as follows:  

(a)    Luzon

(b)   Visayas

(c)    Mindanao

 The cities and provinces comprising each area shall be specified in the Policy Manual

  

ARTICLE IX

POWERS AND DUTIES OF NATIONAL OFFICERS

SPECIAL QUALIFICATIONS

 A. NATIONAL PRESIDENT

 Section 2. Section 1. Powers and Duties National President – The National President shall be the Chief Executive Officer of the Organization. He shall preside over the National Convention, the National Board and Executive Committee meetings, enforce the Constitution and By – Laws and the Policy Manual of the organization, subject to review by the National Board, whose decision shall stand unless otherwise reversed or modified by the General Assembly and then to the National Board at very regular meeting of the said bodies.

 Section 2. Head of the Organization. - As head of the Organization, the National President shall be its official representative in all ceremonies, affairs, proceedings and transactions. However, any act of the National President binding the Organization to a financial or contractual obligation shall be subject to the concurrence of the National Board.

  B.     NATIONAL EXECUTIVE VICE PRESIDENT

 Section 3.  Powers and Duties The National Executive Vice President – The duties of the National Executive Vice President shall include: 

(a)    Take over the duties of the National President in case of the latter’s absence or incapacity;

(b)   To supervise all affairs of the National Commissions and Committees as provided by this Constitution and By – Laws and other Committees created by the National Board; and

(c)    The National Board may assign such other duties to him from time to time.

 C. NATIONAL VICE PRESIDENT

 Section 4. Duties. The National Vice Presidents – The duties of the National Vice Presidents shall be to:

(a) To communicate with, work with and visit the chapters within his or his region for the following purposes:

(i)                To promote the purposes of the Junior Jaycees in consonance with the JCI Creed;

(ii)              To promote and coordinate the implementation within the chapters assigned to him by the JCP, JCI and PJJCI programs;

(iii)             To guide and assist chapter officers in the development of their chapters;

(iv)            To encourage training in chapter and leadership extensions;

(v)              To promote and give guidance in executing planned extensions;

(vi)            To ensure effective communication between his assigned chapters and the National Organization; and

(vii)           To promote the constant broadening of the base of the membership of the Junior Jaycees.

(b) To collect and pass on progress to Secretariat;

(d)   To plan, arrange and chair multi-chapter conferences, when so designated by the       Executive Committee;

(e)     

(f)     To report to the National President on the activities of the assigned chapters;

(g)    To liaise, where appropriate, with the different government or private agencies in their respective development activities, and

(h)    To perform such duties and functions as maybe delegated to him by the National Board.

1.      Supervision over and assistance to the Deputy National Vice Presidents assigned to him by:

a.       Coordinating and supervising the activities of the regions within the area;

b.      Coordinating, motivating and directing their work in the field of programming.

2.      Travel and visitation of chapters within the area;

3.      Liaison with other National Vice Presidents;

4.      Reporting regularly on the activities of the area;

5.      Assisting in the promotion and implementation of the commission/ committee structure among all affiliates concerned;

6.      Reporting to the General Assembly, the National Board, Executive Committee and the National President; and

7.      Performing such other duties and functions as may be delegated by the National Board, the Executive Committee and the National President.

D. DEPUTY NATIONAL VICE PRESIDENTS

 Section 5. Duties. - The duties of the Deputy National Vice President shall be to communicate with, work with and visit the chapters within his region for the following purposes:

a.       To promote the purposes of Junior Jaycees in accordance with the JCI Creed, purposes and principles;

b.      To promote and coordinate with the implementation within the chapters assigned to him and the National Organization;

c.       To guide and assist chapter officers in the development of their chapters;

d.      To conduct training in chapter and leadership development;

e.       To promote and give guidance in executing planned extension;

f.        To ensure effective communication between his assigned chapters and PJJCI; and

g.       To promote the constant broadening of the base of membership in Junior Jaycees

E. LEGAL COUNSEL

Section 6. Qualifications. - The Legal Counsel shall have served as an officer of his LOM or area or regional organization and must possess the following qualifications:

1.      He must be a Jaycee in good standing for at least three (3) years at the time of his appointment; and

2.      He must have at least completed his four (4) years in Law prior to the time of his appointment.

Section 7. Duties. -

1.      Legal - The Legal Counsel shall be the adviser on legal matters pertaining to the Organization and shall advise officers and LOMs on the interpretation of the By-Laws and the Policy Manual.

2.      Parliamentary - The Legal Counsel shall serve as Parliamentarian of the General Assembly and shall rule on matters of parliamentary procedure and legal interpretation at the request of the Presiding Officer.

3.      Admissions Committee - The Legal Counsel shall serve as member of the Admissions Committee for new affiliates of the Organization.

4.      Consultative - The Legal Counsel shall give advice and suggestions to the Organization and to LOMs on the development of constitutions and policies which will give a clear guide for the activities of the Organization and the area and regional councils.

5.      Supervision - The Legal Counsel shall ensure that the National Board and the Executive Committee function in accordance with the By-Laws and the Policy Manual, and for this purpose, he shall attend all meetings of the National Board and the Executive Committee.

  

ARTICLE X

 AREAS AND REGIONS

A.     ADMINISTRATIVE AREAS

Section 1. Boundaries of Areas. – In order to ensure that the most effective service is given to LOMs and individual members, the LOMs of the Organization shall be grouped into three (5) AREAS. Each AREA shall include the REGIONS as indicated below:

                        AREA I           -            Ilocos and Cordillera Region

                        -            Cagayan Valley Region

-            Central Luzon Region

-            Metro Manila

-            Southern Tagalog

-            Bicol Region

 

AREA II            -            Eastern Visayas

-            Western Visayas

-            Central Visayas

 

AREA III            -            Western Mindanao

-            Central Mindanao

-            Southern Mindanao

-            Northern Mindanao

The provinces and independent cities comprising each REGION shall be specified in the Policy Manual. No transfer or reassignment of a city or province shall be made unless endorsed by a majority of the LOMs in the REGION affected.

Section 2. New Provinces or Cities. – Any new province or city created by law shall be assigned to the region from where it was taken, unless the National Board determines otherwise.

 

B.     AREA ORGANIZATIONS

Section 3. Area Organizations. – The Executive Committee of the Area shall be composed of the National Vice President for the Area, the Deputy National Vice President from each Region with the Area, the Area Secretary, the Area Treasurer, the Public Relations Officer, and the Area Auditor, provided that the mode of selecting the last four named officers shall be left to the discretion of the Area Council. The Immediate Past National Vice President shall be an ex-officio member of the Executive Committee. Appointed officers shall have no right to vote unless permitted by the Area Council.

Section 4. Supervision. – Each National Vice President shall be responsible for supervising and coordinating the activities of the Organization within the area, subject to the limits of the authority given to him by this Constitution and By-Laws.

Section 5. Area Council. – The board of an area shall be called the Area Council and shall consist of the aforementioned officers in Section 3 and the Presidents or the authorized representatives of the affiliates within the regions of the area.

Section 6. Functions. – The Area Council and the area officers shall administer the area according to the Constitution and By-Laws and Policy Manual of the Organization. To assist in administration, the Area Council may adopt policies not otherwise provided in this Constitution and By-Laws and not contrary hereto.

Section 7. Powers and Duties of Other Officers. – The powers and duties of the officers of the Area shall be provided in the resolutions or other directives of the Area Council. In the absence of such provisions, the said officers shall have the powers and duties as may be provided in the Constitution and By-Laws, the Policy Manual and other resolutions of the National Board.

Section 8. Meetings. – The annual meetings and conferences of the area for the transaction of area business and presentation of reports shall be held on a date to be fixed by the National Board, in consultation with the area affected.

Section 9. Periodic Meetings. Periodic meetings and conferences of the area council shall be held for the purpose of exchanging information, discussing area, regional and national business, and adopting area policies for the well being of the area organization.

            The Executive Committee of the area shall meet from time to time to supervise the day-to-day operations and activities of the area and report on conditions of affiliates.

Section 10. Vote. – All members of the Area Council in attendance at a meeting shall have one vote. There shall be no proxy vote.

Section 11. Elections. – The National Vice President shall be elected by secret ballot at the annual National Convention of the Organization in the manner prescribed for the election of national elective officials.

            The election of the Deputy National Vice Presidents shall take place in the same manner as that provided for in the election of the National Vice President.

 

C.     REGIONAL ORGANIZATION

Section 12. Regional Organizations. – The Executive of the Regional shall be composed of the Deputy National Vice President, a Secretary, a Treasurer, an Auditor and LOM Presidents. The Immediate Past Deputy National Vice President shall be an ex-officio member of the Regional Executive Committee. The Deputy National Vice President shall have the right to vote the national officers.

Section 13. Regional Councils. – The composition, powers and functions of the Regional Council and the officers of the region shall be similar to those defined in Section 6 and 7 of this Article.

 

D.     FINANCES FROM DUES

Section 14. Funds. – The Areas and Regional Councils may impose additional or special assessments to be collected from the affiliates subject to the approval of the National Board. In addition to other powers, the council my accept or solicit monies, materials and other contributions from chapters or individual members.

Section 15. Funds of the Region. – Ten percent (10%) of the annual dues net of PJJCI dues collected from each member in the region before February 28 deadline shall be appropriated for the Regional Administration Fund which fund shall be released to the incoming DNVP after he has been elected and has completed all the requirements for his assumption to office.

Section 16. Area Funds. – Five percent (5%) of the annual dues net of PJJCI dues collected from each member in the area before the February 28 deadline shall be appropriated for the Area Administration Fund which fund shall be released to the incoming NVP after he has been elected and has completed all the requirements for his assumption to office.

Section 17. Budget. – The National Vice Presidents and Deputy National Vice Presidents shall prepare and submit to their respective Area and Regional Councils their recommendations on their respective operating budgets for the calendar year. Council officers and members shall not be entitled to any salary or compensation except the reimbursement of reasonable expenses for travel during meetings. No disbursement shall be made except in accordance with the budget.

  

 Article XI

ARTICLE IX

APPOINTIVE OFFICERS

 Section 1. Appointive Officers – the following shall be the appointive officers of the organization.  

(a)    Secretary – General

(b)   One (1) Assistant Secretary General

(c)    National Treasurer

(d)   National Auditor

(e)    National PRO

(f)     Four (4) National Directors

(1)   Individual Development Area Opportunity

(2)   Management Area of Opportunity

(3)   International Area of Opportunity

(4)   Community Development Area of Opportunity 

(5)   National Commissioners

 Section 2. Appointments – All Appropriate Officers as mentioned in the preceding section shall be appointed by the National President, who shall serve a term of one (1) year unless otherwise removed or recalled by the National President, or upon recommended by the National Board.

 Section 3. National Secretary-General – There shall be a Secretary-General to be appointed by the National President.

 The following shall be the duties and responsibilities of the National Secretary-General:  

(a)    Shall be the custodian of the organization’s seal and records all meetings of the National Convention, the National Board and Executive Committee and shall affix signatories and official seal of the organization on all official papers;

(b)   Shall be the Administrative Officer of the organization, responsible for the implementation of policies of the National Presidents;

(c)    Shall employ discipline or discharge such personnel as may be required and authorized between the limitations of the budget is subject to final approval of the National Board and shall be responsible for the establishment of salaries of all other employees within the range established by the National Board; and

(d)   Shall be responsible for the operation, maintenance and management of the secretariat.

 Section 4. National Assistant Secretary-General - the duties of the National Assistant Secretary-General shall include:  

(a)        to take over the duties of the Secretary-General in the latter’s absence or incapacity; and

(b)        Such other duties as may be signed to him by the National Secretary-General National Board/or National President from time to time.

 Section 5. National Treasurer – The duties and responsibilities of the National Treasurer shall be the following:  

(a)    Shall be the custodian of funds and properties of the organization and shall receive and disburse said funds in accordance with the pertinent provisions of the Policy Manual and such rules and regulations as may be prescribed by the National Board;

(b)   Shall be responsible for the financial affairs of the organization and shall keep the National President, the National Board, the national Auditor and the General Assembly information on the financial position of the organization;

(c)    Shall supervise the administration of all financial records and shall recommend fiscal policies to the General Assembly, the National Board and the National Executive Committee;

(d)   Shall be responsible for the submission of the annual budget for the succeeding year to the National Board;

(e)    Shall render quarterly financial reports of the organization to the National Board duly certified by the National Auditor following the quarter and interim financial reports for the period ending June 30 of the current year; and

(f)     Issue notices to affiliates of dues payable and delinquencies and to collect such dues.  

 Section 6. The National Auditor – There shall be a National Auditor to be appointed by the National President. The national Auditor shall not occupy any other position during the term of office.  

            Duties and responsibilities of the national Auditor shall include the following:  

(a)    shall examine and verify books of accounts of the organization and submit quarterly audited financial statement to the National Board and audited interim financial statement;

(b)   Shall pre-audit all disbursement and trust funds.

 Section 7. The National PRO – The duties and responsibilities of the National PRO shall be the following: 

(a)    Shall be the ex-officio members of the publication commission of this organization;

(b)   Shall supervise the publication of the National Newsletter;

(c)    Shall serve as the official spokesperson of the National Newsletter;

(d)   Shall pass progress reports on the activities of the National Board; and

(e)    Shall perform such duties and functions as may be designated by the National Board.

Section 8. National Directors – there are four (4) National directors for the following areas of opportunity:  

(a)        Individual Development Area of Opportunity

(b)         Management Area of Opportunity

(c)        International Area of Opportunity

(d)        Community Development Area of Opportunity

 Section 9. Prohibition – All Appointive Officers shall not occupy any other position in the organization during the term of office, unless otherwise, the position to his functions and responsibilities.

  

Article XII

ARTICLE X

THE JCP NATIONAL COMMISSIONER OF THE JUNIOR JAYCEES COMMISSION

Section 1. The JCP National Commissioner of the Junior Jaycees Commission must be a regular Jaycee in good standing who shall be appointed by the national President of the Philippine Jaycees (JCP).

            He shall serve for a term of one (1) year unless sooner removed for cause by the National President of the Philippine Jaycees.

 Section 2. Duties, Functions and Responsibilities – the following are the duties, functions and responsibilities of the JCP National commission of the Junior Jaycees Commission;  

(a)    To coordinate, motivate and guide the Junior Jaycees of the Philippines through its National Board in the implementations of programs and activities in consonance with JCP and JCI objectives, ideals and principles;

(b)   To act as liaison between the Junior Jaycees of the Philippines and the National Junior Jaycees Commission of the JCP;

(c)    To ensure effective communication between the PJJCI and the JCP;

(d)   To report periodically to the National President of the Philippine Jaycees;

(e)    To be an ex-officio member of the National Board of the Executive Committee and to act as an adviser of the PJJCI;

(f)     Is obliged to attend the National Board Meetings of the PJJCI; and

(g)    To perform such other duties and functions as may be designated by the Board of the Philippine Jaycees.  

 

ARTICLE XI

QUALIFICATIONS, ELECTIONS AND TENURE OF OFFICE

 Section 1. Election, Time and Manner – the members of the National Board shall be elected every regular National Convention, to hold office for a term of one (1) year from Convention to Convention until their successors are qualified and elected.

            The National President and the National Executive Vice President shall be elected directly by the voting delegates. The National Vice-President shall be elected directly by the voting delegates of their respective are and such other voting delegates who may bay qualified to cast votes thereto.

 Section 2. Qualifications for Candidates for Office – Only members in good standing affiliates shall be eligible as members of the National Board and Elections and appointment of officers of the organization. All candidates must, in addition, possess the following qualifications:  

(a)    Must have not reached his/her twenty-sixth  (26th) birthday anniversary on the first day of calendar year for which he is to serve.

(b)   In the case of candidates for NP or NEVP, the candidate must have been a duly elected chapter president and must have occupied an appointive or elective national position. If he or she occupies an appointive national position, candidate must have served in an appointive national position for at least two (2) terms.

(c)    In the case of candidates for the National Vice-President, he/she must come from the area where he/she is to serve and must have been a duly elected chapter president OR must have served in an appointive area or national position for at least two (2) terms.

(d)   Candidates for appointive area positions must have at least been elective or appointive officers in his/her LOM.

(e)    The candidates for NP, NEVP and NVP must also be endorsed in writing by their LOM.

 Section 4. Re-election – No elective national or area officer may hold the same office twice, nor shall any appointive officer occupy the same position twice in the organization.

 Section 5. Certificate of Candidacy – All candidates for the National Office must file with the Commission of Election, copy furnish by the latter their certificate of candidacy in such forms as the commission may prescribe, accompanied by the written endorsement of the Board of Directors of their respective chapters.

 Section 6. Assumption of Office – All appointive officers and members of the Comelec shall assume upon their appointment.

  

ARTICLE XIII

CONSTITUTIONAL COMMISSIONS

A. THE COMMISSION ON ELECTIONS

Section 1. Composition – There shall be an independent Commission on Elections composed of three (3) members who shall be Junior Jaycees in good standing to be appointed by the National President with the concurrence of the National Board for a term of one (1) year.

Section 2. Powers and Duties – The Commission on Elections shall have the following powers and duties:

a)      Enforce and administer all rules and regulations related to the conduct of elections embodied in the National Election Code and made an integral part of the Policy Manual.

b)     Register and accredit voting affiliates and voting LOM Presidents and voting delegates.

c)      Submit to the incoming and outgoing National Board at the National Convention on the day following the national election, a report on the conduct and manner of election.

d)     Promulgate rules and regulations governing the conduct of campaigns and elections exercise general supervision and control over the elections. at every National Convention pass upon the qualifications of candidates and hear and decide elections on protests.

e)      Pass upon the qualifications of candidates and be the sole judge of all election contests, including pre-proclamation, and protests relating to election returns, qualification of voters, canvassing and validity of votes.

f)       Hear and decide election contests within fifteen (15) days after the same are submitted for resolution.

 

            The decisions of the commission on all matters within its jurisdiction shall be final and unappealable.

 

Section 3. Prohibition Against Members – No members on the Commission on elections shall engage directly or indirectly in Junior Jaycee partisan politics nor hold elective or appointive national position during the term of office.

Section 4. Vacancies – Any vacancy in the Commission on Elections shall be filled by National Board provided that the members so appointed shall serve only the unexpired term of the predecessor.

  

ARTICLE XIII

COMMISSIONS

Section 1. Commissions and committee – the National Board shall create such commissions and committees as it may deem necessary for the expedient and efficacious administration of the organization.

 Section 2. Chairman and Members – the chairman of commission and committees shall be appointed by the National President, with the concurrence of the National Board.

The National President and the National Secretary shall be the ex-officio members of all commissions and committees.

 

ARTICLE XIV

FINANCES

 Section 1. Annual Dues  

(a)    Individual members of the local organization shall pay to the National Organization membership dues in the amount of P50.00 per year per member or a minimum of P1, 500.00 for each additional members with the idea benefiting fifty (50%) share of the total membership dues collected.

(b)   The national President will be allocated eighty (80%) percent of the NOM’s share and the remaining twenty (20%) will be allowed to the National Executive Vice-President.

 Section 2. Delinquency Penalties – payment made after aforesaid due dates shall be subject to the following surcharges:

         Any affiliate who fails to pay the original due dates set forth herein all amounts, including special assessment and surcharges, if any due and owing it to the organization shall automatically become delinquent and suspended from all rights and privileges properly due an affiliate in good standing for the rest of the year. Provided that should such suspended affiliate pay the amount due and surcharges within the grace period stated above, it shall automatically revert of an affiliate in good standing.

         Failure of an affiliate to pay an amount due and owing the organization within one (1) year from the date written notice of delinquency from National Treasurer shall ipso facto forfeit its chapter and membership to this organization. The notice herein shall be affected within sixty (60) days from the original dues set forth in this section.

     If said affiliate shall continuously fail to pay the said amount due for two (2) consecutive years, its chapter shall automatically be considered revoked without the need for any board to act on and it shall be deemed as if such affiliate never existed for the purpose of chapter extension.

Section 3. Affiliation – Any local chapter shall to the Area Board and latter shall affiliate to the National Organization though the National Treasurer one (1) week from receipt of payment for the paying chapter.

Section 4. Reinstatement, Restoration of Chapter – Upon payment of all its outstanding accounts, together with written request for reinstatement or for reinstated of its chapter duly restored as the case may be, an affiliate may be reinstated of its chapter duly restored by the National Board upon the payment of a surcharge of thirty (30%) percent of the amount outstanding on the due dates. The reinstatement shall take effect immediately upon the approval. In the case of the restoration of a forfeited chapter, the same shall take effect upon full payment of all accounts due.                                             

 

ARTICLE XII

FINANCES AND DUES

Section 1. Annual Dues. – An individual member of a LOM shall pay PJJCI annual dues of One Hundred (P100.00) per year the same shall be remitted by each affiliate or LOM to the Organization.

            Section 2. Special Assessment. – Proposed special assessment must be contained in the budget of the Organization and must pertain to expenses. Proposed special assessment must be approved by a majority vote of the voting strength of the LOMs in good standing in a referendum called for the purpose.

            Section 3.  Minimum Dues. – The annual membership dues of each LOM as mentioned in Section 1 of this Article shall be based on the number of individual members of each LOM last reported to the National Organization prior to the deadline of payment of dues, provided, however, that the minimum annual dues for each LOM shall be based on the minimum individual membership as provided in this Constitution and By-Laws.

             Section 4. Disputes of Dues. – If an affiliate disagrees with the statement of account made by the National Treasurer, a written objection thereto must be filed with the National Board within one month after notice thereof. If no objection is made on time. The affiliate shall be responsible for the membership dues stated in the said statement of account. If an objection is duly lodged, the National Treasurer, with the assistance of the Secretary General, shall inquire into the correct number of membership of said affiliate for billing purposes. Any dispute arising herewith shall be resolved by the National Board whose decision thereon shall be final.

            Section 5. Newly Chartered Affiliates. – Newly chartered affiliates shall pay their annual membership dues on a pro-rate basis for the balance of the fiscal year following their formal affiliation.

            Section 6. Deadline for Payment and Delinquency Penalties. – Dues must be paid in full on or before February 28 of each calendar year. Only LOMs that have paid their dues in full on said date shall be entitled to vote in the area conference and in the national convention.

            The National Board may provide for an incentive scheme for early full or partial payments.

            Section 7. Suspension and Forfeiture. – Any LOM which shall fail to vote at the Area Conference or National Convention due to non-payment of dues shall be automatically considered delinquent and shall be deemed suspended from all rights and privileges as an affiliate, provided, however, that if said LOM is able to pay the dues and surcharges within the period of one (1) year from its delinquency, it shall be automatically restored as an affiliate in good standing.

            In all cases, the failure of any LOM to pay any amount due from membership within one (1) year from date of receipt of the written notice of delinquency from the National Treasurer, or within the one (1) year deadline set forth in the preceding paragraph shall be a cause for its disaffiliation or the forfeiture of its charter and membership in the Organization as may be determined by the National Board.

            Any LOM which shall continuously fail to pay any amount due from membership for two (2) consecutive years shall have its affiliation or charter automatically revoked without the need for any action on the part of the National Board and said delinquent LOM shall be deemed never to have existed for purposes of chapter extension.

            Section 8. Restoration of Charter. – A disaffiliated LOM may have its charter reinstated upon application with the National Board subject to the guidelines to be issued by the National Board for this purpose, provided that a reinstated LOM can exercise its voting rights only upon the full payment of its dues for the current year and other back dues, if any.

            Section 12. Assets. – All funds, real properties and other assets shall be held and maintained in the name of the Organization.

            Section 13. Budget. – The Secretary General shall prepare and submit to the National Treasurer his recommendations on the operating budget of the ensuing year.

            Section 14. Fund Surplus. – A special surplus shall be created which shall not be less than ten percent (10%) of the yearly income excluding sponsorship income. This fund shall be accumulated at the rate of not less than one percent (1%) of the total dues income per year until the appropriate amount is reached. Disbursement from this fund must be approved by the General Assembly at a National Convention upon the recommendation of the National Board.

             Section 15. Bank Signatories. – All disbursements from the Organization’s bank accounts or certificates of deposit shall require at least two (2) authorized signatories, to be designated by the National Board in a resolution for that purpose unless otherwise provided for herein.

            Section 16. Offsetting of Accounts. – The offsetting of an account or membership dues by any LOM with any obligation of the Organization is prohibited unless the account is mutually agreed upon within ten (10) days prior to the deadline for the payment of such dues or accounts.

            Section 17. Convention Income. – Until otherwise provided by the National Board, the host LOM of any National Convention shall remit to the Organization ten percent (10%) of its gross receipts collected from registration fees.

            Section 18. Bank Accounts and Depository Bank. – The Organization will maintain its account with at least two (2) banks in good standing to be approved by the National Board upon recommendation of the National Treasurer. No account can be opened by a project commissioner/chairman in the name of the Organization on in his own project without approval of the National Board and with the National Treasurer being one of the signatories.

            Section 20. Leadership Development Trust Fund. – The host LOM of any Area Conference or Special National Convention shall remit to the Organization five percent (5%) of its gross receipts collected from registration fees which shall be deposited in s special bank account to be called “Leadership Development Trust Fund”.

            Section 21. Disbursement from the Leadership Development Trust Fund. – Disbursement from the fund shall only be for training and related leadership development activities and shall not exceed the interest earned by the fund and shall only be upon the recommendation of the National President and approval of the National Board.

            Section 22. Board of Trustees. – The Trust Fund shall be managed by a Board of Trustees to be composed of seven (7) members, with one (1) Trustee to be elected from each of the five (5) Areas during the elections in the Area Conference, and the remaining two (2) members to be elected by the National Board.

  

                                                          ARTICLE XV

                                                       IMPEACHMENT

 Section 1. Ground for impeachment – elective officers and members of the commission on elections of this organization may be impeached for any culpable violation of the constitution of any crime of involving moral turpitude, dereliction of duty or conduct highly inimical to the interest of their organization.

 Section 2. Procedure –impeachment proceeding shall be heard and be deducted by a three-fourths (3/4) vote of all the members of the National Board, however, may be appealed to a body composed of all chapter presidents duly concerned for the purpose, a majority being present.

Two third of the chapter presidents shall be sufficient to affirm, reverse or otherwise modify the decision of the national board. 

    

                                                          ARTICLE XVI

                                                      FINANCIAL YEAR

 Section 1. Financial Year – The financial year of the organization shall be the fiscal year from convention to convention.

 


ARTICLE XVII

AMENDMENTS

Section 1. Amendments, Manner and Procedure – Any provisions of this Constitution and By – Laws may be modified, altered, amended, waived, or suspended or repealed by the affirmative vote of at least two thirds (2/3) of the total voting delegates present and qualified at the regular or special convention called for the purpose at least two (2) years after the adoption of this constitution, or provided that a vote of at least two thirds (2/3) of the voting delegates at any National Convention may delegate to the National Board the power to amend or repeal any provisions hereof or adopt new By – Laws provided however, that such delegation of power, if not exercised, shall be considered as revoked,  provided finally that no amendment shall be made oftener than once every two (2) years from ratification hereof unless petitioned by at least two-thirds (2/3) of the total strength of the total voting affiliates in good standing. whenever a majority of the qualified acting delegates shall so vote at any National Convention and provided finally that nothing herein contained shall be construed to authorize the suspended of any provisions of this Constitution and By – Laws for any reason whatsoever.

  

ARTICLE XVIII

EFFECTIVITY

 Section 1. This constitution and By – Laws shall take effect immediately after the approval of the General Assembly during the 25th Philippine Junior Jaycees, Inc. National Convention hosted by the University of San Carlos Junior Jaycees, Inc.

            Done this 2nd day of April, 2000 in Cebu City, with the National Board and the President/Chief delegates of all duly registered and affiliated chapters of the Philippine Junior Jaycees, Inc. having affixed their signatures herein, signing the amendments and approval of this new Constitution and By – Laws on the Philippine Junior Jaycees, Inc.
