1.
INTRODUCTION TO THE JACKSLOT™ TECHNOLOGY
|
Jackpot.com,
Inc., Pasadena, California ("Sponsor") is pleased to
present the JackSlot™ technology. JackSlot is a graphical user
interface ("GUI"), along with underlying computer
software, that is loaded every promotional period with new and
exciting prizes. The odds are determined by three factors: the
number of prizes offered, the number of seconds in a promotional
period, and the number of eligible players playing at any given
second on the system. This month, the JackSlot-based technology
is utilized in three games: a slot machine, traditional
solitaire using a 52-card deck ("Jackpot Solitaire")
and bingo ("Jackpot Bingo"). See technical
specifications below. By referring friends, you have the
opportunity to share in your friends' good fortune. In most
cases, the referrer receives the exact same prize as the winner.

What's
Featured This Month?
Each day from February 1-28, Jackpot.com will make available one
thousand (1,000) chances to become a "Super Spin
Semi-Finalist". At the end of the month, Jackpot.com will
randomly select one winner from among all the Super Spin
Semi-Finalists (a "Monthly Super Spin Finalist") who
will receive Twenty-Five Thousand Dollars ($25,000), and a
chance to participate in the Jackpot.com Super Spin Finals
Contest for $1 Million. For more information see section 6.
In
addition, this month Jackpot.com continues to offer Jackpot
Solitaire, providing registered users the chance to win cash and
prizes while playing the popular card game. Also, starting on or
around the week of February 19th, Jackpot.com will offer Jackpot
Bingo. Users have the opportunity to win the same great prizes
and the chance to win $1 Million as the other games on
Jackpot.com.

2.
ELIGIBILITY
|
All
of the Jackpot games, contests and drawings set forth herein
("Sweepstakes"), are open only to individuals who can
show that they have reached the age of majority in the
jurisdiction from which they enter the Sweepstakes. Residents of
the Province of Quebec, Canada are not eligible. Canadian
residents must correctly answer a time-limited skill-testing
question, if selected as a potential winner, in order to claim a
prize. Select merchandise prizes supplied by Jackpot.com
advertisers, sponsors and prize suppliers are redeemable by
residents of the United States. Winners residing outside the
United States may receive the cash equivalent of the merchandise
prize unless prohibited, as detailed below. Employees, officers,
and directors of Jackpot.com, Inc. ("Sponsor"),
idealab! and Grand Virtual Corporation, and their respective
parent companies, affiliates, subsidiaries, advertising,
promotion, licensees and fulfillment agencies, immediate family
members (defined as spouse, sibling, parent or grandparent) and
persons living in their same household, are NOT eligible to
participate in the Sweepstakes. Void in Quebec and where
prohibited. All federal, provincial, state, and local laws and
regulations apply.

3.
RULES ARE BINDING
|
Participation
in the Sweepstakes constitutes entrant's full and unconditional
agreement to and acceptance of these Official Rules. Sponsor
reserves the right to disqualify any person or email address
that Sponsor determines to be in violation of any term contained
in these Official Rules. The Official Rules may change on a
monthly basis. Sponsor's decision not to enforce a specific
restriction does not constitute a waiver of that restriction or
of the Official Rules generally.

4.
TIMING
|
This
promotion begins on February 1, 2001 at 12:00:01 AM, PST, and
ends on February 28, 2001 at 11:59:59 PM, PST (the "Promotional
Period"). Drawings for hourly prizes are held within 30
minutes after the end of each hour.

5.
HOW TO PLAY
|
General Registration with Jackpot.com; Technical
Specifications
You must be a registered user of Jackpot.com in order to
play any of the JackSlot games. If you have not already
registered for free, go to http://www.jackpot.com and provide
your email address, password and additional information. When
you submit this information, you will immediately receive by
email a user I.D. number. Write this number down. You will
need it to play Jackpot.com's games. NOTE: Personal
information is gathered on this site. Review Sponsor's privacy
policy at http://www.jackpot.com/help/privacy.asp for complete
details. If you are already a registered user with a user I.D.
number, simply log into the site to play. In order to play
Jackpot.com's games, your computer must have the following
specifications: IE 4 and higher or Netscape 3 or higher;
Pentium 133 MHz or better; 16 MB RAM or better; Sound Card
(optional, but recommended); Internet connection (28.8 Kbps
modem or better); and desktop resolution 640x480 or better at
256 colors or High Color (16-bit or better).

7.
DETERMINATION OF WINNERS AND ODDS
|
The
JackSlot technology permits Sponsor to load a specific number of
prizes in the Slot Machine prize server and the Jackpot
Solitaire prize server and randomly distribute them across all
of the seconds between two dates. An indeterminate number of
players may play at any moment. Thus, the odds depend on the
number of prizes loaded, the number of seconds in the promotion
period and the number of players at any moment. Sponsor's game
servers operate on an official game clock that releases a
randomly seeded prize into Sponsor's winner-matching file. Thus,
any specific prize may be assigned to any of the seconds in the
relevant game period. The first player to play a JackSlot game
subsequent to that releasing second will be matched to the
assigned prize and become a winner of that prize, subject to
verification and the procedural requirements under these
Official Rules.
Non-US Winners and Cash Equivalents
If a Winner's primary residence is outside the U.S., Jackpot.com
reserves the right, at its sole discretion to the extent
permitted under the laws of the winner's country, to award the
cash equivalent of the prize, the method of the cash award to be
at the sole discretion of Jackpot.com. Jackpot.com reserves the
right to deposit any cash award in a bank or other financial
account in the United States for the benefit of winner, who
agrees to cooperate to establish said account, as may be deemed
necessary by Jackpot.com. Winner shall bear full responsibility
for securing and collecting the prize from the established
account. As discussed above, in the event winner resides in a
jurisdiction outside the U.S. that forbids the award of a cash
prize, winner will not receive a prize.

9.
REFERRER ELIGIBILITY
|
To
be eligible for a "Referrer Prize", a referring party
must register on Jackpot.com and play a minimum of fifty (50)
"plays" within thirty (30) days prior to the date on
which the referred person wins a prize. If the designated
Referrer has not registered on Jackpot.com, the Referrer will
not be awarded the referrer prize. Participants may list their
Referrer when they register to play. Referrers can only win if
the Referred player wins by playing, not by virtue of being a
referrer. Please refer to the prize odds table above for prizes
that are eligible for referral winners.

10.
TERMS AND CONDITIONS
|
Prizes and Winning
No assignment, barter or transfer of prizes, or selection
of an alternative prize or other substitution is permitted
except at Jackpot.com's sole discretion. All applicable U.S.
federal, state, and local taxes, duties, or other taxes or
fees are the sole responsibility of the Winners. All prize
values are expressed, and will be awarded, in U.S. Dollars.
Winners of merchandise residing outside the United States will
receive the cash equivalent of the prize awarded unless
prohibited. In the event a winner resides outside the United
States in a jurisdiction that forbids the award of a cash
prize, no prize will be awarded to winner. Winner acknowledges
and assumes this risk when he/she plays any of the JackSlot
technology games.
Decisions of Sponsor; Notification Generally
All decisions of Sponsor are final and binding. Except with
regard to the hourly drawings and daily prizes, Sponsor will
notify the potential winner by email or phone, at the
discretion of Sponsor, within fifteen (15) days after the
participant has become the potential winner. If the potential
winner cannot be contacted within ten (10) business days after
the first attempt, or if the potential winner fails to comply
with these Official Rules, the potential winner forfeits the
prize.
Affidavits/Releases
If required by Sponsor, potential winners must sign and
return a release of liability, declaration of eligibility (or
in Canada a Declaration of Compliance), and where lawful, a
publicity consent agreement, all within five (5) days of
receipt, except as set forth herein.
Publicity
By accepting any prize offered herein, the winner agrees to
the use of his/her name, voice and/or likeness for the purpose
of advertising, trade, or promotion without further
compensation or consideration in any and all media throughout
the world, unless prohibited by law.
Identity of Player
In the event of a dispute regarding who was actually
playing at the time of winning, the eligible player will be
deemed the authorized account holder of the email account
listed in the Jackpot.com registration information. The "authorized
account holder" is deemed the natural person who is
assigned to an email address by an Internet access provider,
service provider, or other online organization that is
responsible for assigned email addresses for the domain
associated with the submitted email address. Sponsor reserves
the right to request proof that the potential winner is the
authorized account holder of the email address.
Non-US Winners and Cash Equivalents
If a winner's primary residence is outside the U.S.,
Sponsor reserves the right, at its sole discretion to the
