NDASCOE CONSTITUTION AND BY-LAWS

ARTICLE I - NAME AND OBJECTIVES
Section 1
This Association shall be known as the North Dakota Association of Farm Service Agency County Office Employees.
Section 2
The objectives of this association shall be:To strive to maintain and improve the confidence, esteem and respect of the public for the FSA County Office Employees and for the Farm Service Agency Committee:
The purpose of the association shall be to promote the welfare of the association members:
To cooperate with the North Dakota State FSA committee, the State Executive Director and his staff, to improve the FSA in North Dakota:
To be considered as, and be placed on an equal basis with privileges of other Federal Employees:
To promote the professional improvement of it's membership
ARTICLE II - MEMBERSHIP
Section 1
Any North Dakota FSA County Office Employee or any retired FSA County Office Employee who was employed on a leave earning tour of duty may become a member of this association by paying the annual membership dues of this association. Only active (regular leave earning) County FSA employees are eligible to hold any office or committee assignment of NDASCOE and vote.
ARTICLE III - OFFICERS AND DIRECTORS
Section 1
The officers of this association shall be president, vice-president, secretary, and treasurer.
Section 2
The Board of Directors shall consist of three directors from each NDASCOE District in the State. The state includes five NDASCOE Districts.
District Number 1 includes the counties of:
Divide, Burke, Renville, Bottineau, Rolette, Williams, Mountrail, Ward, McHenry and Pierce.
District Number 2 includes the counties of:
Towner, Cavalier, Pembina, Benson, Ramsey, Walsh, Wells, Eddy, Foster, Nelson and Grand Forks.
District Number 3 includes the counties of:
McKenzie, Dunn, Mercer, Golden Valley, Stark-Billings, Slope, Hettinger, Grant, Bowman, Adams,and Sioux.
District Number 4 includes the counties of:
McLean, Sheridan, Oliver, Burleigh, Kidder, Morton, Emmons, Logan, McIntosh and Sioux.
District Number 5 includes the counties of:
Griggs, Steele, Traill, Stutsman, Barnes, Cass, LaMoure, Ransom, Richland, Dickey and Sargent.
ARTICLE IV - ELECTION OF OFFICERS AND DIRECTORS
Section 1
Each NDASCOE District shall elect three directors by vote of the members of the district. The three directors in each district shall consist of one Program Technician (PT), one County Executive Director (CED) and one director referred to as "At Large." The "At Large" meaning the director may be either a PT or CED.
Members eligible to vote shall be those who have paid current dues and who are included on the Secretary's roster of members in good standing. All directors shall be elected by no later than thirty (30) days prior to the State NDASCOE Convention. These directors shall be elected by plurality vote.
Terms of office for all directors will be three years, one director from each district being elected annually. The NDASCOE District will be the nominating committee to nominate a slate of candidates for directors.
Section 2
The Board Secretary shall notify all eligible voters of the slate of candidates for directors from their respective districts and furnish official ballots at least 10 days prior to the date established by the Board of directors for acceptance vote. Election ties shall be settled by lot.
Section 3
Members present shall elect the officers by plurality vote at the annual NDASCOE Convention. Officer candidates may be any member in good standing with the association.
Section 4
Director's terms and newly elected officer's terms shall begin the first day of the month following the month of the State Convention.
ARTICLE V - MEETINGS
Section 1
There shall be one annual meeting of the Board of Directors held at the call of the president at the time and place designated by the Board of Directors.
Section 2
Other meetings may be held at the discretion of the president or by written petition of two members of the Board of Directors. The secretary shall notify all board members at least one week prior to the time of the meeting.
Section 3
Meetings of the membership of the Association may be called by the president at the direction of the Board of Directors.
ARTICLE VI - COMMITTEES
Section 1
The president shall appoint all committees.
Section 2
The number of committees, the nature and extent of their duties shall be such as the Board of Directors believes will best execute the program of work of this association.
ARTICLE VII - DUES
Section 1
The Board of Directors will decide annually the amount of dues for the next year.
Section 2
Dues become payable April 1 of each year and become delinquent after July 1.
ARTICLE VIII - QUORUMS
Section 1
No proxies shall be voted or allowed to vote. In any regular or special meeting called in the manner provided herein for the calling of special meetings of this association, 10% of the members in good standing will constitute a quorum. It shall be the duty of the president or acting president to determine whether a quorum is present at any regular or special meeting.
Section 2
A quorum of the executive committee shall consist of a majority of said directors.
ARTICLE IX - CONDUCT OF MEETINGS
Section 1
Roberts' Rules of Order shall cover the discussion of parliamentary procedure in all meetings of this association.
ARTICLE X - VACANCIES
Section 1
The Vice-President shall serve in the absence or inability of the president.
Section 2
In the case of disability or resignation of a director, a successor shall be appointed by the president to fill the unexpired term.
Section 3
In the absence, disability, or removal for cause of the vice-president, secretary, or treasurer, that office in either case shall be filled by appointment by the president until the next meeting of the directors.
ARTICLE XI - FINANCIAL MATTERS
Section 1
The treasurer shall deposit all funds of this association in an accredited bank or banks and keep adequate records of collections and withdrawals. The funds shall be deposited in the name of the association.
Section 2
The president and treasurer must approve the withdrawal of any and all funds from the Associations account.
Section 3
The president and treasurer shall refuse to pay any expense incurred by any person or committee until all required expense accounts are properly presented to and filed with the treasurer.
ARTICLE XII - DUTIES OF OFFICERS AND DIRECTORS
Section 1
The duties of the President, Vice-President, Secretary, and Treasurer shall be those usually devolved upon such officers, except as otherwise stipulated in this document.
Section 2
The Board of Directors shall have power to transact all business of this association. Delegations of authority for this purpose may be made at the discretion of the Board of Directors.
Section 3
The Secretary shall conduce the official correspondence o the organization. The Secretary shall keep an accurate and neat record of regular and special business meetings of the Association and Board of Directors. The Secretary shall keep an accurate record of all transactions of the organization and maintain a current list of all North Dakota Association Members in good standing.

The Treasurer shall collect and disburse all monies subject to the approval of the President. The Treasurer shall hive an accurate financial report of the organization annually. The Treasurer shall notify the secretary and president immediately upon receipt of membership dues from members, the names and addresses of such members, and their respective district numbers; and shall perform such other duties as the Board of Directors may prescribe.
Section 5
The President shall also serve as Chairman of the Board of Directors.
ARTICLE XIII - AMENDMENTS
Section 1
This constitution and by-laws may be amended, revised or repealed at any annual meeting of the Board of Directors by an affirmative vote of 2/3 (two thirds) of the members present. Notice of any proposed amendments shall be mailed to all County FSA Offices at least 30 days before the amendment is voted on.
Section 2
All amendments or revisions made shall to into effect immediately.
ARTICLE XIV - DELEGATES TO NATIONAL/REGIONAL (AREA) MEETINGS
Section 1
Each State is allowed two voting delegates at National Meetings. The one delegate to the National Convention at Northwest Area Rally shall be the president. The NDASCOE Board of Directors shall select the second delegate. Alternate to the president if the president cannot attend shall be the vice-president. The president serving the preceding year of the National Convention date would be considered the president to attend the National Convention.
