Indemnification and Limitation of Liability
I. Employer understands and acknowledges that NanniNanny, LLC is not an agent or representative of the Nanny and that NanniNanny,LLC is not in any way liable for any loss, damage, expense or injury which Employer or any other person may suffer or incur as a result of the wrongful acts, omissions of any nanny, and the Employer hereby acknowledges that all risk of harm or loss of damages resulting directly or indirectly from its relationship with or the conduct of a nanny is the sole responsibility of the Employer and the nanny. The Employer hereby covenants and agrees not to bring any legal action of any nature against NanniNanny, LLC based in any way upon damages, expense, or loss resulting from the conduct of, or the Employer's relationship with, any nanny placement and further agrees to indemnify and save harmless, NanniNanny, LLC from and against any and all claims, including reasonable attorney's fees, made by any person and arising out of the employment by the Employer of a nanny referred by NanniNanny, LLC. This document constitutes the entire agreement and all negotiations and agreements have been included. No modifications will be valid unless they are in writing and signed by all parties.

NanniNanny, LLC is a referral service and shall not be liable for any damages caused by any Nanny referred to you. NanniNanny, LLC assumes no liability or responsibility to confirm and verify all information and references supplied to the Employer to ensure such placement. The Employer agrees that NanniNanny, LLC is not responsible for events beyond their control. NanniNanny, LLC is not liable for the acts and/or the omissions of the Nanny. NanniNanny, LLC is not liable for any claims of whatever nature the Nanny may have against the Employer and the Employer hereby agrees to indemnify and hold NanniNanny, LLC harmless from any and all such claims.

Responsibility for Taxes
II. NanniNanny, LLC assumes no responsibility for paying or withholding any Federal or local taxes, Social Security contributions or insurance premiums required or arising from the Nanny's employment with the Employer. The Employer and Nanny shall be solely responsible for state and federal withholdings taxes, FICA (Social Security and Medicare tax), FUTA (Federal Unemployment tax), SUTA (State unemployment tax), and health insurance. The Employer covenants and agrees to comply with all such legal requirements in cooperation with the Nanny and acknowledges, covenants and agrees that under no circumstances shall NanniNanny,LLC be held responsible or obligated for any of said taxes, record keeping, or insurance coverage

Fees and Deposits
III. Client agrees to pay $300 deposit to begin the nanny search. Upon selection and employment of a caregiver provided by NanniNanny, LLC. Client agrees to pay the balance of the placement fees:

Refunds
IV. In the event that NanniNanny, LLC is unable to find a suitable caregiver for Client within 30 days of signing this agreement, NanniNanny, LLC will continue the search until we find a suitable placement, or if Client requests, we will issue a partial refund of the deposit in the amount of $100 at the client request.

If you cancel the search for any reason within the 30-day period, no refund will be due or applicable.

Background Checks
V. NanniNanny, LLC locates screens, and interviews caregivers for the purpose of providing quality referrals to families looking for a caregiver. NanniNanny, LLC performs a thorough interview and reference check prior to referring a caregiver. However, Client acknowledges that they are directly and ultimately responsible for their employee selection and the results they experience with that employee.

Guarantee
VI. If Client is not fully satisfied with the referred caregiver with in 60 days of placement, NanniNanny, LLC will provide additional placement services for one caregiver replacement at no additional charge. This warranty is only valid provided that the entire Nanny Placement fee is received the day the nanny is chosen for hire.

Private Agreements
VII. Employer shall refrain from making any private agreement with the Nanny or from taking any action which is inconsistent with this agreement or which has the effect of avoiding any of the Employer's obligations herein. Such private agreements and actions include, but are not limited to, actions which would enable the Employer or any other person to avoid payment of the registration and/or placement fees due to NanniNanny, LLC. For example, if the Employer refers the name of the Nanny to another person who subsequently employs the Nanny. You are liable to NanniNanny, LLC for all damages in the event you refer any NanniNanny, LLC referral to a third party.

Any claim or controversy arising out of or relating to this Agreement or the breach thereof shall be settled by arbitration in the State of Virginia in accordance with the Rules of the American Arbitration Association, and the judgment upon the award of the arbitrators may be entered in any court having jurisdiction thereof.
By signing this I hereby certify that the terms set forth in the enclosed Client Agreement. I agree to release and promise to hold NanniNanny, LLC harmless for any act of the Nanny. I also agree to hold NanniNanny, LLC harmless of any claim as a result of the placement.
