Independent Contractor Statement

ProCard International, L.L.C., known as ProCard, provides access to America�s largest professional care networks. There is no investment on your part although some equipment may be necessary if you choose to telecommute. You are an independent contractor, and we will send you a 1099-tax form of your earnings and you will be responsible for your own taxes. You are paid only after applications have been accepted and monies collected. (Note: There is a two-week processing time on your first paycheck.)

Associates are considered to be already trained and professional in standing, can take full-advantage of their own experiences and use their own methods to market our services as long as there is no misrepresentation. We abide by the guidelines of the FCC and FTC. All Associates have the full ability to represent any other products and services with any other company, and it does not demand any services to be performed personally by its Associates. Associates have the full freedom and flexibility to promote its services whenever they want and have the freedom to plan their own workdays.

ProCard cannot participate in the hiring, supervising, paying of assistants, furnishing tools, equipment, or materials of its Associates . Also, all Associates can control their own marketing and marketing names in their own communities and realizes that many of its Associates have ongoing current careers and has developed its paperwork and reporting of sales to be at a minimal. Internet access is necessary for the processing of customer information. ProCard has many opportunities available and only wants to extend opportunities to Associates so they can accept or reject the various jobs according to their busy schedules.

ProCard�s office is primarily used for interviewing, training, and administration, only. This enables its Associates to work separately from where ever they would like throughout the entire country without being confined to the ProCard office.

ProCard pays its Associates only after applications are fully completed and monies collected. For members who do cancel, all parties ho received monies from that sale will be charged back, in full, if a refund is provided.

ProCard pays its Associates on a MAP (Monthly Automated Payment) program. Each party or parties receiving monies from that account can continue receiving their MAP monies each month, as long as all parties replace their lapsed accounts each month (lapsed= non-processable sales , cancellations, or any other account which does not stay on the books for any reason). The purpose for this is primarily for maintenance of accounts. Currently, 75% of all non-processable accts. result from simple checking account changes, and ProCard has been enjoying a less than 10% cancellation rate, on average. In the event the receiving party or parties do not replace ALL of the lapsed accounts for a particular month, they will not be paid the MAP monies; however, when the receiving party or parties replace the lapsed accounts on subsequent months, the MAP monies will start up again, but are NOT retroactive.

In the event ProCard terminates its contract with an Associate, the Associate will receive notice, and it is expected that an Associate terminating his/her contract with ProCard will also provide notice.

In the event an Associate purchases supplies from ProCard, he or she is accountable for the total charge at time of termination. Any of ProCard�s long distance provided for personal calls will be deducted from the Associate�s payroll account.

Because ProCard has a number of Associates wanting and needing updated information on a regular basis, ProCard notifies its Associates of any changes through its "What�s New" tab and/or newsletter.

Associates are NOT paid MAP monies nor initial activation fees on their own personal enrollments. Paychecks or ACH's must accumulate to $15.00 or higher for payment.

ProCard does NOT require its Associates to join ProCard to represent its services. ProCard also has a very simple cancellation policy for its members: If for any reason ANY member wants to discontinue the services, the member may terminate membership at any time by written notification to ProCard. Upon receipt of written notification, membership will discontinue on the next one to two billing statements, depending on the processing date of written notification. There is no refund for processing or other membership fees. It is the mutual responsibility of the member and the company to keep the membership in force. To guarantee uninterrupted service, the company continues the services unless notified by member in writing. Acceptance of membership affirms this procedure. All memberships are protected by the following standard bank policy: "I hereby authorize my bank to debit my account on the 1st of each month and pay ProCard International (hereinafter called the "company") the monthly amount each month beginning next month. This authorization is to remain in force until the "company" has received written notification of the termination in such time and in such manner as to afford the "company" and/or the bank(s) a reasonable opportunity to act on it. In the event that the "company" notifies the bank(s) that funds transferred were not entitled to the company, I hereby authorize and direct the bank(s) to return said funds to the member account."

Associates are NOT required to purchase leads from ProCard and can generate accounts in any legal manner they choose without misrepresentation. Associates must regularly qualify to receive FREE leads and FREE long distance. ProCard is NOT obligated to furnish FREE leads and FREE long distance but can make them available on a first come, first served basis for qualified Associates.

The pay periods are on the following: 10th of the month: All apps. processed the 16th thru the last day of the month 25th of the month: All apps. processed the 1st thru the 15th of the month. Pay is on a mailed check or Automatic deposit.

The company reserves the right to change any of its marketing or pay programs at any time. All Initial Bona-fide Enrollments are excluded from pay schedules, and ONLY ONE membership enrollment is required to stay active in order to maintain an ACCESS Code. There is a $10.00 administrative and processing fee for insufficient funds and a $10.00 administrative and processing fee for returned checks. In the event an Associate has already received company leads, there is an additional $25.00 processing fee for returned checks.
