B. The meeting was called to order at 10:15 a.m. by Dr. Leopoldo J. Vega, Chairman of the Board.

C. Roll call showed that there were 32/54 chapters represented, so a quorum was declared by Dr. Edwina G. Tan, Secretary-Treasurer of the Board.

D. (At this point, Mr. Romeo Busalla, General Manager of the Cooperative Bank of Davao City, requested to be called first, to clarify on the status of the bank. Dr. Virginia Lao (MMG-Bohol), Dr. Nilo Jara (MMG-Quezon) and Dr. Romualdo Cabalona (MMG-Tacloban), request for official report from the bank, in black and white, stating its financial status.)

E. The minutes of the previous meeting held last August 29, 1999 in Tarlac City was read, and was moved for approval by Dr. Virginia Lao of MMG-Bohol.  Motion was seconded by Dr. Antonio Padre of MMG-Nueva Vizcaya. The most important correction was the following addendum: The motion to create the OVERSIGHT COMMITTEE. This motion was put to a vote and prevailed. Oversight committee composition: Dr. Tito Garcia, chairman, and Dr. Ric Ramos and Dr. Chee Garcia, members.

b) Chairman of the Chapter Development Committee Report: ( Dr. Tito Garcia)

- Presentation of the OPLAN RX
- There was a motion by Dr. R. Cabalona (MMG-Tacloban)for the creation of a committee to study the Patronage Refund System. Seconded by Dr. E del Rosario (MMG-MMSouth)

c) Chairman of the Federation Report: (Dr. Leopoldo J. Vega)

- Dr. Ric Ramos (MMG-Tarlac) was appointed as OIC-CEO for the duration of six weeks while Dr. Ting Tiongco was in the USA (Oct-Nov) overseeing important projects
- 2nd National CHP Workshop was cancelled because only 12 participants signed up
- The maiden issue of Misyun was already distributed to the chapters
- Next National Directorate will be hosted by MMG-Bohol in February 2000

f) Treasurer of the Federation Report: (Dr. Edwina G. Tan)

- Presentation of the draft of the Audited Financial Report of the Federation, year ending December 31, 1998, done by Punongbayan and Araullo.
- There was a motion by Dr. Virginia Lao of Bohol to increase the capital subscription share from P6.4 million to P100 million, seconded by Dr. Mercedes Atupan of Agusan del Norte

g) Medicíne Report: (Dr. Tony Garcia, Dr. Sam Albano, Mr. Edwin Martinez))

- Clustering of the Chapter
- Possible PHA and MMG Collaboration
- Presentation of the income statement by Ms. Lucia Emit, accountant of MEDICÍNE.
- There was a motion by Dr. Virginia Lao of Bohol to suspend temporarily the Medicíne Report on financial matters because of insufficient data. It was seconded by Mr. Romy Francisco of Tacloban.
- Another motion by Dr. Virginia Lao of Bohol, that Punongbayan and Araullo will be hired as the external auditor of Medicíne when the contract with Sta. Ana and Rivera Auditing Firm expires on December 31, 1999. It was seconded by Dr. Rose Conlu of Roxas. Division of the house: Majority (17/32) voted YES.
- Inquiry on the status of licensure by SEC, and the tenure of office of the Interim board of MMG-MEDICÍNE, by Dr. Nilo Jara of MMG-Quezon. Dr. Romualdo Cabalona of MMG-Tacloban moved that the interim board functions until the next General Assembly when new Board of Directors will be elected. Dr. Ed del Rosario of MMM-MMSouth commented that since the MMG Federation is officially and legally recognized, then it has control over MMG-MEDICÍNE.
- Other motion: Motion of Dr. Virginia Lao of MMG-Bohol to create a BUSINESS MANAGEMENT COMMITTEE to look into the business activities of the FEDERATION.

h) COMELEC Report: (Dr. Ric Ramos)

- Chair of COMELEC said that his committee is not yet ready with the ELECTION CODE. Guidelines will be announced later.
