Constitution and By-Laws
ARTICLE I - NAME
MOBILE HOME OWNERS ASSOCIATION OF ORANGE GROVE ESTATES.
ARTICLE II - PURPOSE
The purpose and objective of this association is to join together to educate and counsel the members on the unique problems of manufactured home living and further to engage in political, legislative, civic, legal or activities which directly or indirectly affect our intrest in the improvement of our living and general conditions.
In the furtherance of this purpose and objective the association will affiliate with and become a CHARTER PARK of the Arizona Association Manufactured Home Owners, Inc. (AAMHO).
ARTICLE III - MEMBERSHIP
Membership shall be composed of dues paying members in Orange Grove Estates located at 8401 N. 67th Ave.-Glendale, Arizona.
Anyone involved in the management or ownership of the park is exempt from membership.
Members in good standing shall have ONE (1) vote per household.
ARTICLE IV - BOARD OF DIRECTORS AND OFFICERS
Section 1. A Board of Directors will be elected to handle the day-to-day activities of the association.
Section 2. The Board of Directors will be composed of the following officers: President, Vice-President, Secetary, Treasurer (all elected) and the AAMHO Delegate/Representative (appointed).
The Secretary/Treasurer could be held by the same person if necessary.
a. The President vote will be used only as a tiebreaker.
Section 3. All officers shall be elected for one-year term.
Section 4. Any member(s) of the Board of Directors are eligible for reelection.
In case of a vacancy on the Board, the remaining members of the Board may appoint a member to fill the remaining term of that position.
Section 5. Elections for the Board of Directors will be held each December, at the time and date selected by the Board of Directors.
Newly elected Board members will take office on the first day of January following the election.
The term of office will run from January 1st - December 31st of each year.
Section 6. A member of the Board of Directors who has three (3) consecutive unexcused absences from scheduled meetings/Board of Directors meetings may be dropped from the Board by a majority vote of said Board present and shall be notified in writing.
ARTICLE V - OFFICERS DUTIES
Section 1. President. The President shall preside at all meetings of the association.
The President is responsible for appointing all committees, subject to the approval of the Board of Directors.
The President shall chair all Board of Directors meetins and will vote only as tie-breaker.
The President shall also oversee our association to make sure that all constitution and by-laws are adhered to.
Section 2. Vice-President. The Vice-President shall assume the responsibilities of the President in the President's absence.
The Vice-President shall also assist all committees with any organizational assistance to keep them functional and active as necessary.
Section 3. Secretary. The Secretary shall be responsible for recording the minutes of the meetings, maintaining an up-to-date roster of paid/delinquent members and reporting changes in the roster of AAHMO.
Section 4. Treasurer. The Tresurer is responsible for collecting and accounting for all the monies belonging to athe association.
The Tresurer shall also notify the Secretary through a written report of any dues that were received from or for our members.
The Tresurer's report of all transactions (deposits/expenses/balances) is to be given at each membership meeting or as requested.
Section 5. AAMHO Delegate/Representative The appointed Delegate/Representative shall be responsible for attending all appropriate AAMHO meetings and giving the members of the association a report on all AAHMO activities.
The AAMHO Delegate/Representative shall represent the members of the pard association at these meetings.
The term shall be the same as the elected officers.
ARTICLE VI - COMMITTEES
Section 1. The President, subject to the approval of the Board of Directors, shall appoint all necessary committees.
Section 2. Nominating Committee. A Nominating Committee of not less then three (3) nor more than five (5) members of the association shall be appointed each September to draw up a slate of candidates for the Board of Directors.
The Nominating Committee will report its slate of candidates at the October meeting for elections in December.
This slate of officers is not all inclusive.
Although not nominated for an officers position by the Nominating Committee.
All members in good standings have the right to be nominated for and accept that nomination for any officer opsition, from the floor at the general meeting.
Section 3. Grievance Committee. The Grievance Committee shall have the same number of members as the Nomination Committe; see Article VI, Section 2 above.
Members may be both volunteers or appointed.
All grievances must be submitted to a committee member or officer, in WRITING only.
ARTICLE VII - MEETINGS
Section 1. Annual Meetings. The Association shall hold an annual meeting during the month of December, at a date and time set by the Board of Directors.
Business at this meeting shall include the election of the Board of Directors for the coming new year.
Section 2. General Membership Meetings. To be held at least twice a year, or monthly, quarterly, etc. as determined by the Board of Directors.
Section 3. Board of Directors Meetings. The Board of Directors will hold meetings at the discretion of the President.
Section 4. Special Meetings. The President, Board of Directors or twenty per cent (20%) of the members may call a Special Meeting at any time.
Section 5. Quorum. The simple majority defined, as ten per cent (10%) of paid up members will be considered a "Quorum", at any meeting, to be considered on Official Meeting.
Section 6. Robert's Rule of Order. The usual parliamentary rules as laid down in "Rober's Rule of Order" shall govern all deliberations, when not in conflict with the constitution and by-laws of this association.
ARTICLE VIII - DUES
There shall be a $1.00 month due for the association.
This is above and beyond the AAHMO dues.
These dues will be used for the betterment of the association members for activities, functions and daily run of the association.
The Treasurer as a yearly or monthly payment shall collect these dues.
The Treasurer is to keep a running record of these dues.
ARTICLE IX - ADMENDMENTS
Admendments, deletions or additions to these by-laws must be approved by a vote of "two-thirds of the members present", provided a quorum is in attendance (see Article VII-Section 5).
The above shall be read at two (2) official meetings and voted on at the second (2nd) meeting.
APPROVAL
The above Constitution and Bylaws are presented to The Mobile Home Owners Association of Orange Grove Estates.
Voted on and accepted by a "Quorum" at it's regular business meeting held on November 17, 2001.
The said proposed Constitution and Bylaws were read at two (2) preceding meetings amd were available to all members.
CERTIFICATION
We, do hereby certify that the forgoing Constitution and Bylaws were approved by a majority of members present at ther regular business meeting of The Mobile Home Owners Association of Orange Grove Estates held on November 17, 2001.
