| Barnett (Barney) Dubowski (Simon1). Born about 1833 in Russia and died in the June quarter of 1902 in Whitechapel, London, England Ref: 1c 142. He married (1) Kate Minzie most likely in Russia about 1862. Kate died in 1895 in Whitechapel, London, England Ref: 1c 184. He married (2) Annie Michaels in 1896 in London, England. Barnett & family arrived in London between 1884 - 1886 quite possibley with his brother Asher Dubowski & family because he arrived in London during the same two year period. The Daily News - Monday July 5th 1897 B. Dubowski & Sons - This company has been formed for the purpose of aquiring carrying on & extending the business of general provision merchants, grocers, Italian warehousemen, dealers in milk & manufacturers of aerated waters & c, which has been carried on by Messrs B. Dubowski & Sons at various places in the East End of London. The price to be paid for the business, goodwill & c is 61,000 payable as to 36,000 in deferred shares & the balance in ordinary shares or cash at the option of the Company. The entire capital is 71,000 divided into 35,000 ordinary shares & 36,000 of deferred shares of 17 each. All the ordinary shares are offered for subscription at par. To pay the dividend of 6% on this issue of 35,000 pounds in ordinary shares will only require 2,800 out of the present net profit of 6,000 pounds and the Messrs Dubowski confidently anticipate that with further working capital, the profits will largly increase. The directors & their friends (outside the Messrs Dubowski) have already subscribed for a sufficient sum to ensure the due floatation of the company & to provide the whole of the working capital. The price to be paid for the entire business, leases, goodwill & co & co is 61,000 pounds payable as 36,000 in deferred shares & as to 25,000 in ordinary shares or cash or partly in either at the opinion of the company. The following contracts have been entered into - Two contracts respectively dated 13th March 1897 & 27th April 1897 made Barnett Dubowski of the first part & Saul Woolf Dubowski of the second part, Samuel Meyer Dubowski of the third part, Abel Dubowski of the fourth part & William Henry Hodges of the fifth part, and a contract dated the 16th June 1897 made between William Henry Hodges of the first part & the company of the second part. Also a contract dated the 15th June 1897 made between Saul Woolf Dubowski & Samuel Myer Dubowski of the one part & the company the other. Also an agreement dated the 15th June 1897 between Samuel Meyer Dubowski of one part & the company of the other part. Also an agreement dated the 15th June 1897 between Abel Dubowski of one part & the company of the other part. The originals of these contracts & copies of the memorandum and articles of association of the company can be inspected by intending applicants for shares at the offices of the company. Other agreements have also been entered into which may constituate contracts within the meaning of section 38 of the companies act 1857. Applicants for shares will be deemed to have notice of the existance of such agreements & to have agreed with the company & trustee for the directors & others to waive their right (if any) to particulars thereof, whether under the said section or otherwise and to any further compliance with the said section that is contained in this prospectus and the subscriptions will only be recieved & allotments made only on that footing. The Directors will allot pro rata on all applications & incase a less number of shares is alotted than the number of which application is made, the balance of the amount paid on application will be appropriated towards the amount payable on allotment 1st July 1897.
