Associate - 1999-2001
Considerable experience counseling clients on all aspects of the franchise relationship including intellectual property issues and general corporate advice.  Drafted and assisted in drafting Uniform Franchise Offering Circulars for companies in diverse industries, including but not limited to home building, fast food, retail, specialty retail, on-line digital imaging, professional cleaning and repair, and outdoor lighting.

Pretzelmaker, Inc.
General Counsel - 1997-1998
Responsible for internal compliance with federal and state franchise regulations.  Drafted and assisted in drafting varius agreements including asset purchase and sale agreements, licensing agreements and vendor and supplier agreements.  Negotiated and reviewed real estate leases for corporate and franchise locations.  Assisted with preparation of international trademark applications.

Grease Monkey International, Inc.
Staff Attorney - 1995-1997
Responsible for assisting outside counsel in revision of the company's Uniform Franchise Offering CIrcular.  Negotiated settlements to the company's advantage in several franchise disputes. Acted as Assistant Corporate Secretary to the company.  Provided considerable assistance to outside counsel in the areas of litigation and intellectual property.
