RESOLUTION
OF THE KINGS
GRANT HOMEOWNERS ASSOCIATION BY THE BOARD OF DIRECTORS WHEREAS the By-Laws of the Kings Grant Home Owners Association states, “The Affairs of the Corporation shall be managed by its Board of Directors.”, and WHEREAS the Articles of Incorporation for the Kings Grant Home Owners Association states, “The affairs of this Association shall be managed by a Board of two (2) initial Directors…”, and WHEREAS the Covenants of Kings Grant Home Owners Association states, “The owners of each lot shall be liable for an annual contribution to the maintenance and improvement of the ingress and egress easements serving their parcels…”, and “This amount shall increase a minimum of five percent per year and may increase more rapidly on the vote of a majority of the Directors of the Association…”, and WHEREAS the By-Laws, Articles of Incorporation, and Covenants of the Kings Grant Home Owners Association are, under the common law of Virginia, documents of higher dignity, NOW THEREFORE BE IT RESOLVED that the following is adopted by the Board of Directors of the Kings Grant Home Owners Association: Notwithstanding any Resolution of any previous Board of Directors of the Kings Grant Home Owners Association, the Board shall have the sole authority, unless restricted by a document of higher dignity, to establish a spending plan and levy dues to effectively and appropriately manage the affairs of the Association including the maintenance and preservation of ingress and egress easements, the maintenance and preservation of common property, and the operational costs of the Association.
