| Constitution of the Kent Rd Care Centre Inc. 1. Name This body shall be known as the Kent Rd. Care Centre (KRCC) Incorporated. 2. Objects The Objects of the Centre shall be to: (i) Provide quality care to the children registered in the Centre in an environment that supports their personal growth and development. (ii) Maintain a close relationship with the staff of the Kent Rd. Public School, in order to maximize support for the personal growth and development of children registered; and (iii) Provide opportunities for parents to participate in decisions about the care provided to their children who are registered with the Centre. 3. Membership The members of the Centre shall be comprised of parents or guardians or significant carers of each child for whom the current annual registration fee has been paid. 4. Management Committee The Management Committee shall be comprised of: (i) The following officers elected at an Annual General Meeting (AGM): (a) President; (b) Treasurer; (c) Secretary; (d) Three ordinary members; and (ii) the following ex-officio, non-voting members: (a) the Co-ordinator; (b) the School Principal. 5. Powers of the Committee The Committee shall be responsible for: (i) employing staff; (ii) overseeing the Centre�s finances and operational expenditure; (iii) developing a strategic direction for the Centre in consultation with the members and staff of the Centre (iv) participating in the making of operational decisions based on the recommendations of the Co-ordinator and the Principal of the Kent Rd. Public School; and (v) ensuring, in consultation with the members and staff, the ongoing viability of the centre . 6. Meetings of the Committee shall: (i) Be held at least twice during each school term (ii) Require a quorum of three members of the Committee, with one of those being a voting member of the Management Committee; and (iii) Be open to all members. 7. Finances 7.1 The Centre shall maintain a bank account with the following as signatories: (i) President; (ii) Treasurer; and (iii) Co-ordinator 7.2 The KRCC bank account shall be operated by any two of the signatories. 7.3 Quarterly financial statements shall be provided to the Management Committee by the Treasurer. 7.4 The Annual Accounts shall be provided to the AGM (Annual General Meeting) by the Treasurer. 8. Annual General Meeting (AGM) 8.1 The AGM of the KRCC Inc. shall be held immediately prior to the first meeting of the Management Committee, following each financial year, with notice given at the previous meeting of the Management Committee. 8.2 The AGM shall have a quorum of five members. 9. Constitution 9.1 This constitution shall take effect immediately after its having been adopted by an Annual General Meeting of the KRCC Inc. 9.2 This constitution may be adopted or changed at an Annual General Meeting provided that any such decision shall be valid only if: (i) the proposal is given notice at a meeting of the Committee prior to the Annual General Meeting at which it is considered; (ii) at least five votes are cast in favour of the proposal at a meeting where less than nine members are in attendance; and (iii) a simple majority of votes are cast in favour of the proposal where ten or more members are present. 10. Dissolution 10.1 The Kent Rd Care Centre may be dissolved: (i) by resolution as described in section 9 of this constitution; or (ii) where 2 consecutive Annual General Meetings fail to meet the requirements for quorum. 10.2 On dissolution of the KRCC, all remaining assets shall be transferred to the Kent Rd Public School. |
