Bylaws of the Glendale Greens
adopted December 16, 2001 as amended February 24, 2002

ARTICLE 1: NAME AND MISSION
1.1 The name of this organization is “Glendale Greens.” GG was founded on June 3, 2001.
1.2 The mission of the Glendale Greens is to promote the Key Values of the Green Party: Personal and Global Responsibility, Sustainability, Ecological Wisdom, Social Justice, Grassroots Democracy, Nonviolence, Decentralization, Community Based Economics, Gender Equity and Respect for Diversity. To achieve this we shall provide information on issues of practical interest to residents of Glendale, Montrose, La Crescenta and the surrounding area, and we shall work to elect candidates who support these Key Values.
1.3 We shall act to improve the policies, laws and activities of local, state and national government so that they reflect the long-term focus on the future of the Green Key Values.

ARTICLE 2: DEFINITIONS
In these bylaws, unless otherwise stated, the following definitions shall apply:
2.1 “GG” shall mean Glendale Greens.
2.2 “Meeting” or “GG meeting” shall mean the monthly GG meetings described in ARTICLE 4.1.
2.3 “Vote” shall mean a vote at a GG meeting as described in ARTICLE 3.
2.4 “Listserv” shall mean the GG listserv described in ARTICLE 7.4.
2.5 “Website” shall mean the GG website described in ARTICLE 7.5.

ARTICLE 3: VOTING
3.1 A person is eligible to vote at a GG meeting if all of the following three criteria are met:
3.1.1 He/She has attended at least 3 prior meetings within the last 6 months.
3.1.2 He/She accepts and promotes the Key Values of the Green Party.
3.1.3 He/She is age 16 or above.
3.2 CONSENSUS: GG will strive for consensus using the following steps:
3.2.1 Discussion: Focus on a specific topic.
3.2.2 Proposal: After adequate discussion, one person states a specific plan of action.
3.2.3 Second: For further consideration, a proposal must be seconded by a person eligible to vote. A proposal made by someone ineligible to vote must be seconded by two people eligible to vote.
3.2.4 Clarifying Questions: Verify everyone understands the proposal.
3.2.5 Concerns: Attempt to resolve these one at a time.
3.2.6 If consensus cannot be achieved, GG will make decisions by a 2/3 vote. (Abstentions are not part of the total count.)
3.3 A quorum for a meeting shall consist of not less than three (3) people eligible to vote.
3.4 All proposals (such as taking a position on an issue or scheduling an event) shall be introduced at one meeting for a vote at the next meeting. With unanimous consensus, those present who are eligible to vote can approve “urgent” status for a proposal and vote on it at the meeting at which it is introduced.
3.5 With the approval of 2/3 of GG present who are registered in the Green Party, a proposal can be designated “Green Party business.” Voting for a proposal so designated will be limited to GG who are registered in the Green Party. People who are eligible to vote at a GG meeting, but are not eligible to register to vote in California, are also eligible to vote on proposals designated as Green Party business.

ARTICLE 4: MEETINGS
4.1 GG general meetings shall be held monthly. These shall be advertised and open to the public.
4.2 The agenda should list the person(s) responsible for presenting the item, unless it is for general discussion.
4.3 Inviting a guest speaker to a meeting shall require either a vote as described in ARTICLE 3, or approval in advance from the Facilitator and at least one Worker.


ARTICLE 5: WORKERS
5.1 The following Workers will be elected for a one-year term by Instant Runoff Voting at the January meeting: Secretary, Treasurer, Outreach Coordinator and Communications Coordinator.
5.2 FACILITATOR
5.2.1 At each meeting a volunteer will be selected to prepare and distribute an agenda and facilitate the next meeting.
5.2.2 The Facilitator will distribute the proposed agenda to the listserv at least five (5) days prior to the meeting.
5.2.3 Once the agenda is distributed, it cannot be changed until the meeting by a vote as described in ARTICLE 3.
5.3 SECRETARY
5.3.1 The Secretary shall take minutes at meetings and distribute them via the listserv and to the office of the Green Party of Los Angeles County.
5.3.2 The Secretary shall relay suggestions he/she receives for the next agenda to the Facilitator, and will assist the Facilitator as needed in distributing the agenda to the listserv prior to the meeting.
5.3.3 The Secretary shall send correspondence on behalf of the GG as needed.
5.3.4 The Secretary shall file all non-financial GG reports required by law or the Green Party.
5.3.5 The Secretary shall present a copy of these bylaws to the coordinator of a new committee as soon as possible, but no later than the first meeting at which there is a report from this committee.
5.3.6 The Secretary shall mail a hard copy of items such as minutes, the proposed agenda and proposed bylaws amendments to anyone who does not have an email account and who provides the Secretary with a supply of self-addressed stamped envelopes and instructions about the type of items requested.
5.3.7 If a Worker fails to attend two consecutive meetings, the Secretary shall remind him/her of the provision regarding vacancies in ARTICLE 5.7 at least seven days before the next meeting.
5.4 TREASURER
5.4.1 The Treasurer shall pay expenses in accordance with ARTICLE 7.1.
5.4.2 The Treasurer shall provide a report at each meeting of the income and expenses since the last meeting and shall have a written record of all transactions for the previous 12 month period available at each meeting to show to anyone who requests it. Within 14 days of receiving a request from anyone in the GG or an elected or appointed official of the Green Party or the government, the Treasurer shall provide an email or hard copy of all GG financial transactions for the previous 5 years.
5.4.3 The Treasurer shall file all GG financial reports required by law or the Green Party.
5.4.4 The Treasurer shall provide a container for donations at each meeting and will coordinate with people planning GG special events regarding donations at the event.
5.5 OUTREACH COORDINATOR
5.5.1 The Outreach Coordinator shall maintain a database of GG and potential GG.
5.5.2 A GG roster with name, phone number and email will be available to GG who give their permission to be listed on it. The Outreach Coordinator shall provide an email or hard copy of the latest revision of the GG roster within 7 days of receiving a request. The roster should be updated at least once every 3 months.
5.5.3 The Outreach Coordinator shall report at each meeting about outreach done to potential GG.
5.6 COMMUNICATIONS COORDINATOR
5.6.1 The Communications Coordinator will maintain the GG contact phone number, email address and post office box, and will respond to requests for information on events GG is organizing or has endorsed, the date and location of meetings (GG monthly, GG committees, Green Party county/state/national/global), and contact information for Green Party local/state/national candidates and related information.
5.6.2 The Communications Coordinator will relay incoming mail at the meeting, to the listserv or to the appropriate Worker.
5.7 VACANCIES: GG may declare by a vote as described in ARTICLE 3 that a vacancy has occurred if any Worker fails to attend three consecutive meetings. The vacancy shall be filled by an election at the following meeting. The Worker involved may stand for re-election to this office.
5.8 There are no limits on the number of terms a Worker can serve.
5.9 If no other volunteer is available, the same person can hold more than one office.

ARTICLE 6: COMMITTEES
6.1 GG shall approve the scope and purpose of all committees by a vote as described in ARTICLE 3.
6.2 The first order of business of any committee shall be to select a coordinator who will report or will arrange for someone to report on the progress of the committee at each GG meeting.
6.3 Each committee will decide how often to meet and will establish a quorum for making decisions in order to do an event or project that has been approved by GG.
6.4 Committee meetings shall be announced on the GG listserv at least 24 hours in advance.
6.5 Whenever possible, minutes of committee meetings shall be posted on the GG listserv.
6.6 A position adopted at a GG COMMITTEE MEETING shall not be announced as a GG position until it is adopted at a GG meeting. An individual stating a position not yet adopted by GG shall clearly identify it as a personal position, and if the individual chooses to mention GG or the GG committee while communicating the position, the individual shall also mention the content of the first sentence of ARTICLE 6.6.

ARTICLE 7: GENERAL POLICIES
7.1 REIMBURSEMENT: Reimbursement by GG will require that a proposal for the expenditure was approved in advance at a GG meeting. Reimbursement for an expense that was not approved in advance shall require approval by 4/5 (80%) of those voting.
7.2 PROPOSAL TIMELINES AND BUDGETS: GG will vote as described in ARTICLE 3 to approve an estimated project budget, timeline and number of volunteers needed before an event or project is announced or publicized.
7.3 PERSONAL RESPONSIBILITY: Due to the large number of urgent political issues that need grassroots action, a person who submits a phone, email or snailmail request for the GG to focus or act on a specific issue will be encouraged either to follow the procedure to get this item on the agenda of the next meeting so that he/she can present a proposal for action to the group, or to bring copies of information about this issue to distribute during “Announcements.”
7.4 GG LISTSERV: A listserv will be maintained to communicate information about GG meetings and events GG has endorsed. Anyone may join and post to it. Subscribers are encouraged to use it to comment about GG activities or ideas, announce new or revised information on the GG website, schedule GG committee meetings, arrange carpools to events that support the Green Key Values etc. Since this listserv is not intended to duplicate other existing listservs, subscribers should use the GG listserv to provide the website address(es) and instructions on how to subscribe to other listservs rather than using it to forward action requests and articles. A subscriber may be blocked from using the listserv by a vote as described in ARTICLE 3.
7.5 GG WEBSITE: A website will be maintained that will include as much of the following as possible: location and time of GG meetings, committee meetings and events endorsed by GG; election information including candidates and ballot measures endorsed by GG; minutes of meetings during the past 12 months; the agenda for the next meeting, GG bylaws. The website may include other information that supports the Green Key Values. Whenever possible, new items or revisions for the website shall be posted to the listserv. An item on the GG website may be revised by a vote as described in ARTICLE 3.

ARTICLE 8: AMENDMENT OF BYLAWS
8.1 These bylaws may be amended by a vote as described in ARTICLE 3. However, under no circumstances will an amendment of these bylaws be considered an “urgent” item for a vote at the same meeting at which it is introduced. An amendment to the bylaws will become effective immediately after the adjournment of the meeting at which it is adopted.

8.2 At least fourteen days prior to the final vote, proposed amendments of these bylaws will be posted to the listserv. This will include a clear statement of the existing language, if any, and the new language.
