Constitution of the Gay, Lesbian, Bisexual Alliance of Chapman University revised: 05/04/2004 The Chapman University Gay, Lesbian, Bisexual Alliance (hereafter referred to as GLBA) is an officially recognized student organization by the Associated Student Government. GLBA has a faculty advisor, responsible to the University. Article I: Name The name of this organization shall be the Gay, Lesbian, Bisexual Alliance, or GLBA Article II: Purpose The mission of GLBA is as follows: Provide a safe, friendly, active, and positive environment for all members of the Chapman University community, as well as a place for gay, lesbian, bisexual, transgendered, transsexual, and heterosexual individuals to engage in honest and stimulating conversation about issues surrounding the community. Article III: Membership Section 1: Membership in GLBA shall be open to any and all students, faculty, staff, and alumni of Chapman University, as well as the individuals from the community at large. Membership is determined by attending scheduled meetings on a regular basis. Section 2: Any member may be asked to leave for violations of the mission of GLBA by a two-thirds vote of the membership. All members must be notified of this pending action at least one week prior to the removal decision. Written charges by a member are to be presented to the Executive Committee and the faculty advisor who will notify the member in question with sufficient opportunity given to answer charges at a meeting of the membership. Voting for removal from membership is to be done by secret ballot. The member in question must be notified immediately of the outcome of the vote. Section 3: It shall be stated as part of the policy of GLBA that there shall be no form or type of discrimination in the group, whether it be due to one�s sexual orientation, race, color, religion, gender, national origin, ancestry, age, differently-abled, or veteran�s status. Section 4: With membership in GLBA shall come full floor and voting privileges on any and all items of GLBA business, including resolution, items of legislation, bylaws, and elections. Article IV: Officers Section 1: The officers shall consist of a President, Vice President, Treasurer, and A.S. Representative. The officers shall be responsible for all administrative duties of GLBA. Section 2: The president shall have the power to: � Direct all operations of GLBA � Recommend and establish goals and objectives with approval of the membership and the faculty advisor(s). � Coordinate the functions of all the officers and committees � Recommend and direct the execution of policies and procedures, together with specific programs in the interests of GLBA and with the approval of the membership and advisor(s). � Delegate responsibilities to officers and committees. � Call and preside at meetings � Arrange and schedule speakers � Maintain communication with the faculty advisor(s) � Designate responsibility for maintaining the GLBA web page to a willing and able member. � Appoint the Publicity Chair. � Appoint other Executive members or Chairs as/if needed. Section 3: The Vice President shall: � Assist the President with all administrative duties and GLBA activities and assume the duties of the President in absence of the President � Perform duties delegated by the President � Recommend to the President goals, objectives, plans and programs for the benefit of GLBA � Help advise and coordinate the activities of the committees Section 4: The Treasurer shall: � Keep an accurate accounting status and use of GLBA funds � Prepare and submit, working with the President and Executive Board, budget requests to the Associated Students � Coordinate fundraising activities Section 5: The A.S. Representative shall: � Attend all meetings of the House of Representatives to advocate for and represent the interests of GLBA � Communicate to the Executive Board and the membership all the pertinent information and announcements regarding A.S. business � Assist in the preparation of GLBA budget requests and make those requests to A.S. in a timely fashion � Report all GLBA functions and activities to A.S. as required by that body � Uphold and fulfill all duties and responsibilities of the House of Representatives Section 6: In the event that active membership comprises less that ten (10) individuals, the responsibilities of the Executive Board shall be divided amongst the active members as said members see fit, dependant upon majority vote of the active members. All decisions shall remain in office until such time as active membership exceeds ten (10) persons, at which time the election process will resume normal operations. Section 7: The elected officers shall form the Executive Board. Section 8: The President and A.S. Representative must be students at Chapman University. Section 9: The President and A.S. Representative shall be in good academic standing at the University (above a 2.0 G.P.A). Article V: Elections Section 1: The President, Vice President, Treasurer, and A.S. Representative shall be elected by the members of GLBA to serve the term of one year. Annual elections shall be held at a date agreed upon by the majority of active members, to take place no later than the final day of the fall semester. The officers shall be elected by means of a voice vote or written ballot, as determined by the members present for the election. The term of office for all officers shall begin on January 1 and end on the same day of the following year. Section 2: Nominations of candidates for GLBA officer positions shall be nominated from the floor of the meeting by any GLBA member. Nominees must be GLBA members. Section 3: Voting shall take place after the close of nominations for each office. Officers shall be elected by majority vote of those present. Section 4: The order of succession shall be: (1) President, (2) Vice President, (3) Treasurer, (4) A.S. Representative. Section 5: Vacancies occurring in any of the elected offices shall be officially filled at the next regular GLBA meeting following the occurrence of such a vacancy or vacancies. The order of succession shall be follow in the filling of any vacant office during any unfinished term. If an officer declines to succeed to a vacant office, then an election shall be held to fill the office for the remainder of the term. The election procedure for filling the unfinished term of a vacant office shall be the same as the normal election procedure. Article VI: Appointments The President shall appoint, with the approval of the Executive Board, such positions as may contribute to the successful operation of GLBA. Article VII: Removal from office Any officer may be removed from office for failure to perform his/her prescribe duties by a two-thirds vote of the membership, provided that all members are notified of this pending action at least one week prior to the removal decision. Removal from office can occur either through failure to carry out the responsibilities of that office, or for actions which violate the purposes of the organization. Written charges by a member are to be presented to the Executive Board who will notify the officer in question with sufficient opportunity given for the officer to answer any chargers at a meeting of the membership. Article VIII: Meetings Section 1: General membership meetings shall be held weekly of bi-weekly at the discretion of the membership, with additional meetings called by the President as needed. Notice of additional meetings must be given to all club members in the timeliest manner possible, usually not less than one week prior. The official means of notifying members shall be agreed upon at the first meeting held after the election of a new President. Section 2: The Executive Board shall meet when called by the President. Section 3: Official notice of the meeting at which the election of GLBA officers will take place must be provided to all members not less than two weeks prior to such meeting. Article IX: Funding Section 1: GLBA shall be free for all members until otherwise defined and voted upon by membership. Section 2: The GLBA shall, as it deems necessary, undertake fundraisers for its own purposes. All fundraising shall be conducted in accordance with University policies. Article X: Amendments Amendments to this constitution shall be adopted by a two-thirds vote of the members present at a meeting following two (2) weeks of notice via e-mail and upon posting on the GLBA website. Article XI: Jurisdiction GLBA is subject, as a recognized/registered student organization, to the rules, regulations, and policies of Chapman University and the laws of the State of California. The rules, regulations, and policies of Chapman University shall hold precedence over any and all rules, regulations, and policies applying to GLBA.

Article III: Appointed Officers Section 1: The Publicity Chair shall: - Gather information on all speakers and the GLBA activities and prepare to oversee the preparation of flyers announcing events to the membership and the campus community - Obtain A.S. approval for all posted flyers and post same in accordance with the University posting policy - Develop and utilize all available mechanisms to publicize the GLBA activities, including the Panther, broadcast messaging (voice mail), e-mail, the GLBA web page, telephone calls to the membership, and mailings as appropriate and necessary. Section 2: The A.S. Representative shall: - Attend all meetings of the House of Representatives to advocate for and represent the interests of the GLBA - Communicate to the Executive Board and the membership all the pertinent information and announcements regarding A.S. business - Assist in the preparation of the GLBA budget requests and make those requests to A.S. in a timely fashion - Report all the GLBA functions and activities to A.S. as required by that body - Shall uphold and fulfill all duties and responsibilities of the House of Representatives Section 3: - Other appointed officers� duties shall be prescribed by the Executive Board upon the need for such additional positions. These duties shall be discussed with the member taking the position and agreed to before the term officially begins. Article IV: Attendance Section 1: All officers shall be required to attend all Executive Board and General meetings when possible. Section 2: In the event that an officer is unable to attend a meeting that officer is required to notify the President or Secretary before such meeting by phone. (If prior notification is not possible, there must be notification within 24 hrs. unless there are extreme extenuating circumstances.) Section 3: If an officer misses three or more meetings, he/she will be considered in breach of their duties and shall be removed from office. Section 2: The GLBA shall, as it deems necessary, undertake fund-raisers for its own purposes. All fundraising shall be conducted in accordance with University policies. Article VIII: Amendments Section 1: Amendments to these bylaws shall be adopted by a majority vote of the membership of the GLBA.
