| Incorporation The members attending the Annual Meeting on March 24, 2006 voted to approve and authorize the officers to proceed with FSPC becoming a Non Profit Corporation. This will provide greater liability protection needed by the leaders and volunteers than is presently provided by insurance. In most cases, incorporation will prevent a liability lawsuit from materializing and insurance will pay for the defense and possible judgment, if there is a lawsuit. A generic set of Bylaws associated with incorporation were also approved. The Bylaws have a provision for an interim period for the officers to make amendments to the Bylaws without membership approval. The membership will have the option to accept or reject the amendments at the 2007 Annual Meeting. After this interim period it will require 2/3 of the members attending an annual meeting to make amendments. Contact one of the officers if you have suggestions for making amendments to the Bylaws. |
