| Article V Meetings Section 1. There shall, at a minimum, be an annual meeting of the membership of the Associati on during that period of time between the third Friday of September and the first Friday after the first Sunday of November, inclusive of those days as determined by the Board, or, if not so determined, as called by the President. There shall be a summer meeting of the Association during that period of time between the first Friday of April and the second Friday of May, inclusive of those days, as called by the President. There shall be no more than sixty (60) nor less than fifteen (15) days written notice to the members of the date, place and time of such meetings. Section 2. A quorum of a majority of the members, present either in person or represented by written proxy or ballot of the Association shall be required. Robert�s Rules of Order shall otherwise govern the conduct of the meeting. Section 3. Special meetings may be called from time to time by the President or a majority of the Directors. Notice shall be given to the members of the purpose and time of such meetings in accordance with Section 1 hereof. Article VI Elections Section 1. Elections of officers and Directors shall be by secret ballot at the Annual Meeting of the membership set forth in Article V, Section l. Nominations shall be made by a nominating committee consisting of the officers and Board. Nominations may be received from the floor. Officers may succeed themselves. Election for any contested office shall require a plurality of the votes cast. The person receiving the most votes, whether or not a majority, shall be elected. Section 2. Voting may be by written proxy or by mail ballot. Section 3. Each active member, if in good standing, shall be entitled to one vote. Section 4. Officers and Directors shall serve a term of one year. Vacancies shall be filled by a majority of the Board of Directors. Article VII Dues and Assessments Section 1. The Directors of this Association shall from time to time prescribe the amount of dues. Board may provide for payment by money or in-kind. Section 2. Any active member who becomes disabled and finds himself unable to pay current dues, shall have his or her membership carried on the records as an active member until the disability is removed. Article VIII Amendment of bylaws The bylaws may be amended, or may be waived, by vote of a majority of the membership present. Notice of any proposed amendment shall be mailed to the members at least thirty (30) days prior to any meeting. Any proposed amendment must be approved by a majority of the Board of Directors prior to presentation to the membership. (page 2 of 2) |
