REPRESENTATIVE TERMS

I understand that all Essence of Eden's Bath & Body Care Independent Representative’s (IR’s) must be at least 18 years of age and therefore of legal age in the state of which he/she resides. I am enrolling as a Essence of Eden's Bath & Body Care Independent Representative for $175.00 with an annual renewal of services for $150.00. This program includes the Retail Products Package, Internet website services will remain available to me as long as I maintain $200.00 in monthly personal sales of products to my customers. I will also receive downline reports for the entire year.

I understand and agree that I am an independent contractor responsible for determining my own business activities and time spent and not an agent, employee or legal representative of the Company. I will not represent in any manner that I am an agent, employee, or legal representative of the Company. I am responsible for the payment of all federal and state self-employment taxes and any other tax required under any federal, state or regulatory or taxing agency. I will not be treated as an employee for federal or state purposes. I will remit applicable sales taxes with each literature, sales aids and product order.

Essence of Eden's Bath & Body Care may provide Policies and Procedures and Rules and Regulations for IR’s as well as modify its IR Compensation Program and consumer products and prices. Such Policies and Procedures and Rules and Regulations and Compensation Plan modifications and customer services and charges, and all changes thereto, shall upon notice to IR become a binding part of this agreement.

Essence of Eden's Bath & Body Care provides the following fulfillment to its IR’s: A new IR packet of sales literature and Retail Products Package; shipment of ordered products and sales aids within ten days of receipt of the order and clearance of funds subject to availability of items ordered; calculation and payment of IR commission. Payment terms on IR purchases: cash, money order or credit card via PayPal..with order. No check purchases, credit purchases or C.O.D.s available.

This agreement shall be deemed in effect upon its receipt and acceptance by Essence of Eden's Bath & Body Care location at HC71 Box 256,, Ava, Missouri 65608.

As a Essence of Eden's Bath & Body Care IR, I shall place primary emphasis upon and shall obtain orders for Essence of Eden's Bath & Body Care products from non-IR consumers as a condition of my receipt of commissions. IRs residing in the states of Georgia, North Dakota, Indiana, Michigan and West Virginia are limited to $495.00 in IR purchases of all types from the Company during the first six months of being an IR. Permissible IR purchases shall be automatically modified to comply with the exemption requirements set forth in any states’ laws regulating business opportunities.

I am responsible for supporting IRs I sponsor. I agree to maintain monthly support to those IRs in my commissionable downline by way of any of the following, or combination thereof: Personal contact, telephone communication, written communication and attendance at IR meetings.

This agreement, including the Essence of Eden's Bath & Body Care Policies and Procedures incorporated therein by reference , constitute the entire agreement between the parties hereto, and no other additional promises, representations, guarantees, or agreements of any kind shall be valid unless in writing. I understand that the purchase of Essence of Eden's Bath & Body Care Management Services Program is mandatory and that the Program includes an Independent Representative’s current Retail Products Package. Upon cancellation of an IR’s Agreement, the IR may return inventory and sales aids for a refund if she or he is unable to sell or use the merchandise. An IR may only return products and sales aids purchased by her or him that are in resalable condition. Upon receipt of the products and sales aids, the IR will be reimbursed 90% of the net cost of the original purchase price(s), less shipping charges. The company shall deduct from the reimbursement paid to the IR any commissions, bonuses, rebates or other incentives received by the IR that were associated with the merchandise that is returned. All prepaid services will be pro-rated from the date of original agreement for refund and the company shall deduct from the reimbursement paid to the IR any commissions, bonuses, rebates or other incentives received by the IR that were associated with the merchandise that is re-turned.

CANCELLATION MAY BE REQUESTED BY CERTIFIED LETTER OR TELEGRAM TO: Essence of Eden's Bath & Body Care CUSTOMER RELATIONS, HC71 Box 256,,AVA, MISSOURI 65608. CANCELLATION REQUESTS MADE TO A Essence of Eden's Bath & Body Care IR WILL NOT BE ACCEPTED.

FACTS THAT EVERY Essence of Eden's Bath & Body Care REPRESENTATIVE SHOULD KNOW

Providing prospective Representatives with copies of checks or statements of income earned by another Essence of Eden's Bath & Body Care Representative, and the use of any charts or income projections is strictly prohibited by Essence of Eden's Bath & Body Care Policies and Procedures binding upon all Essence of Eden's Bath & Body Care Representatives.

Only Essence of Eden's Bath & Body Care published, actual commission payout figures may be utilized in discussions with prospective Essence of Eden's Bath & Body Care Representatives.

As a Essence of Eden's Bath & Body Care Representative you may only utilize literature and sales aids provided by Essence of Eden's Bath & Body Care. You should presume that any other literature and sales aids that you have obtained or which may become available to you are not approved for your use. To utilize non-Essence of Eden's Bath & Body Care literature and sales aids is a violation of Essence of Eden's Bath & Body Care Policies and Procedures and may result in your termination as an Essence of Eden's Bath & Body Care Representative.

No attorney general or other regulatory authority ever reviews, endorses or approves the products or compensation plans of Essence of Eden's Bath & Body Care or any other company, and you should make no claim that such approvals have occurred. 

There is only one commissionable event for Essence of Eden's Bath & Body Care Representatives; the obtaining of product purchases from customers. Neither the sponsoring of a new Essence of Eden's Bath & Body Care Representative nor the purchase of the Management Services program results in commissions or bonuses being paid.
