CONTRACT

-2Copies of this contract will be sent to you.,which will have to be signed and returned back.-

TERMS OF SALE: 1. A deposit is required prior to commencement of Web Page design (see below) with balance payable upon completion and display of page(s) contracted for. If final payment, as invoiced, not made, we reserve the right to disrupt Web display until payment received. If special Rush service is requested then additional charges may apply. For Web Page Maintenance Services - payment as Invoiced - annually - in advance.

ORDER IS COMPLETE AS WRITTEN: 2. Each contract is assumed to be complete when page(s) are "published" on the World Wide Web. No agreement or understanding which alters or extends the meaning of this contract shall be binding on either party unless mutually agreed to.

ACCEPTANCE: 3. All contract requests are subject to final acceptance by WebPage Design. Customer agrees to permit WebPage Design to place a permanent advertisement on the bottom of the main or any subsequent pages - such advertisement to comprise text or a logo and text with a built-in "Link" to the WebPage Design Web site!

PRICES: 4. All orders are accepted with the understanding that billing will be rendered at the prices prevailing at the time of receipt by WebPage Design - unless otherwise stated.

DELIVERY: 5. Completion or publication dates cannot be guaranteed. An honest and sincere effort will always be put forth to meet your requested completion dates. The failure to meet the publication date on an order does not constitute sufficient reason for cancellation or non-acceptance of the finished product. Agreements for Web Page completion, associated services and order acceptance is contingent upon strikes, courier delays, accidents, fire or flood, damage, Internet network disruption, computer system malfunction or any other cause beyond our control.

CANCELLATION: 6. If any order be cancelled, in whole or in part, purchaser agrees to reimburse WebPage Design for costs incurred to the date of the cancellation. If payments not made as billed, we reserve the right to remove any or all web pages created, from public display on the Web until payment received.

CONTENT OF SITE: 7. The purchaser is responsible for ensuring all published Web Sites are as per requested. Any content or features requested but not included must be reported to WebPage Design within 15 days following advice of publication on the World Wide Web.

RETURNS: 8. Any materials, including but not restricted to photographs, image files, computer disks and files, artwork etc.. provided WebPage Design for the purpose of designing and publication of requested Web Page(s) are the property of the purchaser and shall be returned when requested.

DOWN PAYMENT: 9. As per Industry "Norms", we require a 50% down payment (minimum $200.00-this does not include the Mega Site Pkg.-Down Payment =$385.) with the submission of the initial order. The Balance of the Initial Order Invoice is due and payable upon final publication on the World Wide Web!

REVISIONS: 10. Once a page is "displayed" on the web, the customer shall be advised and shall be requested to confirm what if any changes shall be performed. Once these changes have been performed, or if the customer, without valid reason, does not respond within 7 working days, then the "page" shall be deemed completed. Any further or subsequent changes or further amendments shall be considered as not part of the original agreement but a separate request for services and accordingly chargeable at the published "Pay as you go" rates.

ONGOING SERVICE: 11. Following publication of the page or pages requested and final approval by the customer, further amendments, enhancements, additions or deletions shall be billed according to the schedule of fees as outlined on our PRICES page unless the customer has purchased an optional "Maintenance" program as outlined on our "FEES" page!

LABOR FEES: 12. There will be a Max of 3 hrs worked on web page per day. The labor fees are $30.00 an hour. A minimum of 1 hour will be charged.

BREACH OF CONTRACT: Any breach of Contract will be penalized and at the Company's descretion to delete the page.�
