| 1. INTRODUCTION. In this Service Agreement ("Agreement"),
"you" and "your" refer to each customer
("Customer") and its designated agents, including your administrative
council, and "we", "us" and "our" refer
collectively to Dictator Services, Inc. and its wholly owned subsidiaries
("Dictator Services"). This Agreement explains our obligations to you, and
your obligations to us in relation to the Dictator Service(s) you purchase. By purchasing
Dictator Services's service(s) you agree to establish an account with us for such services.
When you use your account or permit someone else to use your account to purchase or otherwise acquire access
to additional Dictator Service service(s) or to modify or cancel your Dictator Service
service(s) (even if we were not notified of such authorization), this Agreement
as amended covers any such service or actions. Any acceptance of your
application(s) or requests for our services and the performance of our services
will occur at our offices in Los Gatos, CA (in the cases of services
governed by Schedules A through H and Schedules J, N and O) or
Truth or Consequences, NM. (in the cases of services governed by
Schedules I, K, L and M) the locations of our principal places of business.
2. FEES, PAYMENT AND TERM OF SERVICE. As consideration for the services you
purchased, you agree to pay Dictator Services the applicable service(s) fees set forth on our Web site at the
time of your selection, or, if applicable, upon receipt of your invoice from
Dictator Services. All fees are due immediately and are non-refundable, except as otherwise
expressly noted in one or more of SchedulesA through O.
If you qualify, we may extend payment terms to you under our Business Account
Credit Program. Unless otherwise specified herein, each Dictator Service service is for
a one-year initial term and renewable thereafter for successive one to ten-year
terms, as set forth during the renewal process. Any renewal of your services
with us is subject to our then current terms and conditions, including, but not
limited to, successful completion of any applicable authentication procedure,
and payment of all applicable service fees at the time of renewal. Should you wish to opt
out of your contract with us, we do reserve the right for death and dismemberment of
said parties which signed on the contract. |
