DOTHAN DOLPHIN BOOSTERS, INC.  BY-LAWS


Article I.  NAME

This corporation shall be known as the Dothan Dolphin Boosters, Incorporated.


Article II.  OBJECTIVES
 
The objectives and purposes of this corporation shall be:
1) to foster and improve amateur competitive swimming in the Dothan area
2) to coordinate an amateur swimming program with the Department of Leisure Services of the City of Dothan
3) to abide by the rules in the current United States of America Swimming Code of Technical Rules and Code of Regulations as published by United States of America Swimming, Incorporated


Article III.  MEMBERSHIP

Section 1.  Any person in the Dothan area interested in and dedicated to the afore said purposes as stated in Article II, is eligible for membership in the corporation.

Section 2.  Annual dues for commitment to the organization shall be forty dollars ($40.00) per family.  Dues shall be payable Oct. 1st of each year or paid quarterly, if desired.  For families who join the team later in the season, the amount of the dues will be prorated accordingly at a rate of ten dollars ($10.00) per quarter. 


Article IV.  BOARD OF DIRECTORS-OFFICERS

Section 1.  The Board of Directors of the corporation shall consist of the officers and the chairpersons of standing committees.  All corporation members in good standing are eligible to hold office.  Officers shall be elected by majority vote at the annual awards banquet in August. The term of office, with the exception of treasurer, shall be from the date of one annual awards banquet to the next. During a transitional period through the end of the fiscal year (September 30), the outgoing treasurer will serve with and assist the incoming treasurer.  In the event of a vacancy on the Board, the remaining officers shall elect a successor.

Section 2.  Duties

a. President:  The president shall preside at all meetings of the Board of Directors.  He/she shall call regular membership meetings, providing members with due notice of such.  The president shall generally perform such other duties as pertain to the office and serve as a representative of the corporation. 

b. Vice-President:  The vice-president shall assume the duties of the president in his/her absence.  He/she shall serve as chairperson of the nominating committee and shall coordinate local registration for United States of America Swimming, Inc.  The vice-president shall be responsible for coordinating United States of America Swimming membership incentives designated by the organization

c. Secretary:  The secretary shall be responsible for keeping a permanent record of minutes for all Board and general membership meetings.  He/she shall be responsible for correspondence of the corporation.

d. Treasurer:  The treasurer shall keep the financial records of the corporation.  It shall be the duty of the treasurer to receive all monies of the corporation and to pay all bills incurred by the corporation.  The treasurer may present an abbreviated statement of financial conditions at general membership meetings and shall make available a full financial statement of the preceding year at the first general membership meeting of each year.  In the event of succession of office, the Board may choose to review financial documentation and/or call for an official audit of the records.


Article V.  COMMITTEES

Section 1.  Standing Committees

There shall be the following standing committee chairmen appointed by the president:

a. Ways and Means: It shall be the duty of the ways and means chairman and his committee to evaluate and recommend fund-raising projects to the membership and to implement these projects upon approval of the membership.

b. Nominating:  It shall be the duty of the nominating committee to present a slate of officers for consideration of the membership at the annual meeting.  The nominating committee shall be chaired by the vice-president and shall consist of the chairman and two members appointed from the membership.

c. Historian/Publicity:  It shall be the duty of the committee to maintain the corporation scrapbook, keeping current any materials pertinent to the Dothan Dolphin Swim Team.  The committee will prepare press releases and assist with the team newsletter.

d. Meet Director/s: It shall be the duty of the meet director/s to coordinate activities of locally hosted swim competitions.  Committee members shall include individuals responsible for designated functions of meet activities, to include, but not be limited to: officials, timers, scoring, clerk of course, awards, luncheon/hospitality, and consignments.

e. Social:  It shall be the duty of the committee to plan all social functions of the team, as well as the annual awards banquet.

f. Welcome:  It shall be the duty of the welcome committee to greet new team members and their families, making them aware of the functions of the team and booster organization.  The committee shall make available written team information handbooks and maintain a supply of swim goggles, caps, etc. for purchase by new and current members.

g. Awards:  It shall be the duty of the awards committee to make a yearly review of team awards.  The committee shall be responsible for making yearly recommendations to the entire membership and designating award recipients prior to the annual swim banquet.  The awards committee shall be responsible for on-going awards during the swim season, including time standard patches.


Section 2.  Ad Hoc Committees

Ad hoc committees shall be created at the discretion of the president.


Article VI.  MEETINGS

Section 1.  Annual Meeting

The annual meeting shall be held in August.

Section 2.  Regular Meetings

Regular monthly meetings shall be held during the months of September � May.  A schedule of meeting dates and times most conducive to membership attendance will be established by the officers and made available to the entire membership.  Meetings during the summer months will be held on an as needed basis.

Section 3. Board of Directors Meetings

The Board of Directors shall meet prior to the regular meeting of the membership each month.  A meeting agenda will be established and made available for review by the membership.

Section 4.  Quorum

At duly scheduled meetings of the corporation, a quorum shall consist of the members present, but shall not consist of less than six members.

Section 5.  Voting

Only members of the corporation are eligible to vote.  There shall be no proxy voting.

Section 6.  Parliamentary Procedure

Parliamentary questions shall be referred to Robert�s Rules of Order.


Article VII.  COACHING STAFF AND FACILITY

Section 1. It shall be the responsibility of the Department of Leisure Services of the City of Dothan to retain coaches associated with the Dothan Dolphin Swim Team.  It shall be the responsibility of the Department of Leisure Services of the City of Dothan to retain coaches associated with the Dothan Dolphin Swim Team.
Section 2.  It shall be the responsibility of the Department of Leisure Services of the City of Dothan to provide and maintain the facility to be used by the Dothan Dolphin Swim Team.


Article VIII.  AMENDMENTS

Amendments to the by-laws of the corporation may be made by a majority vote of members at any duly called meeting at which a quorum is present, provided ten days advance notice of the amendment or amendments to be considered has been given to the membership.


Article IX.  DISSOLUTION

In the event of dissolution, the residual assets of the corporation will be turned over to one or more organizations which themselves are exempt as organizations described in Sections 501 (C) and 170 (C)  (2) of the Internal Revenue Code of 1954 and corresponding sections of any prior or future Internal Revenue Code, or to federal, state, or local government for exclusive public purpose.
